For over 25 years, David C. In 1993, Mr. McCourt purchased controlling interest in C-TEC Corporation, a diversified telecommunications company based in Wilkes-Barre, Pennsylvania. Four years later, McCourt split C-TEC into three publicly traded companies listed on the NASDAQ Stock Exchange: RCN Corporation, Cable Michigan, Inc, and Commonwealth Telephone Enterprises, Inc. Initially, McCourt became Chairman and CEO of all three companies, until sold or until a successor was found. Mr. McCourt also served as Chairman and CEO of a fourth company during this time period called Mercom, which he also sold. Today the combined annualized returns of the companies spun-off C-TEC are approximately three time the returns of the S&P 500 over the same time period. Beginning with his station in Grenada, Mr. McCourt has maintained a long-time interest in film and television production. Onstream Media and Narrowstep Inc. Announce Dismissal of Litigation

POMPANO BEACH, FL--(Marketwire - 03/02/11) - Onstream Media Corporation (NASDAQ:ONSM - News), and Narrowstep Inc., today announced that they have reached a mutual agreement to conclude the litigation brought by Narrowstep against Onstream on December 1, 2009 in connection with the March 18, 2009 termination of a merger agreement and Onstream's related acquisition of Narrowstep. The agreement provides that Narrowstep's lawsuit will be dismissed with prejudice and that both parties will file no further actions against each other or affiliated parties in connection with this matter

Looks to be a shell but they do have this active court case against ONSM for which they should be receiving a settlement in the near future!!!

Narrowstep™ Inc. has demanded $14 million and other damages from Onstream Media Corporation as a result of Onstream’s actions in connection with the Merger Agreement executed between the parties.

Narrowstep’s demand letter to Onstream Media Corporation, delivered through Boston counsel, Ron Dunbar of Dunbar Law PC, outlines conduct that gives rise to fraud, breach of contract, breach of the implied covenant of good faith and fair dealing and specific performance claims. The Narrowstep demand letter asserts damages in excess of $14 million dollars.
On May 25, 2008, Narrowstep and Onstream Media Corporation entered into an Agreement and Plan of Merger. The Merger Agreement required that a closing of the merger transaction was to occur no later than September 25, 2008. As part of the Merger Agreement, both parties agreed that a consolidation of operations would be beneficial to create immediate synergies and costs savings for the combined operation. As such, and pursuant to the Agreement, Narrowstep, in good faith, laid off many critical employees, terminated leases in key locations, integrated Onstream personnel into Narrowstep’s operations, moved its equipment to Onstream locations and allowed Onstream appointed personnel to manage the business.
Narrowstep’s demand letter alleges that, once these consolidation actions were taken and Onstream was in control of both Onstream and Narrowstep’s operations, Onstream delayed the closing of the transaction in an effort to extract better terms and further weaken Narrowstep’s business. After two amendments to the Merger Agreement, and several excuses as to why the closing process could not progress, Onstream terminated the agreement on March 18th, 2009, based on spurious claims, according to the demand letter.
From the time the Merger Agreement was executed in May 2008 through the termination of the Agreement by Onstream in March 2009, Narrowstep acted in good faith to accomplish a closing despite the amended terms and delays. Narrowstep believed it was in the best interest of the shareholders to continue with the transaction, based on Onstream’s assurances that the transaction would close as soon as possible and in further reliance upon Onstream’s obligation to act in good faith.
The demand letter asserts that during this time and up to the termination of the Agreement, Onstream was converting Narrowstep sales leads into Onstream customers, converting Narrowstep customers to Onstream’s platform, halting cost-saving software development, selling Narrowstep equipment that Onstream had in its control, using certain Narrowstep hardware for its own use and destroying the value of the enterprise under the guise of the Merger Agreement.
Narrowstep is seeking $14M in damages as outlined in the demand letter in order to return value to its shareholders. On April 8, 2009, Narrowstep sold certain of its assets to KIT Digital in order to continue operations and service customer contracts.
Counts I,III,IV & V were just upheld in Delaware court! Some type of monetary settlement will be coming in the future!!!

NRWS still getting nice volume at these levels. Currently up 180% today. we should see a nice pop here anytime. we will easy see pennyland from here!

Could be. It makes no sense that volume like this doesn't move the stock one way or the other. This is huge volume for NRWS. But I will be more interested once I see another red close.
Only problem is you might be right, it might take a good long while to be able to unload.

There were basically 8 trades today by the look of the chart.
There's nothing happening here, just some people trying to shift their shares around. The only news is that Onstream broke the deal and is not going to take over NRWS.
You can find better plays than this. Once you buy any shares here, you will be hard pressed to unload them.
