Under the securities legislation of British Columbia and Ontario (Legislation)
Background
¶ 1 This is the order of the regulator of the British Columbia Securities Commission
(the Principal Regulator) and evidences the decision of the regulator or securities
regulatory authority in Ontario (each a Decision Maker).
¶ 2 The Issuer has not filed the following periodic disclosure required by the
Legislation:
1. interim financial report for the period ended October 31, 2019,
2. interim management’s discussion and analysis for the period ended
October 31, 2019,
3. certification of interim filings for the period ended October 31, 2019.
¶ 3 As a result of this order, if the Issuer is a reporting issuer in a jurisdiction in which
Multilateral Instrument 11-103 Failure-to-File Cease Trade Orders in Multiple
Jurisdictions applies, a person or company must not trade in or purchase a security
of the Issuer in that jurisdiction, except in accordance with the conditions that are
contained in this order, if any, for so long as this order remains in effect.
¶ 4 Further, this order takes automatic effect in each jurisdiction of Canada that has a
statutory reciprocal order provision, subject to the terms of the local securities
legislation.
Interpretation
¶ 5 Terms defined in the Legislation, National Instrument 14-101 Definitions and
National Policy 11-207 Failure-to-File Cease Trade Orders and Revocations in
Multiple Jurisdictions have the same meaning if used in this order, unless
otherwise defined.
Order
¶ 6 Each of the Decision Makers is satisfied that the decision concerning the cease
trade meets the test set out in the Legislation to make this decision.
¶ 7 It is ordered under the Legislation that trading cease in respect of each security of
the Issuer.
¶ 8 Despite this order, a beneficial securityholder of the Issuer who is not, and was not
at the date of this order, an insider or control person of the Issuer, may sell
securities of the Issuer acquired before the date of this order if both of the
following apply:
1. the sale is made through a “foreign organized regulated market”, as defined in
section 1.1 of the Universal Market Integrity Rules of the Investment Industry
Regulatory Organization of Canada; and
2. the sale is made through an investment dealer registered in a jurisdiction of
Canada in accordance with applicable securities legislation.

This doesn't make much sense.

During the year ended April 30, 2019, the Company entered into a settlement agreement with a vendor whereby the
Company transferred cryptocurrency mining machines with a net book value of $26,096,075 to the vendor in exchange for
settlement of an aggregate amount of $1,013,659 accounts payable due to the vendor. This settlement resulted in a loss of
$25,082,416, which is included in the results of discontinued operations (Note 10)

So they forfeited $26 million worth of mining equipment to pay off a $1 million dollar debt?? Could this be part of the settlement agreement?

I know the spinoff shares are not tradeable right now, but I'm wondering if they are counted as part of the current reported OS of 774 million, or would they be added to the OS after they are released

as i have said before, there was an embezzlement investigation that involved gouran but they wouldn’t disclose the company name. at the time, he was there. then shortly thereafter, they released news of his departure via filing. so

I guess it all comes down to what happened w/ the AB Mining lawsuit, did they get a large % of GBCHF/BLKCF shares as payment, who "exactly" was responsible for "resurrecting" the "dead" Metaverse( GBCHF) a few weeks ago, and who is buying the bigger pieces recently.
I imagine there will either be news soon or we go back to SLEEP! Lol.

What is your speculation on the above??

I"m not sure why they would allow trading if the company was broke and the matters where not cleared up and not say anything. so there has to be something there worth something. lol

I do have spinoff shares, which I can't trade at this time. Fidelity told me they have a "904 restriction" on them. My secondary shares I have been freely trading. Hope this helps. Yes and I have no idea what the heck is going on, but its obvious "something, or event" is driving this activity.

I put in a grand long ago, got the spin off, then watched both stocks tank...so I sold the first one but kept the spin off.
then when it came to life it went up 1300, then I sold it all...

I think I will throw a grand back in monday morning....to see what happens, the 1250 bitcoin maybe gone, but the mining ability seems to be there still...and with bitcoin booming, I can't think of a cheaper mining company to buy into...

so hopefully all the thefts have been jailed, and after this long road and something pays off

I can see why people are pissed who had serious funds in, hopefully they get their money back and more. (with much less drama out of the company leaders!) lol

In paragraph 8 of the CTO we have what we call a carve-out, which allows shareholders of Metaverse, who are not insiders or control persons, to sell their shares in a foreign market (a market outside of Canada). You must go through an investment dealer to do this. Here are instructions you can share with your dealer, if there is any issue:

We believe the “flag” seen is the one issued by IIROC under the Universal Market Integrity Rules (UMIR) - UMIR 9.1(1).

The process for these matters is as follows: The dealer acting for the shareholder should confirm the shareholder is not an insider/officer/director of the company.

The dealer should then email [e-mail] with this information, and request an exemption of UMIR 9.1(1).

IIROC would then be in a position to grant this exemption to the dealer, who can then execute the proposed transaction outside of Canada on a foreign organized regulated market.

The dealer does not need to contact BCSC, as we have already given permission for this sale in our CTO.

The Americans do not follow our cease trade orders. Metaverse is cease traded by the OSC and BCSC, so it can’t trade in Canada.

If you find the Cease Trade Order (search CSA Cease Trade Order Database), you will find there is an exemption to sell that may apply to you. There’s no guarantee your dealer will do it for you, but you may be able to sell in the U.S.

If we actually still have the 2018 300 bitcoins that would put us north of $9MM for total market value. Well above where we are at. Have always liked the Spectre 7 investment I think that was it. The active copper products. I liked their ingenuity but don't know if they are still viable either. In the back of mind if this GBCHF was ever going to raise its head a higher bitcoin price would do it. Was wondering if all the former execs might be in the same prison. Pretty shady. Put $18K in this and sold the other one recently for $850 the game company.

Since it arose from the dead I'm going to let it ride. Have a total of 365000 shares at a penny. Whoooo!
