$30.5m Capital Raising
The Directors of Metal Storm Limited are pleased to announce that the Company has successfully completed the fully underwritten Renounceable Rights Issue of A$27.5 million in Convertible Notes and options with the allotment of 203,703,704 Convertible Notes and 176,852,055 Options today in accordance with the prospectus issued on 28 July 2006.
The Rights Issue was the final part of a two stage capital raising plan which included the Share Purchase Plan completed in May which raised approximately A$3 million. In total the company raised approximately A$30.5 million in gross proceeds from the Share Purchase Plan and the Rights Issue.
The Rights Issue was fully underwritten by Patersons Securities Limited, who also acted as Lead Manager to the Share Purchase Plan. The Rights Issue was 95% sub-underwritten by Harmony Investment Fund Limited (Harmony).
Directors believe that the combined Share Purchase Plan and fully underwritten Rights Issue approach provided the majority of shareholders with the opportunity to participate in the capital raising.
The net funds raised, together with existing cash reserves and confirmed revenues from current operations, are expected to be sufficient to cover the estimated cost of existing and planned operations and interest payable on the Convertible Notes through to the August 2009, without assuming additional income from other sources or from the exercise of options.
Harmony also provided a one (1) year working capital facility of $5 million in June 2006 secured by a fixed and floating charge over the Company's assets. The facility was designed to provide short-term working capital should the Company need it prior to the completion of the Rights Issue. This facility was not used and the fixed and floating charge is expected to be discharged shortly.
New Director Appointment
Directors are also pleased to confirm that Mr. John Nicholls was today appointed as a non-Executive Director of the Company. The intention to appoint Mr. Nicholls as a director on completion of the capital raising was previously announced on 2 July 2006. Mr. Nicholls' extensive experience in a wide range of local and international companies will further complement the Board's existing skills base. He holds Bachelor of Commerce and Master of Business Administration degrees from the University of New South Wales. He is currently a non-executive director of a number of companies in Australia and Asia, including Harmony.

Metal Storm is providing an unattended remotely operated weapon system designed to operate in a networked environment for the protection of very high value assets. The contract, which commenced in January 2006, is scheduled for completion by July 2008.
U.S. Army SBIR Contract — Metal Storm Crowd Control System
This contract is for the development and testing of a Crowd Control System using Metal Storm 40mm weapons technology and less than lethal munitions. It is funded through a U.S. Army Phase II SBIR contract sponsored by the U.S. Army ARDEC. Metal Storm is developing and fabricating specific less than lethal rounds capable of being fired from Metal Storm weapon systems in a variety of configurations as a means to stop a crowd from advancing. This contract, which commenced in December 2005, is scheduled for completion in January 2008.
StarChase Contract — Pursuit Management System Phase II Lead System Integrator
U.S. company StarChase LLC has engaged Metal Storm to act as the lead systems integrator on the commercialization of the patented StarChase vehicle tagging technology. The contract requires Metal Storm to generate a production-ready configuration of the StarChase system, and to produce, implement and provide support for a limited number of systems to be used for operational testing. The contract commenced in May 2006 and is scheduled for completion by December 2006.
U.S. Marine Corps — 18mm Stacked Round Firing System
This contract is for the design, fabrication and test of 18mm stacked round firing systems. Under the terms of the contract, Metal Storm will explore the feasibility of employing 18mm fin stabilized high explosive projectiles from an accessory under-barrel weapon for the M-16A4 service rifle. The firing technology will be a test bed potentially leading to Marine Corps experimentation with larger diameter finned projectiles than are possible with shot gun-launched munitions. The contract was announced on July 13, 2006 and is scheduled for completion by April 2007.

I like what I see here...what would seal the deal is knowing the share structure and the entire skinny on the convertibles. Will be doing some serious digging over the next several days and will be calling the US operations for more answers.

Since the Company's AGM, late April, there has been good progress on balanced internal cost cutting, further contract work has been announced and the second stage of the capital raising is progressing well.
With the Share Purchase Plan raising of $3 million and with current cash on hand the Company has about 6 months funded operation without additional income or the intended rights issue of notes being taken into account. When these are included the funding horizon is over 3 years based on current plans.
With the matters of funds in bank and monthly burn rate dealt with, the Directors recently prioritized the restructure of Company efforts around contracts and products.
To that end the Company has committed to:
1) Undertaking all contract work in the USA.
2) Undertaking all internal research and development in Australia.
3) Deliver 2 products, Redback(TM) and 3GL to market as soon as is
possible by full support from, to and with our determined teaming
partners.
The product focus is on delivery of Redback(TM) and 3GL in that order.
Details on these products are elsewhere on this site. Both are 40mm
applications and we confidently expect that the work on Redback(TM) and
3GL will deliver further easy reach 40mm applications.
Shareholders should know that past projects have not ceased unless it
has been otherwise advised to the market. One of management's tasks
is to ensure projects of value are adequately supported where our test
for support includes how rapidly projects are being moved by their
sponsors and funds are being made available.
There are no other projects of greater priority now than Redback(TM)
and 3GL because these have a clear path to delivery with sustainable
markets not met by other product.
4) The contract work will continue to provide technical learnings and some
income. We will vigorously pursue contracts in the US where those
contracts provide funding with learning spin offs and potential markets
of value.
5) Where priorities have to be set on economic or scientific grounds the
priority will be given to Redback(TM) and 3GL.
6) The Company's determination on Redback(TM) and 3GL is based on internal
modeling of market size and value, time to market, fit of the
technology as a product enabler and probability of sales in volume.
In short, the Company is determined to advance its Teaming Arrangements with EOS and STK for product delivery with new rigor and focus. By separating responsibility for contracts from that of the product delivery of Redback™ and 3GL the Company has established task-specific teams with clear responsibility and accountability.
No one should assume that this will necessarily mean product delivery this year. The best guide to timing on this is in EOS' market release and on their website.
One other matter for the record: the Company now does huge amounts of work with only 20 people. We need all of those resources concentrated on the right technical and economic outcomes.
Perhaps because of the Company's history there has been a habit within Metal Storm of responding to shareholder requests, letters and phone calls on a personal basis. We cannot continue to do that. It is inappropriate under the laws which govern disclosure and, although the Company has been sensitive to that, the better path is to eliminate that risk. As well, right now the Company's staff must minimize distractions from the real task of delivering the goods. As a consequence all correspondence from shareholders will be responded to as courtesy properly demands, but simply to thank the caller/writer for their interest. However, the matters raised will be recorded and, as appropriate in time and circumstance, will be dealt with on this Bulletin Board.
It is the Company's intention to provide more detail on the Redback™ and 3GL projects once we have agreed on those disclosures with our teaming partners. In particular we are keen to advise the milestones in the projects so the Company can measure and be measured by our progress to delivery.

Metal Storm Announces Second Stage of Capital Raising

BRISBANE, AUSTRALIA--(MARKET WIRE)--May 7, 2006 -- The Directors of Metal Storm Limited (NasdaqSC:MTSX - News) (Australia:MST.AX - News) are pleased to announce that the Company has signed a preliminary agreement with Harmony Capital Partners Pte Limited (Harmony) of Singapore to facilitate a Renounceable Rights Issue of $27.5 million in unsecured Convertible Notes with attaching Options.

The Rights Issue is to be fully underwritten by Patersons Securities Limited, Lead Manager to the current Share Purchase Plan, and is to be fully sub-underwritten by Harmony or its nominee(s).
Harmony will also provide a one (1) year working capital facility of $5 million to be secured by a fixed and floating charge over the Company's assets. The facility is designed to provide short-term working capital should the Company need it prior to the completion of the Rights Issue. Metal Storm may elect to take up this facility by notice to Harmony by 15 May 2006. Further details of this facility will be provided if Metal Storm elects to do so.
Directors believe that the combination of the planned Rights Issue and the Share Purchase Plan will secure sufficient funding to meet the expected cash requirements over the next three (3) years for execution of the Company's strategy, as outlined in the Update on Company Operations which accompanied the Share Purchase Plan offer documents, and will allow the majority of shareholders to participate in the capital raising.
The agreement with Harmony is exclusive and is subject to:

I was thinking about buying, Mtsx but I've noticed one thing about the stock. It keeps going down and the market keeps going up. That isn't a very good sign. In fact, that puts up a redflag, in my book.

I want to make it clear that this calculation did not take account of other income which we have reasonable expectation of receiving in this period from sources which are not at this stage confirmed. We have taken a deliberately conservative approach in calculating our future cash flow.
I also stated in the announcement that the Company is exploring opportunities to raise capital. ARLINGTON, VA--(MARKET WIRE)--Mar 20, 2006 -- Metal Storm (NasdaqSC:MTSX - News) announced today that it has conducted initial test firings of High Explosive ammunition at Picatinny Arsenal in New Jersey in conjunction with the U.S. Army's Armament Research Development and Engineering Centre (ARDEC).

The ammunition tested was a prototype High Explosive 40mm grenade assembly, which is being developed by Metal Storm and ARDEC engineers under a Cooperative Research and Development Agreement (CRADA) which was signed in September 2005. The development work and test firings are the initial phase of a project which ultimately plans to take existing certified munitions from the U.S. Army inventory and convert them to Metal Storm configuration. This will enable firing by electronic initiation from Metal Storm launching systems.

The June issue of Popular Science profiles Metal Storm, "Gun that Fires a Million Rounds a Minute." MTSX brings digital technology to what has been one of the battlefield's last holdouts from the electronics revolution. Metal Storm's solution--now being examined by the Department of Defense--is to remove virtually every moving part from modern guns and replace them with electronic ballistic technology and computerized controls. Bullets stacked in the barrel fire at rates of up to 60,000 rounds per minute, even a million in certain multi-barrel configurations. An Army senior VP says: "We're not talking about always firing at a million rounds per minute. But if you've got one of these mounted in an aircraft and have a rocket-propelled grenade coming at you, you can in an instant have 200 little bullets intercepting it." Moreover, Metal Storm could fire nonlethal rounds such as rubber bullets--for, say, crowd dispersal.
ARLINGTON, Va.--(BUSINESS WIRE)--Aug. 31, 2004--Pioneer of
electronic ballistics technology Metal Storm Limited (Nasdaq:MTSX;
ASX:MST) has reported group revenue from ordinary activities of U.S.
$2,231,097 for the half year ended 30 June 2004. This result compares
with revenue of $339,312 for the corresponding period last year. Metal
Storm CEO Mr. Charles Vehlow said the reported revenue included
$2,134,169 from the operations of the company's new US subsidiary
ProCam LLC.
"Since we acquired ProCam in December last year, it has received
orders worth more than $1,406,516 from General Dynamics Ordnance and
Tactical Systems, a business unit of General Dynamics. ProCam is also
instrumental in manufacturing prototypes of our electronic ballistics
system," Mr Vehlow said.
The company recorded a net loss of $3,625,997 ($0.01 per share and
$0.03 per ADR) for the half year ended 30 June 2004, compared with a
net loss of $2,254,492 ($0.007 per share and $0.04 per ADR) for the
corresponding period last year. Research and development expenses were
$627,847 compared to $1,462,584 for the same period last year.
The group loss includes a loss of $783,766 from the operations of
ProCam. This reflects the subsidiary company's expected first half
business cycle, the take up of costs associated with its integration
into Metal Storm's operations, development costs for Metal Storm
components used in US demonstrations, the introduction of new
financial and inventory controls, adjustments for foreign currency
movements, and changes to personnel.
Group expenses for the period included increased salary and wages
costs associated with the employment of additional technical staff in
the company's US and Australian offices, the valuation of options
granted and issued using the Black Scholes method, costs associated
with capital raising activities, and costs associated with testing and
demonstrating Metal Storm technology in Australia and the US.
At the end of the first half of 2004, Metal Storm held $14,937,954
in cash and cash equivalents.
Mr Vehlow said the group was well positioned to move toward
commercializing its electronic ballistics technology. "We have a
strong portfolio of intellectual property, an increasing exposure
within defence and military organizations and strong cash reserves,
all of which provide a very solid foundation for the further
development of our two core ballistics systems: the 40mm and 9mm
platforms," he said.

Australia's Metal Storm to commercialise hand gun ( Asia In Focus )
BRISBANE, May 21, 2004 (Asia In Focus via COMTEX) -- Ballistics company METAL
STORM LTD (ASX:MST) today said it had set up a subsidiary to commercialise a
civilian hand gun that could produce revenue for the cash-burn company in 2006.
At its annual general meeting in Brisbane, Metal Storm also said it was in its
strongest financial position in history but declined to pinpoint when it
expected to be cash flow positive.
* Metal Storm reported a net loss of $A6.4 million ($US4.45 million) for 2003.
* Chief executive Chuck Vehlow told shareholders the company was focussed on the
40mm and 9mm calibre products, with priority applications including a grenade
launcher, fire-fighting system and smart gun.

ARLINGTON, Va.--(BUSINESS WIRE)--May 20, 2004--Metal Storm Limited (NASDAQ:MTSX and ASX: MST) International ballistics company Metal Storm Limited has demonstrated the live firing of its electronic ballistics system from a robotic ground vehicle to key defense personnel in the US.
The demonstration included the remotely controlled firing of stacked pyrotechnic and inert 40mm rounds from a four-barrel pod with recoiling system mounted on a "Talon" robot manufactured by Foster-Miller Inc. (Foster-Miller) and supplied and operated by the US Army's Picatinny Arsenal facility.
Metal Storm personnel worked closely with US Department of Defense representatives on the Warren Grove Gunnery Range in New Jersey, USA to conduct the demonstrations which were attended by defense personnel including the US Army Research Development Engineering Command (ARDEC), and a number of industry representatives including several from Telecordia - an associate company of Science Applications International Corporation (SAIC), and General Dynamics Corporation.
Metal Storm's Director of Scientific Innovation, Mr. Mike O'Dwyer said the firing represented a significant demonstration of the capability and versatility of the generic Metal Storm 40mm Ballistics System, combining it with an important piece of existing military equipment with potential to greatly enhance its operational capability.
"Our electronic ballistics system has no mechanical parts and provides a lightweight, compact weapon which carries a payload of 16 shots, 10 more than the existing alternative. The system is capable of variable rates of fire, selected and fired by remote control. We intend to undertake further development of the Metal Storm system with a view to increasing the payload to 48 shots" said Mr. O'Dwyer.
"The Metal Storm robotic weapon system can punch above its weight, offering real potential for robotic vehicles to undertake more offensive roles on operations."
"Because the system is able to deliver a payload disproportionate to its size and weight, it is potentially suitable for a range of different applications that could significantly increase the operational capability for field commanders," said Mr. O'Dwyer.
The Talon robot has been developed by Foster-Miller to operate in rugged terrain up to 1.6 kilometres from its base, and is currently in service in Afghanistan and Iraq.
It is an all-weather, all-terrain, tracked robot with a day/night capability, and can be configured for many different types of missions. It provides a potential first strike option that does not risk soldiers' lives.
Foster-Miller Inc. President Dr. William Ribich said the versatility and capability of the Metal Storm weapon system are highly impressive.
"The combination of Metal Storm and Foster-Miller technologies provides significant potential to deliver new robotic capabilities that meet our military customers' complex requirements," Dr Ribich said.
"We anticipate that further development would allow the Talon/Metal Storm system to provide intense firepower at various ranges, using either lethal or less-than-lethal munitions.
"This capability would make it ideal for tasks such as access denial, facility protection and crowd control missions," he said.

A GUN THAT FIRES A MILLION ROUNDS A MINUTE
Firing a gun has always been an intensely mechanical process: Pull the trigger and a hammer strikes the back of a bullet--usually inserted into the chamber by a spring mechanism--causing explosive powder in the bullet to shoot out a slug. The slug exits the front of the barrel and another spring ejects the empty shell from the side of the gun.
For centuries, gun manufacturers have only been able to finesse the firing process, and guns remain prone to jamming, misfiring due to deterioration of moving parts, and occasional explosive failure that can kill or severely injure the soldier firing the weapon. The Australian company Metal Storm has an answer: Bring digital technology to what has been one of the battlefield's last holdouts from the electronics revolution. Metal Storm's solution--now being examined by the Department of Defense--is to remove virtually every moving part from modern guns and replace them with electronic ballistic technology and computerized controls. Bullets stacked in the barrel fire at rates of up to 60,000 rounds per minute, even a million in certain multi-barrel configurations. Coded electric signals ignite propellant embedded within each specially designed bullet. The pressure created by the small explosion pushes out the bullet while at the same time enlarging the bullet behind it, sealing the barrel and preventing the other charges from igniting until commanded to do so.
Though hand-carried versions won't fire at a million rounds per minute--no soldier would want to reload every three milliseconds--vehicle-mounted systems could. Art Schatz, the senior vice president of operations in Washington, D.C., says that if larger barrels were clustered on the back of a Humvee or in a helicopter, the result would be a powerful "area-denial" weapon. The system can be adjusted to meet various needs. "We're not talking about always firing at a million rounds per minute," Schatz says. "But if you've got one of these mounted in an aircraft and have a rocket-propelled grenade coming at you, you can in an instant have 200 little bullets intercepting it." Moreover, Metal Storm could fire nonlethal rounds such as rubber bullets--for, say, crowd dispersal. The system's key drawback: The guns require electrical power, making them yet another gadget soldiers will need to keep supplied with batteries.
The Metal Storm system has been tested on rounds ranging from 9mm to 60mm, and in a variety of weapons, including the O'Dwyer VLe (a "smart gun" with electronic safety controls, named after company founder Mike O'Dwyer), and clustered pods of barrels that achieve the million-round-per-minute numbers. The U.S. military is helping fund Metal Storm. If the Pentagon decides to adopt the weapon, it will probably enter use in 5 to 10 years--that's how long it will take for the military to design new weapons around the system, test them, and distribute them to soldiers. n

Metal Storm recently announced plans to conduct live firing demonstrations from an unmanned helicopter in the U.S. during the second quarter of 2004. This is the key deliverable under a Memorandum of Understanding (MOU) that Metal Storm signed with Dragonfly Pictures Inc.
