Anyone know what this means? Got this from the latest report of foriegn issuer news sec filing on their website. Not sure what this means with regards to our MCUR shares. However the conversion part 1/10,000 makes me wonder if MCUR shares will be converted over at a 1 for 10,000 like a split of some sort? Or am i Reading this wrong? Is it talking about share price of the newly listed LEAP stock?

Just wanting to know if my shares will be reduced upon being converted over to LEAP stock or if I will still have the same amount of shares but it will have a different price calculation? As for the par value that is not the IPO, so I do not think the leap stock upon going public would be that low.

SECTION 1.05. Certificates of Incorporation and By-laws .

(a) The Amended and Restated Certificate of Incorporation of Leap (the “ Leap Charter ”) and the Amended and Restated By-laws of Leap (the “ Leap By-laws ”) shall each be amended and restated immediately prior to the Effective Time to read in the form of Exhibit B (the “ New Leap Charter ”) and Exhibit C (the “ New Leap By-laws ”), respectively, and the New Leap Charter and the New Leap By-laws shall be the certificate of incorporation and By-laws of Leap until thereafter changed or amended as provided therein or by applicable Law. As a result of the amendment to the Leap Charter pursuant to this Section 1.05(a) , each share of common stock of Leap, par value $0.001 per share (the “ Leap Common Stock ”), issued and outstanding immediately prior to such amendment (including, without limitation, shares subject to then outstanding options) shall be converted (the “ Pre-Closing Leap Share Conversion ”) into a fraction of a share of Leap Common Stock equal to the quotient (calculated to the nearest 1/10,000 of a share) obtained by dividing (x) 6,500,000 by (y) the number of Pre-Split Outstanding Leap Shares, subject to adjustment in accordance with Section 6.23 of this Agreement (the “ Leap Share Conversion Ratio ”). In the event that the Leap Stock Options contemplated under Section 6.21 of this Agreement have not been granted at or prior to the time the Pre-Closing Leap Share Conversion becomes effective for any reason, then the 6,500,000 shares of Leap Common Stock referred to in the foregoing clause (x) shall be adjusted to a number of shares of Leap Common Stock such that, after giving effect to the Pre-Closing Leap Share Conversion and the grant of such Leap Stock Options following the Pre-Closing Leap Share Conversion, the Adjusted Outstanding Leap Shares immediately prior to the Effective Time shall be equal to 6,500,000, subject to further adjustment in accordance with Section 6.23 of this Agreement. I am still here. I guess all the day traders and other investors from yesterday, perhaps old investors decided to take their gains and that drove the price down. I will stay and expect it to go back up in future as the merger nears or after its complete it should go way up.

Joy, I look forward to it! I bought 5K at 2.06! I may slip out undetected though to fight my battles another day! Or i forget about it as the merger is due to take place by the end of the year. It should only take a month or two to get it setup, so probably by November we will be good!

Because I bought high!! HAHA.. I need it to go back up! But with this awesome news out and the fact that it was trading normally in the mid to upper 3$ range this time last year, one would deduct that it will shoot past that range. We just need some more news and it will bounce back up!

After the merger does anyone have a general idea of what the new stock will be worth? Since MCUR shares will become Leap shares when leap goes public. The news claims macrocure shareholders will exchange their existing shares for newly going public leap shares. Do not know what the IPO would be. Just curious, this is first merger i been through as a stockholder.

I"m in at 2.36...thinking I made another costly mistake.

I think it is good buy still. I jumped in a little late at 2.32 and since then it went as high as 2.5 but then settled where it is now. I think over the week it will continue to go up, but no one really knows for sure. It may be a good buy in right now.

LEAP is worth $12 by itself imo. Followed LEAP for years as a private company and always hoped it would come public. Immuno therapy and big connections. Will become a favorite.
