Kratos Defense & Security Solutions Inc. (KTOS) filed a Form 8K - Entry Into a Definitive Agreement - with the U.S Securities and Exchange Commission on September 07, 2017.
On September 12, 2017, Kratos Defense & Security Solutions, Inc. (the "Company") closed its previously announced public offering of common stock (the "Offering") in accordance with the terms of an underwriting agreement (the "Underwriting Agreement"), dated September 7, 2017, by and among the Company, J.P. Morgan Securities LLC and Goldman Sachs & Co, LLC, as representative of the several underwriters named therein (the "Underwriters").
Upon the closing of the Offering, the Company sold an aggregate of 16,100,000 shares of common stock to the Underwriters, which amount included 2,100,000 shares of common stock sold pursuant to an option granted to the Underwriters that was exercised in full. The Company received net proceeds from the Offering, after deducting commissions and expenses, of approximately $186.0 million.
The shares of the Company's common stock were offered and sold pursuant to the Company's registration statement on Form S-3ASR (File No. 333-220339) (the "Registration Statement"), filed with the Securities and Exchange Commission on September 5, 2017, as supplemented by the prospectus supplement, dated September 7, 2017. The Registration Statement became immediately effective pursuant to Rule 462(e) of the Securities Act of 1933, as amended (the "Securities Act").
The Company expects to use the net proceeds from this Offering to position the Company for projected growth from new and anticipated increased production on under contract programs and expected to be received new programs and contracts, to reduce its indebtedness in order to reduce its cost of capital and facilitate its long-term strategy, and for general corporate purposes, including potential acquisitions.

According to a research report by Deloitte, the global aerospace and defense industry is likely to experience stronger growth in 2017. The report indicates that the industry has experienced multiple years of positive but a subdued rate of growth and in 2017, the aerospace and defense industry is estimated to grow by about 2.0 percent. The global A&D sector revenue rebound is attributed to a number of factors in both the commercial aerospace sub-sector and the defense sub-sector. The defense sub-sector revenues are likely to grow at a much faster 3.2 percent in 2017. (Nasdaq:KTOS), a leading National Security Solutions provider, announced today that the Arab Satellite Communications Organization (Arabsat), the leading satellite operator in the Middle East, has selected Compass(R), Kratos' end-to-end network management product, to support its expanding satellite fleet ground operations.
Compass network monitoring and control (M&C) will help Arabsat scale its international operations by automating, and more effectively managing, the network functions of its ground operations supporting its expanding fleet. Compass will be deployed at the company's Teleports in Saudi Arabia and Tunis.
Compass' flexibility offers Arabsat the opportunity to develop its own network procedures according to their operations concept. Analyst give short term targets of from $10 to $14. I pay no attention to them at all. My "opinion" target based on my own study is $25 by the the end of the year. I computed that on on these facts: K has gained at a rate of 9.8 cents (.098) per day average since May 5th, last earnings report. There are 122 trading days left in 2016. Take that times .098 cents and it gives you $11.96 in gains (if it continues that rate of gain.) Add $11.96 to current price of $12.67 and you have $24.62. Okay, so I rounded up 38 cents. There you go. As far as DD, read my previous posts. There is quite a bit of info that is still current.

(Nasdaq:KTOS), a leading National Security Solutions provider, announced today that The Regulatory Authority (TRA) of the Sultanate of Oman has formally accepted the Advanced Space Radio Monitoring System (ASRMS) from Kratos. The multi-million dollar project started in late 2014 and includes ten years of long-term support services for the ASRMS system.
The most advanced system of its kind, ASRMS is a unique satellite monitoring and geolocation solution specifically developed to help Satellite Frequency Regulators identify authorized and unauthorized satellite communication signals, manage the satellite spectrum used in their respective countries, and provide for improved cooperation with other telecommunications regulatory agencies.
Working with TRA, Kratos was responsible for virtually every aspect of the system including the core satellite technology and associated hardware and software. ASRMS includes several Kratos antennas covering UHF/L/S/C/X/Ku/Ka frequency bands, a mobile vehicle providing analysis capabilities for both earth-to-space and space-to-earth signals and an unmanned aerial vehicle (UAV) spectrum analysing solution.
Kratos' Monics(R) carrier monitoring, satID(R) geolocation, Compass(R) network monitor & control (M&C) and NeuralStar(R)SQM service management products are integrated with the Antennas/RF system to provide an end-to-end solution that is integrated with TRA's frequency management system that manages all the spectrum licenses.
Additionally, Kratos managed the build-out of the extensive civil works (housing, road access, power, water, etc.) needed to support the system.
With a user friendly graphical interface based on automated procedures and advanced tools, ASRMS eases regulator management of the satellite RF spectrum over their countries including known and unknown transmissions.

Kratos was awarded three of the study's primary tasks: 1) defining the overall ground architecture; 2) identifying flexible and efficient mechanisms to provide wideband transport including both satellite communications (SATCOM) and ground resources; and 3) determining the operations management requirements needed to facilitate system control and situational awareness.

Today, Kratos went up .80 cents. It will double that when they announce their first Mako contract and do even better than that when the Valkyrie receives a contract and will do even better than all if they, along with Dynetics, acquire the Phase 3 of the gremlins contract in the first quarter of 2018. This is a buy and hold long term position.
