RESTAURANT GENERAL MANAGERS WILL RECEIVE SPECIAL EQUITY GRANT
NEWPORT BEACH, Calif., March 19, 2024 /PRNewswire/ -- Chipotle Mexican Grill, Inc. (CMG) today announced that its Board of Directors approved a 50-for-one split of its common stock. This would be one of the biggest stock splits in New York Stock Exchange (NYSE) history.
The stock split is subject to shareholder approval of an amendment to the Company's Certificate of Incorporation to increase the number of authorized shares of common stock to accommodate the stock split. The company intends to seek shareholder approval for this amendment at its upcoming annual meeting on June 6, 2024.
If the Certificate of Incorporation amendment is approved, shareholders of record as of June 18, 2024 will receive 49 additional shares for each share held, which will be distributed after market close on June 25, 2024. Chipotle's shares are expected to begin trading on a post-split basis at the market open on Wednesday, June 26, 2024.

GameStop rallied early Tuesday after announcing a massive stock sale on Friday. AMC Entertainment (AMC), Black Berry (BB) and other meme stocks followed GME shares higher.
GameStop (GME) on Friday announced it made $933.4 million by selling 45 million shares of common stock. The sale was part of an at-the-market equity offering program that was first announced May 17. GameStop plans to use the proceeds for general corporate purposes, which may include acquisitions and investments, according to the filing.
The company on May 17 also filed a shelf registration statement with the SEC, which allows it to issue more stock to sell at a future date in one or more offering rounds.
That filing noted that GameStop's charter allows it to issue up to 1 billion shares of common stock and up to 5 million shares of preferred stock. There were 306.187 million shares of GME common stock outstanding as of May 4.
GameStop Stock, Meme Action
GME stock soared more than 24% premarket Tuesday after the filing. GameStop is set to rebound above last week's high of 23.40 at the open. However, GME stock will still trade well below its May 14 high of 64.83, which marked its highest level since the 2021 meme rally. GameStop bolted 71% higher in May. But GME stock is only up 8.4% year to date.
Fellow meme stock AMC Entertainment leapt 5% early Tuesday. AMC stock spiked 65.2% this month, MarketSurge charts show. Still, AMC is down about 21% in 2024 despite the recent meme rally.
BlackBerry shares climbed 1.4% Tuesday morning. BB stock has pared its gains from May to just over 3%. Shares tumbled 18.6% so far this year.

Insmed Shares Surge After Drug Eases Lung Disease Symptoms

(Bloomberg) -- Insmed Inc. shares almost tripled after the company’s experimental drug reduced episodes of worsening symptoms in a final-stage study of patients with a rare lung condition.
Patients with bronchiectasis who received Insmed’s brensocatib had fewer exacerbations than those who got a placebo in the yearlong study, New Jersey-based Insmed said Tuesday in a statement. The company plans to file for US market clearance in the final quarter of the year and launch the drug in mid-2025.
The shares gained as much as 191% before US markets opened. They were up 131% as of 7:24 a.m. in New York.
Bronchiectasis causes widening and loosening of the airways in the lungs, along with accumulation of phlegm that can lead to bouts of coughing and breathing difficulty. If approved, Insmed’s drug would be the first to treat the disease, according to the statement.
The results are a “home run scenario,” JPMorgan analyst Jessica Fye said in a note. “We see these results transforming the company and unlocking a key driver of value.”

Tesla (TSLA) shareholders are voting in the run-up to the June 13 annual meeting as everyone awaits the result to see if Chief Executive Elon Musk's 2018 $56 billion compensation package will be reapproved or not.
Since Tesla on April 17 requested shareholders ratify Musk's 2018 pay package despite a Delaware court voiding the plan earlier this year, the EV giant has been attempting to drum up votes of its retail investor base. Musk's compensation deal is currently valued at around $46 billion.
The vote comes after a Delaware judge ruled against the 2018 package, deciding that the package was excessive and unfair to Tesla investors. The judge criticized Musk's "extensive ties" with Tesla board members.
Tesla board Chair Robyn Denholm and other Tesla executives plan to spend the coming weeks traveling across the world to get support from shareholders, according to the Wall Street Journal. In 2018, the Tesla board won approval for Musk's 2018 pay package with 73% of the vote.
Tesla shareholders are also currently voting on whether to move Tesla from Delaware to Texas. The EV giant has been incorporated in Delaware since 2003.
The Votes Needed
Voting has been open for the past few weeks. The Tesla board has recommended "yes" votes on both reincorporating in Texas and Musk's pay.
The vote on Musk's compensation requires a simple majority of votes, excluding those owned by Musk and his brother, Kimbal Musk. Meanwhile, the vote to reincorporate Tesla in Texas necessitates a majority of all shares outstanding, with any uncast votes counted as "no."
All Tesla stockholders can vote in Tesla's annual meeting with a deadline of 11:59 p.m. Eastern Standard Time on June 12. Registered stockholders may also vote at the virtual annual meeting.
Retail, or individual investors, currently own around 30% of Tesla shares. Last week, billionaire Leo Koguan, who reportedly holds more than 27 million TSLA shares, posted to X he had voted against Musk's compensation plan. Koguan also voted against incorporating Tesla in Texas and new board terms for Elon Musk, Kimbal Musk and James Murdoch.
Koguan has a net worth of $5.9 billion, Forbes estimates. He is one of the largest Tesla retail investors.
Institutional investors hold a much-larger share of Tesla stock than they did in 2018. Vanguard voted against the Musk pay package in 2018, while BlackRock and many others supported it.
In 2018, proxy advisory firm Institutional Shareholder Services recommended voting no on the Tesla package, saying the compensation was excessive. ISS has not weighed in on the current votes.
Eight institutional investors announced Monday they oppose Musk's pay package along with the reelection of Kimbal Musk and Murdoch, according to federal regulatory filings. The investors include Amalgamated Bank, New York City Comptroller, Nordea Asset Management, AkademikerPension and SOC Investment Group among others.
"It's like Mount Everest. It's a huge hill to climb because getting 50% of the shareholders to vote, let alone what they vote for, is quite tough," Tesla chair Denholm told the Financial Times late last week.
The Legal Situation
Meanwhile, it's still unclear how the Delaware court could respond. The judge has scheduled a July 8 hearing to decide whether lawyers for the Tesla shareholder who brought the case against Tesla will receive $6 billion in TSLA shares as a legal fee.
After that hearing, Musk can request the Delaware Supreme Court to review the case. Unless the decision is reversed on appeal, the 2018 pay package will not be recognized under Delaware law.
That's where Tesla's move to Texas comes in. If shareholders approve the reincorporation in Texas, legal challenges will be filed in that state and not Delaware.
However, Tesla shareholders could challenge the EV giant's move to Texas. If that happens that legal challenge would go through Delaware courts, according to Bloomberg.
Tesla Vote: Musk's Control Warning
Meanwhile, Musk has hinted throughout the year that he feels he needs more TSLA shares and voting power.
In January, Musk posted on X that he's "uncomfortable growing Tesla to be a leader in AI & robotics without having ~25% voting control." The chief executive added that he wants enough shares to be "influential but not so much that I can't be overturned."
"This is primarily about ensuring the right amount of voting influence at Tesla," Musk said. "At 15% or lower the for/against ratio to override me makes a taker by dubious interests too easy."
Musk currently has a nearly 13% stake in Tesla. Prior to selling TSLA shares to purchase Twitter, now X, for $44 billion in late 2022, Musk owned around 22% of Tesla.
Since issuing that warning, Tesla and Musk appear to be shifting toward an increased focus on autonomy, its Full Self-Driving (FSD) technology and its robotaxi program as EV demand has slowed.
Tesla Stock Performance And The Tesla Vote
TSLA shares fell 1.5% early Wednesday during premarket trade after advancing 6.6% to 186.54 on Tuesday. Tesla stock has sunk around 30% on the year.
Tesla reported first quarter earnings and revenue on April 23, and has rallied since then, finding support at its 50-day moving average, according to MarketSurge analysis. Tesla stock hit a 52-week low of 138.80 on April 22.
Adam Jonas, Morgan Stanley's high-profile autos analyst and a Tesla bull, wrote on Monday that "as investors question if the CEO's commitment is less or more, we believe Elon needs Tesla more than ever before."
"We would encourage investors to pay close attention to the June 13th shareholder vote," Jonas wrote Monday. "While impossible to predict the outcome, we expect the event could drive material volatility in the stock."
This comes after Jonas said on May 10 that the Tesla shareholder vote is significant to the "long-term strategic direction of the company."
Tesla stock ranks seventh in the 35-member IBD Auto Manufacturers industry group. The stock has a weak 39 Composite Rating out of a best-possible 99. Tesla stock also has a 19 Relative Strength Rating and a 62 EPS Rating.

Shopify’s (NYSE:SHOP) investment in marketing is about to pay off and drive revenue growth tailwinds in 2025, Goldman Sachs says, adding that the 23% YTD decline in shares presents an attractive entry point to own the “leading software platform in retail.”
Goldman Sachs analysts, led by Gabriela Borges, upgraded Shopify (SHOP) to Buy from Neutral and hiked their price target by 10% to $74, a 30% upside from Tuesday’s closing price.
The upgrade is driving the stock higher in premarket trading.
Goldman attributes the 23% drop in the stock to an investment cycle that weighed on the company’s margins and mixed consumer spending datapoints.
“Given Shopify’s significant technology moat in eCommerce software and share gain across eCommerce cycles, we believe these investments will drive more durable revenue growth at scale,” Borges et. al. said, adding that if Shopify (SHOP) is successful in converting investments to growth, there is a path to 42x 2026 free cash flow of $1.75 per share.

Tesla (TSLA) provided a significant update Monday on its long-in-the-tooth project to develop electric semitrucks, which has experienced a series of delays since CEO Elon Musk debuted the rig back in 2017.
The company confirmed its Tesla Semi remains on track for production-spec deliveries to customers by 2026 while offering more details on range and payload capacity for the EV truck.
Speaking at the Advanced Clean Transportation (ACT) Expo in Las Vegas, Tesla exec Dan Priestley said, "We're building a factory in Nevada that is being ramped in 2026 for customer deliveries and ramping to eventual target capacity to 50,000 units a year."
Currently, the Tesla Semi is in pilot testing with PepsiCo’s FritoLay division. Priestley said PepsiCo would be receiving an additional 50 trucks in its fleet for the pilot program. The company is currently testing approximately 35 trucks.
Tesla stock rose as much as 4.5% on Tuesday.

Zoom Video Communications (ZM) reported April-quarter earnings and revenue that topped estimates as enterprise sales growth beat views. Revenue guidance for Zoom Video stock came in slightly below expectations as Wall Street analysts look for a bottom amid decelerating growth.
The company reported first quarter earnings after the market close on Monday.
Zoom earnings for the first quarter were $1.35 per share on an adjusted basis, up 16% from a year earlier. Revenue rose 3.2% to $1.14 billion.
In addition, Zoom stock analysts had projected earnings of $1.19 a share on sales of $1.13 billion.
ZM Stock: Enterprise A Bright Spot
In the enterprise market for business customers, revenue rose 5.3% to $665.7 million, topping estimates of $659 million.
"Strength was driven by emerging products such as Contact Center, which management described as 'ready for prime time,' as it crossed 90 customers with $100,000-plus in annual recurring revenue," said RBC Capital analyst Rishi Jaluria in a report.

Revenue Growth To Re-Accelerate?
On the stock market today, Zoom stock fell 2% to 62.79 in early trading. ZM stock had retreated nearly 11% before the earnings report.
For the July quarter, Zoom said it expects revenue in a range of $1.145 billion to $1.15 billion, just below estimates of $1.15 billion.
"While Q2 guidance fell slightly shy of consensus expectations, Q2 is expected to be the trough and revenue growth should reaccelerate in the second half with some encouraging momentum, particularly with its emerging products (such as Contact Center)," said Mizuho Securities analyst Siti Panigrahi in a report.
Zoom's cloud-based software sets up video calls, with chat tools available. Zoom Video aims to morph into a broader communications platform for business customers.
Further, heading into the Zoom earnings report, shares traded near their 50-day moving average.
Meanwhile, Microsoft (MSFT) and its Teams communication platform is a big competitor.

Reddit shares topped 66 at one point early Friday, but backed off as GameStop tumbled again.
Microsoft (MSFT) edged higher in premarket trade. Shares edged down 0.5% to 420.99 on Thursday. MSFT stock has a 430.82 flat-base buy point, but a move above Thursday's high of 425.42 would offer an early entry.

May 16 (Reuters) - Retail darlings GameStop and AMC continued their slide for a second straight session on Thursday, as the euphoria over the return of "Roaring Kitty", who was the central figure in 2021 meme stock rally, fizzles out.
Shares of the struggling videogame retailer GameStop fell 12% to $34 after jumping as much as $64.83 this week, while fetching $1 billion in losses for short sellers, according to Ortex Technologies. Theater chain AMC shed 5.5% following an 88% gain since Friday's close.
Despite the losses on Wednesday, the two companies were among the top three most-traded shares by retail investors during the session, data from J.P.Morgan showed.
The sharp surge in the shares began after a series of posts from Keith Gill's X account "Roaring Kitty", whose bullish posts on GameStop was a reason for the 2021 meme stocks frenzy.
But unlike 2021, when Reddit users banded together to target highly shorted stocks that burnt bearish hedge funds, this time institutional investors too were part of the meme stock mania, Vanda Research, which tracks retail investor flows, said.
"The short sellers three years ago were completely surprised by the magnitude of the mass purchases and ultimately overwhelmed by the size of the short squeeze," said Rick Meckler, partner at Cherry Lane Investments.
"They have likely learned from that experience and left themselves less exposed thereby reducing the potential for extended upward pressure."
Hedge fund Renaissance Technologies placed a new bet for GameStop shares to rise further and significantly increased its long position in AMC during the first quarter.
GameStop stock was still nearly 70% below its 2021 peak, while AMC, which hit a record low last month, was 98% off its all-time high.
Since his first post on Sunday, Gill has put out more than 50 movies clips a day on X.com. He did not respond to a Reuters request for comment on what the posts mean and whether he planned on making his investments public again.
Former U.S. SEC Chair Jay Clayton told CNBC on Wednesday the posts have triggered "a wave of euphoric and speculative buying in the retail (trading) community which is never a good thing", adding that it was not illegal to say "I like a stock".
Options activity remained strong. GameStop and AMC were among the top ten securities with highest options volume on Wednesday, with majority of traders buying call options, which bet on a stock's rise, data from Options Clearing Corp showed.
The pace of borrowing for margin trading by U.S. investors, however, has been restrained compared to the GameStop short squeeze in January 2021, J.P.Morgan strategists said in a note.
"Retail investors are once bitten twice shy after they ended up losing a lot of money last time round," said Ben Laidler, global markets strategist at digital brokerage eToro.
"Even though there are more retail investors today, you're not seeing that follow through into the rally this time as you saw last time."
Other highly shorted stocks that caught a bid this week were choppy on Thursday. Tupperware fell 1%, while U.S.-listed BlackBerry shed 2.3%. Koss Corp slid 6% to $4.67.

GameStop stock and AMC shares soared early Monday after Keith Gill, who sparked the meme stock rally during the pandemic, made his return to social media for the first time in three years.
Gill, known by his social media name Roaring Kitty, on Sunday night posted on social media platform X, for the first time since June 2021. The post was an image of a meme implying he is "getting serious."
Gill rose to infamy in 2020 and 2021 as one of the key drivers for the GameStop (GME) short squeeze. The former financial broker and analyst was eventually called to testify in front of the House Financial Services Committee in February 2021 regarding a probe on potential market manipulation.
Retail investors celebrated with comments like "he's back," and "game on," or "just in time for the memecoin supercycle," in a reference to rising prices for smaller cryptocurrencies.
GME stock vaulted 54% early Monday following the post. GameStop shares were essentially flat on the year through Friday, closing at 17.46.
Theater chain AMC Entertainment (AMC) rallied 19% early Monday. AMC stock has dived nearly 53% in 2024 through Friday. Shares are not too far above their record low of 2.38 from April.
Previous Short Squeeze
Shares of GME stock surged 688% in 2021. Individual investors coordinated a buying spree in the video-game retailer's shares using online message boards. The buying surge caught by surprise the short sellers who were betting the stock would fall. These "shorts" faced unlimited losses unless they bought the stock, further fueling gains.
It was an innovative and controversial way to push GME stock higher.
GME stock ironically went up because it fell so much. And a large share of investors thought it would fall more.
Coming into 2021, GME shares had lost a third of their value over the previous five years. Investors betting the stock would fall, the shorts, controlled GME stock shares in late 2019. That overly bearish bet set up a perfect environment for a massive short-squeeze rally.

Peloton Files FMC Complaint Against Flexport, Citing ‘Millions’ in D&D Fees

Peloton is accusing Flexport of failing to move its cargo in a timely manner over a roughly three-year stretch, ultimately costing the lifestyle brand “millions” in unreasonable, improper demurrage and detention (D&D) charges.
The exercise equipment company, which gained popularity during the Covid-19 pandemic, filed a claim against the digital freight forwarder through the Federal Maritime Commission (FMC) on May 3.
Peloton says it incurred “substantial” injuries and monetary damages, but did not specify the amount of money it has spent on D&D fees. The company added that charges and damages are “continuing to be tabulated as of the filing of this complaint.”
“Flexport strictly complies with the Ocean Shipping Reform Act and all other rules and regulations within the Shipping Act,” a Flexport spokesperson said. “We go above and beyond to help all our customers ensure on-time delivery and minimize detention and demurrage charges, especially in times of stress like the supply chain crisis that many businesses faced during the pandemic.”

As part of their agreement, Peloton said that Flexport would transport its shipped goods between foreign ports and U.S. ports, as well as to designated U.S. inland locations. The inland transportation is where the problems took place, Peloton said in its 12-page complaint.
“From 2020 to 2023, Flexport repeatedly and chronically failed to properly perform its inland transportation obligations, including, but not limited to, failing to timely remove Peloton Containers from U.S. marine and intermodal terminals, failing to timely deliver Peloton Containers to their designated inland locations, and failing to timely return the empty containers within the applicable free time periods,” read the filing.
Flexport was responsible for arranging and paying for all aspects of the inland movement of Peloton’s goods, including the provision of chassis, and for ensuring the containers were removed from U.S. marine and intermodal terminals and delivered to the final designated inland destination. The freight forwarder subcontracted with motor carriers and railroads to conduct inland transportation, according to the complaint.
Additionally, Peloton says Flexport was supposed to ensure that empty containers would be brought back to their carrier-designated return locations.
Because of Flexport’s alleged failures, Peloton ended up working with another third-party logistics (3PL) provider to manage the inland intermodal transportation of some of its cargo.
Peloton’s filing is yet another claim against carriers and forwarders made through the FMC since 2022, following the passage of the Ocean Shipping Reform Act (OSRA).
The act was signed into law to create more transparency within the shipping community as more shippers claimed that carriers were sticking them with steep fees amid wider supply chain congestion. Furthermore, the claims were accruing as container shipping companies were raking in record profits throughout 2021 and 2022 amid the record-high freight rates at the time.
The fees arguably helped the firms maintain steady profits over that time frame. Between 2020 and 2022, nine of the largest carriers serving the U.S. liner trades individually charged a total of approximately $8.9 billion in demurrage and detention charges and collected roughly $6.9 billion, the FMC said.
But with OSRA in effect, the FMC has more oversight into areas like D&D charges, where the agency can now investigate complaints and enforce monetary penalties. With the expanded supervision, the FMC can also determine whether ocean carriers are unreasonable when they refuse to give shippers cargo space.
In 2024, companies have made claims against major shipping lines including Mediterranean Shipping Company (MSC), CMA CGM, Cosco Shipping, OOCL and Evergreen among others. Late last year, the estate of bankrupt Bed Bath & Beyond filed a $316 million claim against MSC, which was the biggest such complaint made with the FMC to date. The former retailer also filed similar claims against Yang Ming, OOCL and most recently against Evergreen, with all complaints including allegations of excessive D&D fees.
In February, the FMC updated regulations to clarify who can be billed, ensuring that middlemen like truckers that transport the cargo intermodally aren’t getting hit with the fees.
As of May 28, ocean carriers and marine terminal operators will be required to issue detention and demurrage invoices within 30 calendar days from when charges were last incurred. Under the new system, shippers will not be obligated to pay these fees if carriers fail to properly bill.
In the case of Flexport, Peloton is alleging that the freight tech company assessed the D&D charges against it without first evaluating who was responsible. The connected fitness brand pointed out that Flexport didn’t determine whether its own acts or omissions were a cause or contributing factor to the charges.
“Flexport assessed these D&D charges against Peloton and Peloton Containers in circumstances where Peloton was not the party responsible to pick up, move or return the Containers,” the complaint read.
Flexport’s invoices and billing information “lacked adequate detail” to determine the basis and responsibility for the individual D&D charges, Peloton claimed.
Peloton filed the complaint a day after CEO, president and board director Barry McCarthy announced that he would step down from all three of his positions. The fitness startup known for its series of exercise bikes plans to cut 15 percent of staff after having endured 13 straight quarters of financial losses.
