IMAGIN to Trade Common and Preferred Shares for a Large Block of Positron Corporation Equity and for 100% of the Equity of Planet Green Corporation
CHICAGO, Dec 23, 2009 -- IMAGIN Molecular Corporation (OTCBB: IMGM) has agreed in a letter of intent to issue 49% of the post capitalization of IMGM in exchange for 84,000,000 Positron Corporation common shares plus 100% of the equity of the Planet Green Bottle, all IMGM shares to be distributed to shareholders or affiliates of Planet Green. Certain Planet Green shareholders have agreed to accept IMGM Preferred Shares which will be convertible into IMGM common shares only if the new company is successful in achieving milestones of revenue of at least (US) $10, $25, $50 and $100 million annually in any year in the next 7 years. Contingent on achieving the individual milestones, each Class of Preferred Stock will become convertible into 25,000,000 common shares of IMGM. Conversion can be accelerated if the common shares of the new company trade at 50c per share or better for 20 consecutive days during that period. A Planet Green shareholder acquired 20,000,000 IMGM common shares payable in exchange for 10,000,000 Planet Green common shares and 10,000,000 Positron Corporation common shares held by the Planet Green shareholder.

It is gonna be mostly preferred till we hit the .50 or the revenue points for them to convert. I have seen no statements of any other dillution as of now on the sec. It is already performing at a one year high, and I am glad to be in here at the above. .05 now to see were we go.

Good morning all and I am just waiting to see what news we hold here this week. Keep in mind that the major holders for this r/m have to see a price above .50 for twenty days before they are even allowed to sell shares and get paid thru the r/m. They also have to reach the 5 million mark to get paid in installments of 1.8 million form the pr.
This is a motivated contract on this reverse merger and stands to have some real explosive upside potential in the near future to get paid for the reverse merger.
I am looking for more information all week from them as this developes into a world wide product helping reduce the plastic in our landfills and waterways around the world. Much like the new Frito Lay bags that biodegrade in a fraction of the time from the old plastic packaging products.

Good Morning just getting all the details on the page. The more I read the more I liked this company.
It has several companies under the Main IMGM Imagin company and they have split off divies in the past in there new ventures. I always like a company that has the potential to pay stock dividends in other companies.
I am searching for gold in one of these Holding companies like the old T stock of ma bell. lol I may never find the right one but I will find some nice dividends that might just payoff holding in ten or fifteen years.

That in 1996, 40% of all plastic PET bottles were recycled. PET bottles recycled dropped as a percentage to 23% by 2006. A wrong way trend for 10 years.
That there is a dead zone, an oceanic desert, in the middle of the Pacific Ocean called by marine scientist, Captain Charles Moore of the Agalita Marine Research Foundation (www.algalita.com): Plastic Soup. Plastic Soup is slow moving gyre, 10 million miles square, almost twice the size of the USA and bigger than Africa. It is a deep, churning cesspool of plastic bits ingested daily by marine life and maybe by us when we eat fish. Over time these plastic particles which Captain Moore calls “plastic poison pills” change the hormonal balance of marine life and wipe out species. Fifty years of plastics have washed through our rivers and ended up in the Pacific Plastic Soup or in a similar cesspool in the Atlantic Ocean.
That Captain Moore measured 6 pounds of plastic for every 1 pound of plankton, in 30 years he projects 60 pounds of plastic particles for every pound of plankton. Plankton is necessary to sustain sea life and maybe its absence will even effect our beloved sashimi.
That Planet Green Bottle Corp has an additive that causes PET plastic bottles to biodegrade on an accelerated basis when exposed to oxygen and UV light. Our additive does not interfere with recycling programs since it is compatible to oil-based PET plastic, and if our oxo-biodegradable plastic bottle ends up in a landfill or a river as 75% do it will biodegrade over time decomposed to CO 2 and water.
That approximately 80% of the world’s market for water in plastic PET bottles is processed by 3 giant bottlers. The Big 3 are committed to recycling which is a good thing but their recycling programs are obviously not working. The Big 3 however are doing nothing to mitigate the ever growing effects of the Great Pacific Plastic Soup churning full of non-biodegradable plastic. That oceanic plastic cesspool will kill our marine life and put future human populations at risk if unchecked.
THE POINT IS: Only by the millenium, 3,000 to 3,999 will our oceans have even a chance to cleanse themselves to acceptable levels of plastic particles in the sea. If we care about the shape of the planet that we leave behind, we must start NOW in order to allow future generations to live unpolluted by poison plastic intake.

Technical Questions & Answers on Reverte™ in PET Plastic bottles
1. What aging tests have been performed? Do you reall y know what happens to the shelf stability of these bottles if kept on the shelf 1-2 years?
We currently have the first samples of bottles in our laboratory undergoing accelerated aging tests. The interim report concludes a very positive progress of these. Reverte™ has been specially formulated for a ‘long dwell time’ exactly for this application and we are therefore confident that within the first 2 years at least, the bottles will show no signs of degradation on the shelf.
2. Has PGBC or Wells done migration testing in the PET beverage application to determine if anything migrates out of the plastic into the water in the bottle?
The additive was independently tested by Smithers Rapra for migration in the PET form (see under Accreditations; it is our conclusion there is no reason why the integrity of the bottles would be compromised by incorporating Reverte.
3. If the bottles are programmed with a stabilizer to inhibit the premature trigger and give it a 24 month shelf life, and many (or most) of them are used in 3-12 months after production, and then discarded into a plastic garbage bag, that gets compacted and goes into a landfill and covered daily (with minimal or no light and oxygen), how do you even know that the bottle ever gets the conditions to trigger the initial degradation process, if it is intentionally being retarded for 24 months? Have there been any real world tests done to indicate that it really triggers? (The simulated accelerated lab UV tests really only indicate that it is capable of degrading if the right optimal conditions are present, but does not reflect the conditions the bottles really wind up in...)
Reverte™ contains a metal ion that catalyses oxidation of the polymer chain causing serial chain scission. This initial chain scission reaction requires metal ions, oxygen and energy. The energy comes in the form of free radicals generated by UV light / heat.
To stop the reaction taking place too quickly we include a cocktail of free radical scavengers to take the energy out of the system before it can be used in the oxidation process. These scavengers are sacrificial which means they are used up every time they take out a packet of energy. When they are all used up the reaction takes off. This gives the “dwell time” property that is followed by the rapid polymer breakdown.
In addition (and here’s the crunch that separates Reverte™ from other oxo bio additives) we have another set of free radical scavengers that are extremely efficient and immediately gobble up all the energy (free radicals) that appear. This system is again sacrificial and when the scavenger is all used up then the breakdown reaction again commences in earnest. BUT, this free radical scavenging system is effectively deactivated after a short UV light exposure. This means that left to its own devices (in the dark) product containing these Reverte™ grades will have a longer dwell time before the various scavenging packages are used up.
The photodeactivatable free radical scavenger needs a certain level of UV to totally take it out of the picture. This isn’t an exact science because it is dependent on thicknesses, pigmentations and the vagaries of weather etc, but it is in the order of 10 hours exposure at 80kLypa. This is approximately 183Ly of total exposure. You can see that this is quite low! (Yes, it’s in Langleys not KiloLangleys).
For example in Florida sunshine this deactivation level may be around 4 hours, in the Winter Arctic it’s probably around 40 hours. By the way, the UV “trigger dose” shouldn’t be thought of as a magic bullet, try and imagine grains of sand on one side of a balance. Even a short UV exposure will use up a portion of the scavenger and this will shorten the “in the dark” dwell time. This dwell time is controlled by the other scavengers (not the photodeactivatable) and so should be fairly constant at a given temperature no matter what.
The UV wavelength doesn’t have a significant effect (natural light consists of a broad UV spectrum) but of course the intensity does because it’s all about energy!
Finally, once triggered it’s more about temperature than light (although, of course, you get some free radical generation from light energy), so once it’s totally triggered it could be kept in the dark .
Reverte™ products have been used in wide range of real word applications over the years where performance has been critical and marketing less so!!! Such as agricultural mulch films and carrier bags. Testing in the environment has correlated extremely well with our in house test protocols and over the years we have supplied this range of products into the marketplace we have yet to find a spurious result.
4. Has Wells / PGBC gone through an FDA food contact notification process (not just saying that they comply with guidelines)? My understanding is that usage of an additive in a new application (such as with PET), should be submitted to the FDA to see if they have any objections.
No. We do not believe that we need to make any submissions to the FDA as we have independent certification (see attached under Accreditations) for the Reverte™ PET additive.
5. Were the recyclability tests done to the guidelines of the Association of Post Consumer Plastics Recyclers’, or have they reviewed the tests (they are the main trade group in the US)?
Recycling within the UK is extremely well developed with regards to PET, and in fact the window of materials allowed to go back in has become wider. We have conducted extensive tests in PE post consumer recycling and to a lesser degree PP. Our work with PET recycling has only been conducted within our laboratory facility, however again at this stage we see no contra indications; our plan is to conduct further trials over the coming months.
6. What about landfill biodegradation. Does PGBC or Wells have scientific studies indicating the technology really would biodegrade in a landfill? (Typically the scientific community would want to see evidence of anaerobic biodegradation to be able to make the claim of effectiveness in the landfill.) The FTC has some tough rules about landfill biodegradation claims, and I’m concerned we could be a target without the proper science to back it up. What studies have been done in this area to prove that the bottle gets the conditions it needs when sent to the landfill to really, A) trigger, and B) follow through and biodegrade?
The route of degradation follows the same basic principles and therefore what works for PE works for PET, the trick is to get the first stage of oxidation underway, so again no specific studies have been done with PET but they have been done on other polymers using the technology and since the principal is the same it is not unreasonable to assume the bottle will biodegrade in a landfill.
7. You mentioned about biodegrading in a marine environment. Have there been any tests on marine biodegradation done? (There are specific test protocols for this.)
There have not been any specific tests done with PET in a marine environment but given that in this situation there is plenty of UV light and often high temperatures then we have confidence in the oxo-biodegradation process working well here.
8. What happens if the water bottles have exposure to extended sunlight or high heat, before the water is consumed? (such as in a hot car or stored in a trailer truck)?
The Reverte™ additive package for PET bottles has been formulated to ensure no degradation (see explanation above) will occur during the shelf – life of the product even if exposed to sunlight and heat during this period.
9. California, USA has passed legislation that will require plastic containers, utensils, bags that claim to be “biodegradable” to comply with the composting standards (the PLA interests pulled quite a coup there) in order to make the claim.... this means that those making claims of biodegradability there will face a problem. It seems that they intentionally targeted biodegradables there with this legislation, and their studies. Why do you think they would now make an exception for your oxo-biodegradable technology? How are you advising customers with California presence to deal with this, without facing repercussions there?
We are very aware, indeed we were in there fighting for eco-friendly technology, about the new legislation in California (which we believe is flawed) but our understanding is that as long as we use the term eco friendly then we are OK. We therefore always insist on users of Reverte™ to avoid the word Oxo-Biodegradable (not only in CA but everywhere) and instead use the Reverte branding.
Frequently Asked Questions about Reverte™ Oxo Biodegradable Additives
These are a few points recently raised by PET preform & bottle manufacturers:
Current thinking by this industry, as noted below, is that making PET containers biodegradable has several negatives:
Q1. It makes a perfectly recyclable material unusable, wasting valuable
resources.
– This is true for biopolymers (e.g. PLA – corn starch bottles ) but not for Reverte™ PET bottles which are recyclable in the normal manner.
Q2. It contaminates the recycling stream and is difficult or impossible to
sort.
– Yes for biopolymers but not Reverte™ PET bottles.
Q3. It doesn't reduce waste to landfills.
- Reverte™ PET bottles will indeed help greatly in reducing the amount of waste going into landfills by firstly breaking them down, and then promoting their biodegradation. It also allows the carbon not to be lost but returned to the carbon sink.
Q4. Most PET bottles don't decompose in the ocean, so it doesn't solve the marine waste problem.
- Reverte™ PET bottles will oxo-biodegrade if they find their way into the ocean since in this environment there is usually plenty of oxygen, UV light and heat which are required for the oxo-biodegradation process.
Q5. Most additives are not truly biodegradable, but allow the plastic to
break up into little bits so it disappears from view but is still present
in the environment.
- This is often quoted by people who either don’t fully understand the technology, or more likely prefer to make disparaging remarks about it. Reverte™ does indeed firstly break down the PET into fragments but then these fragments are bio-digested until all that ultimately remains is CO2 and water.
Q6. Most of these additives require either sunlight or oxygen, both of
which don't exist in landfills.
- Reverte does indeed require a small amount of UV light to initiate the process, and then both oxygen and temperatures above 0ºC during the first stage (oxidation) of the process. There is normally sufficient amounts of both of these available, certainly in the upper levels of landfills.
Q7. There is no infrastructure for composting.
- There are few industrial composting facilities available in most countries. This fact therefore makes Reverte™ products even more helpful since we do not recommend composting plastic products incorporating Reverte™. They do not need composting facilities in order to breakdown and ultimately biodegrade. A typical landfill will do.
Q8. Some studies have shown that making packaging biodegradable actually
encourages littering.
- We are not aware of any such studies but there will always be people who will deliberately or accidentally discard their plastic waste. What will happen to all the plastic waste that will not be recycled or nor incinerated, and instead will litter the countryside – Reverte™ is intended to address these PET bottles. Would it not be better if the discarded plastic were all oxo-biodegradable?
Q9. IN the USA, the Oregon and California Departments of Conservation have issued statements NOT recommending bio-based substitutes for PET in beverage containers for many of the same reasons listed above. NAPCOR and the APR also consider biodegradable and bio-based materials in containers to be contaminants.
- We agree about bio-based substitutes – being PLA – the bottles derived from corn & other starches; and therefore recommend PET incorporating Reverte™ for all beverage containers.
How Reverte™ Works
The “Energy hump”
The chemical reaction that breaks down (oxidises) polyolefin’s like polyethylene / polypropylene isn’t difficult to start, it’s just difficult to control.
The clever chemistry that surrounds the proprietary Reverte™ oxo-biodegradable additive is all about the controlling package, not the actual oxidation.
The chemical reaction that breaks down the polymer chains needs two main things: energy and oxygen.
The energy can come as heat or light and would normally (in chemistry terms) be described as “free radicals”.
The method used to control the oxidative breakdown generally relies on having a product there that takes away the energy, thus “using it up” before it can be used for the polymer breakdown.
These types of products are called “free radical scavengers” because they do just that – they use up or “scavenge” the energy (free radicals) before they can make the breakdown reaction occur.
Certain types of free radical scavengers are used up. This means that every time they scavenge some energy they change in such a way that they can’t do it again. These types of chemicals are called “fugitive” as they aren’t there once they’ve done their job. This is the basis of the Reverte™ control package in as much as you put in a certain amount of fugitive free radical scavenger which gobbles up the activation energy that would cause the oxidative breakdown to commence, but when all of the free radical scavenger is used up then the reaction starts.
Our products are a little different because we put in a VERY efficient free radical scavenger which breaks down into a less efficient free radical scavenger once it is exposed to a very small amount of natural light (UV).
So, the very efficient free radical scavenger will do its job and protect the polymer from the breakdown reaction for a long time. Once it is broken down by a small UV exposure it becomes far less efficient and the breakdown reaction starts in earnest.
This doesn’t mean it will stop the breakdown “forever”, just that it gives an added confidence that premature breakdown prior to disposal is safeguarded against.
The “energy hump” is the term used to describe the amount of energy required to break down the very efficient free radical scavenger into the less efficient one.
2. Dwell Time
This describes the time in which the product, once over the “energy hump” doesn’t behave any differently from the control.
In other words it’s the second guarantee against rapid polymer breakdown in which the “less efficient” free radical scavenging system is working away and being slowly used up.
3. Embrittlement
This describes the point at which the polymer ceases being a flexible, elastic substance and has been changed into a stiff, friable product that breaks up at the gentlest touch.
This is obviously caused by the polymer chain scission (repeated chain shortening) that has been induced by the pro-oxidant additive package.
4. Biodegradation
When a polymer is at its normal useful chain length it is too large and too hydrophobic for microbes to break down and bio-digest.
Once the polymer chain has been reduced from its initial value of around 250,000 units to around 10,000 units it is available for microbial (biological) attack.
Microbes can then utilise the polymer as a “food source”. A consequence of this is that the carbon atoms that make up the backbone of the polymer are converted by the microbes into carbon dioxide. Further by-products of this “biodegradation” are water and “biomass” which is a soup of organic breakdown compounds that have yet to be made into CO2 and water.
These three categories are the natural and normal breakdown products of any organic matter.
5. Timescales
How long is a piece of string?
We are talking about natural, biological occurrences which depend on temperature, available moisture, biological viability of the surrounding soil (or other) medium and maybe even sunlight (seasonal weather).
However, we try to overcome this total predictive impossibility by assuming an imaginary time in a perfect climate of 20oC with 12 hour days of “normal” sunlight… etc
Under these assumed conditions we can make a good stab at predicting dwell times and times to embrittlement. You’ve seen these predictive results. Our practical feedback from field trials would suggest they are pretty good guesses.
Time to biodegradation is equally difficult due to all of the above uncontrolled variables plus the last one, which I’d like to stress is maybe the most difficult, which is the level and viability of the microbes in the medium surrounding the discarded product.
Again by assuming that the pre-oxidation stage has been successful, that there is a high level of available microbes, a good microbe sustaining temperature and a good level of microbe sustaining moisture we can do tests to predict how long until the product is deemed to be “biodegraded”. By the way, depending on who you listen to, what specs you read and whose opinion counts, this could be when 90% of the available carbon is converted to Carbon dioxide…. or 60%... or even less.
We try and speed up this secondary biodegradation stage by including a biodegradation promoter in our Reverte formulations which encourages the development of microbial colonies before the chain scission has occurred.
However and notwithstanding all of the above comments, predictions of secondary biodegradation would normally fall into the 2 to 3 year area (assumptions as above).
What is Reverte™
PET plastic bottles incorporating the Reverte™ Oxo Biodegradable additive are fully compatible within current municipal collection and recycling prgrams without any contamination to the other plastics being recycled. Planet Green fully supports and encourages recycling as a means to re-use and re-process plastics for other products, including bottles.
Reverte™ is a proprietary additive for PET plastics that is completely harmless to humans, animals and plant life and are non-toxic, leaving no known harmful residues in the soil or waste streams.
Plastics incorporating Reverte™ will ultimately biodegrade into CO2, H2O and biomass when discarded whether ending up in any viable landfill or another viable part of the waste stream.
Compared with other oxo-biodegradable additives available on the market Reverte™ additives contain a two part control package which differentiates it as follows:
Firstly, the Reverte™ additive control package is photo-initiated which means that the oxo-breakdown reaction doesn't significantly begin before the product is discarded and exposed to UV light and/or heat. Reverte™ therefore gives an enhanced level of confidence compared to other biodegradable additives, particularly with respect to “fit-for-purpose” product life times.
Secondly, Reverte™ has secondary phase biodegradation promoters which assist the growth of microbial colonies. This speeds up and facilitates the ultimate biodegradation of the plastic following the initial oxo-breakdown.
The above are unique to Reverte™ and the secondary phase biodegradation promoters are particularly invaluable in situations where little or no UV light or heat is available since in these circumstances the Reverte™ biodegradation process is more likely to continue.
Plastics incorporating Reverte™ do not emit any offensive odours during their oxo-biodegradation.
Reverte™ additives comply with FDA, Health Canada and EC Food Contact regulations.

CALGARY, Alberta, Mar 9, 2011 (GlobeNewswire via COMTEX) -- Imagin Molecular Corporation (IMGM.OB) (the "Company") has agreed to change its corporate name to The Planet Bottle Corporation as approved by consent of a majority of the Company's shareholders. The Company's management has decided to focus on its creative solution for introducing biodegradable plastic bottles to the food and beverage industry.
As the Company pursues its business objectives it will transfer all of its operations and investments in the imaging business to IMAGIN Diagnostic Centres, Inc. (IDC) a Canadian company. Included in this plan is a reversal of the plans to acquire and/or develop cardiac and cancer imaging centres across Canada. The Company has reversed the planned transaction with IDC wherein IDC acquired control of the Company through the conveyance of 3,100,000 Class B Convertible Preferred Shares of Positron Corporation in exchange for 310,000,000 common shares of the Company's common stock.
