Pathion had a similar deal with Lithium (LTUP) back in 2014. A little more lucrative 1.25 Mil Purchase and 500 Mil of Pathion common stock. But I’m sure Lithium stock is priced higher from 2014, but who knows???? Lithium’s stock more than doubled on the news. This was obtained from PRs I viewed on the Internet and I am not guaranteeing the accuracy of this.
She had a hard time to break 1.00 today. Are you sure we will see 1.00 and even 1.50 tomorrow

Pathion is a much bigger company than the 2.8 Mil revenue I saw on the Internet. 2.8 Mil was probably their revs years ago. I would guess 25 - 50 Mil plus company. This is probably way too low of a guess.

Seems you haven't followed this company very long. This is their PPSA IP that was supposed to be worth tens or hundreds of millions. They built their own line of power converters based on it over 5 years ago, but failed to generate any meaningful sales despite the enormous market in renewable energy. They managed to find a single IP licensee. So $500k is cash is a pittance. 150k shares in the other company.. who knows. $1m of liabilities off their books.. that's good but big picture is that this sale was a fire sale and the benefit to the shareholders is negligeable. Only B-TRAN can save them now, but will they succeed with it? Time will tell.

Looks like $2.8 million in revenue (last year??). No financials. But scroll down for a little more history on other transactions.
They have 25 million shares if fully diluted (maybe a bit less with the recent cancellation of options), so not much. It just helps extend the runway they have before needing more funds. They had cash of $3.2MM at the start of the year (and no debt) but we don't know their new burn rate. Hopefully lean enough to get them down the road to a B-TRAN licensing deal with up-front payments.
I have no idea what the shares of Pathion are worth, they're a private co.
Well, the market seems to like the news (current market cap of $23MM though), but how long will this run last? They need to show serious interest in their B-TRAN IP. I still have hope.
On April 11, 2019, Ideal Power Inc. (the “ Company ”) entered into an asset purchase agreement (the “ Purchase Agreement ”) with Pathion Holdings, Inc., a Delaware corporation (the “ Purchaser ”) and Pathion, Inc., a Delaware corporation (“ Subsidiary ” and together with the Purchaser, the “ Purchaser Entities ”) to sell certain assets related to the Company’s PPSA™ / Power Conversion Systems business (the “ PPSA Business ”). The purchase price consists of $500,000 in cash and 150,000 shares of the common stock of the Purchaser. Pursuant to the Purchase Agreement, the Purchaser will assume certain liabilities relating to the PPSA Business, and the Purchaser shall have a limited three (3) year exclusive option to purchase the Company’s B-TRAN™ (Bi-directional bi-polar junction transistor), subject to certain minimum purchase obligations. The option is limited to third parties and for use in commercial, industrial, microgrid and grid-scale standalone energy storage systems using an integrated multi-port power conversion system. The Purchase Agreement contains customary provisions for an asset sale including representations and warranties, indemnification for intellectual property-related matters and indemnification, expiring after 6 months, for certain assumed liabilities in excess of $1 million. The closing of the transaction is contingent upon the Company and the Purchaser entering into an agreement pursuant to which the Company will sublease to the Purchaser approximately 80% of the premises located at 4120 Freidrich Lane, Suite 100, Austin, Texas, and the satisfaction of customary closing conditions. Subject to certain exceptions described in the Purchase Agreement, in the event that the Purchase Agreement is terminated by either party prior to closing, a “break-up” fee of $200,000 shall be payable to the non-terminating party. The transaction is expected to close in April 2019. The foregoing description of the Purchase Agreement does not purport to be complete and highlights only those terms and conditions of the Purchase Agreement which are material to the Company.

So they sold PPSA for $500k in cash, $1MM in liabilities, and 150k shares in Pathion (worth what?). What a joke. Such a great technology but a complete inability to commercialize it.
While their B-TRAN technology could be bigger, I don't see how the largely same team will have any more success licensing that. We'll see.
Stock is up 20% since the delayed earnings call.. but the volume is uninspiring. Odd that 10 days later there is still no news. Anything material will have to be 8K'd, and the only hint we have so far is the stock option forfeiture announced April 4. Any ideas what that could foretell? Possibly a new strategic investor who doesn't think management deserves their options (who would disagree!)?

Delayed earnings call today due to "ongoing developments". Could be ominous, could be positive.. hard to tell (market appears to think it may be positive).
The market cap on this company is a mere $6MM ... hard not to want to gamble a bit down here.. so I threw a little at it today. Ironically I now hold more shares than I ever did before when I first invested at about $8.
If they're smart, they'll just sell the IP to their PPSA (they never managed to sell their own converters) and focus entirely on B-TRAN. But even then, with the commercial blunder that was PPSA, there are no guarantees they can do better with B-TRAN, regardless of how good a technology is it. (betamax vs. VHS anyone?)

Ouch. This co had so much potential. This is aweful, but indicative of how the markets views the complete lack of ability to sell their IP.
CTO fired for pledging his shares as collateral.
Dumb move. Not sure if this will impact the company though -- their issue is a lack of commercial traction. They need to step up their game fast before their IP moat becomes obsolete.
Still hoping the B-TRAN will be a game changer for the company. Otherwise, I'm starting to think this is just another betamax story.

On November 7, 2017, Bill Alexander’s employment as the Chief Technologist of Ideal Power Inc., a Delaware corporation (the “ Company ”), was terminated for cause pursuant to the terms of his employment agreement dated September 16, 2014. The Company recently discovered that Mr. Alexander, at the time that he was an executive officer and director of the Company, pledged shares of common stock as collateral for a personal loan in violation of the Company’s insider trading policy and code of conduct. Under the terms of his employment agreement, Mr. Alexander will not be paid any severance in connection with the termination of his employment for cause.
I was also thinking whether it could be a response to the NEC announcement. If so, we should have sold into the rally, because I doubt it will have any meaningful impact on Ideal Power. If NEC at all will use their DSS (their C&I-scale system) for those projects (which I doubt they will - I guess they will rather use their GSS grid-scale system), then it is important to note that they use Ideal Power converters only for the 30 kW modules, while I would presume that they will stack several 650 kW modules in these two 10 MWh and 40 MWh projects. If so, Ideal Power would stand to gain zero from the projects announced by NEC.

Nice action today -- is this the NEC announcement about the 50MW storage project? They use Ideal Power inverters, if I'm not mistaken (would be ~ $10MM of orders for Ideal).
