The IBSG International is a publicly traded company that is a holding company for various private software technology companies with technical and market synergy. IBSG International acquired IBS Group, Inc in February 2004. IBS Group, Inc. took over the management of assets of Commerce, Inc. which commenced business in 1997 selling enterprise solutions that greatly enhance the operating efficiency and create revenue for State Small Business Development Centers, Small-Medium Enterprises (SMEs), business associations (e.g., Chambers of Commerce) and Fortune 1000 corporations through the licensing of its unique turnkey digital service center software, which provides a broad range of digital budgetary, administrative and commercial services (B2B, e-commerce, government to business and enterprise business services) on a single platform. Sales of the core product and services will be sold both in the US and the UK. The assets of a company called RedHand International were acquired in June of 2004 (LOI entered into in April of 2004). As a newly formed subsidiary of IBSG International, Secure Blue was established to utilize its security technology in addressing the digital monitoring of records in satisfaction of Sarbanes-Oxley. The focus of Secure Blue’s market will be the SMEs small cap publicly traded companies and expanding into Fortune 1000 companies. Additional opportunities in the federal and local government security markets will be explored. Secure Blues’ technology will address Sarbanes-Oxley requirements. The security technologies developed in SecureBlue Sox Pro are intended to be incorporated into IBS Group’s digital commerce technology to enhance the tracking of usage, storage and security. The cost effective operation of the various companies is based on centralizing various back end functions which permits the subsidiaries to operate in a highly cost effective environment. Company Profile IBSG International, Inc. is a holding company for two software subsidiaries: Intelligent Business Systems Group, Inc. (IBSG), a provider of turnkey digital service center software; and Secure Blue, Inc., a Sarbanes-Oxley and security software developer. IBSG offers enterprise solutions designed to enhance the operating efficiency and create revenue for State Small Business Development Centers, business associations, such as Chambers of Commerce, and Fortune 1000 corporations through the licensing of its unique turnkey digital service center software, which provides a broad range of budgetary, administrative and commercial services to business and enterprise. The Company's other subsidiary, Secure Blue, Inc. provides a robust economical Sarbanes-Oxley (SOX) compliance and security software product, Secure Blue Pro. This product is targeted to small and mid cap public companies and private companies that work with public companies and must be in compliance with SOX as a result of working with a public company. As software providers, system integrators and Application Service Providers, IBSG, Inc. and Secure Blue, Inc. generate their revenue from license sales, system modifications, system support and a percentage of monthly customer fees. The typical IBSG/Secure Blue license agreement has a five-year term, but is updated on an annual basis and almost invariably renewed upon expiration. Key Investment Opportunities IBSG's revenues have grown from $518,000 in 1998 to $4.64 million in 2004. FY 2004 results include net profits of $743,039 for the 4th quarter and $198,424 for the 3rd quarter. The target market for IBSG'S Biz World Pro system is estimated to be about $2 billion. The Company conservatively expects to achieve annual revenues of over $60 million within three years, with EBITDA exceeding 75% of revenues, and net earnings approaching 30% of revenues. The Company reported gross assets at the end of FY 2004 of $5,871,293, an increase of more than 38% from the third quarter's report of $4,266,521. Shareholder's equity increased by 54.6% to $3,923,862 from $2,537,545 for a net gain of $1,386,317 between the 3rd to 4th quarters. The Company believes it will soon be qualified to list on NASDAQ, since it has tangible gross assets of nearly $4.5 million and shareholders' equity in excess of $3 million. The company expects to submit its application for NASDAQ in 2005, with an expected listing shortly thereafter. IBSG's flagship product, Biz World Pro, provides IBSG's licensees with the ability to operate a turnkey digital service center that integrates a number of vertical market entities (clients or sublicensees) on a single platform without requiring the business to have a pre-existing web site or digital catalogue. Branded and administered by the customer, the system is installed on a customer's servers or hosted by IBSG and accessed via their web site. Utilizing the Biz World Pro, the licensees are able to offer a broad spectrum of services, including sales of services and products, sales management, formal bid management (B2B and G2B), sub-contracting & strategic alliance searches, fiscal management, inventory control, regional market analysis and employment services.
