Huntsman Corp. (HUN), the U.S. chemicals producer founded by Jon Huntsman Sr., rose the most in three weeks after DealReporter said it hired Bank of America Corp. to explore a potential sale of the company.
Huntsman rose 5.6 percent to $14.79 as of 2:20 p.m. in New York. Earlier it climbed as much as 6.1 percent, the biggest intraday gain since March 8.
DealReporter cited two people in the industry whom it didn’t identify. Gary Chapman, a spokesman for Huntsman, which is run from Salt Lake City and The Woodlands, Texas, declined to comment in an e-mail.
Jon Huntsman Sr. said in a March 8 investor presentation that he’d pursue a sale of the company “at the right price” because it’s being undervalued by the market.

Huntsman May Relocate Some Capacity to U.S. After Gas-Price Drop

Huntsman Corp. (HUN), the world’s biggest maker of textile dyes, plans to expand chemical production in the U.S. and may relocate some capacity from other countries to take advantage of a drop in domestic natural-gas prices.
Gas is cheap enough to justify shifting some production to the U.S. for energy-intensive products such as MDI, an insulation ingredient, and surfactants, which are used in detergents, Chief Executive Officer Peter Huntsman said today in a telephone interview.
“In some of those products we already have taken steps to more fully utilize our North American cost advantage,” he said. “In the course of the next 18 months, we will incrementally be expanding capacity and continuing to look at capacity in North America to take advantage of the gas situation.”
The company plans to fully utilize existing North American capacity while it plans expansions to be announced at a later date, said the CEO, whose brother Jon Huntsman Jr. withdrew his candidacy for the Republican presidential nomination last month. Adding 10 employees at a factory creates 100 jobs in related fields such as shipping, construction and maintenance, Peter Huntsman said.
North American gas prices are the equivalent of crude oil costing $15 to $20 a barrel, compared with $60 in Europe and $90 in Asia, he said. U.S. gas futures fell last month to their lowest in a decade.
Construction Recovery
Huntsman, which is based in Salt Lake City, joins chemical producers Dow Chemical Co. (DOW) and Methanex Corp. (MX) in expanding U.S. production to take advantage of cheap gas. Dow plans to spend $4 billion to boost production of chemicals such as ethylene and propylene in Texas and Louisiana. Vancouver-based Methanex plans to move a Chilean methanol plant to Louisiana.
Peter Huntsman said earnings before interest, taxes, depreciation and amortization this year probably will be unchanged from 2011, although growth in the U.S. and China appears stronger than last month when company was working on its budget. Accelerating home construction could result in unexpected earnings growth from titanium dioxide, a white pigment that accounted for 60 percent of fourth-quarter profit, he said.
“If I were putting that budget together today, I’d still say ‘flat,’ but I’m more optimistic that it could be on the upside,” he said. “We are going to see real improvement in our polyurethanes business, in our advanced materials business and in our textiles effect business.”
‘High’ Valuations
Huntsman rose 7.7 percent to $13.99 in New York. The shares gained 40 percent this year.
Ebitda excluding some items rose 39 percent last year to $1.21 billion, Huntsman Corp. said today in a statement. Ebitda in 2012 is estimated to be $1.33 billion according to the average estimate of seven analysts in a Bloomberg survey.
Huntsman said he doesn’t plan “to get overly aggressive” in pursuing acquisitions, particularly in titanium oxide, where valuations are “running on the high side.”

Segment Analysis for 4Q11 Compared to 4Q10
Polyurethanes
The increase in revenues in our Polyurethanes division for the three months ended December 31, 2011 compared to the same period in 2010 was primarily due to higher average selling prices. Average MDI and PO/MTBE selling prices increased primarily in response to higher raw material costs. The decrease in adjusted EBITDA was due to higher manufacturing and selling, general and administrative costs and lower MDI contribution margins.
Performance Products
The increase in revenues in our Performance Products division for the three months ended December 31, 2011 compared to the same period in 2010 was primarily due to higher average selling prices partially offset by lower sales volumes. Average selling prices increased across most product groups with the exception of certain amines primarily in response to higher raw material costs. Sales volumes decreased due to lower demand and customer destocking. The decrease in adjusted EBITDA was primarily due to lower sales volumes and higher manufacturing and selling, general and administrative costs.
Advanced Materials
The decrease in revenues in our Advanced Materials division for the three months ended December 31, 2011 compared to the same period in 2010 was primarily due to lower sales volumes partially offset by higher average selling prices. Sales volumes decreased primarily due to lower demand in the wind energy market in the Asia Pacific region. Average selling prices increased primarily in response to higher raw material costs. The decrease in adjusted EBITDA was primarily due to the impact of the stronger Swiss franc, on our manufacturing and selling, general and administrative costs.
Textile Effects
The decrease in revenues in our Textile Effects division for the three months ended December 31, 2011 compared to the same period in 2010 was primarily due to lower sales volumes. Sales volumes decreased due to lower demand. The decrease in adjusted EBITDA was primarily due to lower sales volumes and the impact of the stronger Swiss franc, on our manufacturing and selling, general and administrative costs.
Pigments
The increase in revenues in our Pigments division for the three months ended December 31, 2011 compared to the same period in 2010 was due to higher average selling prices partially offset by lower sales volumes. Average selling prices increased in all regions of the world primarily as a result of higher raw material costs. Sales volumes decreased primarily due to lower global economic growth and customer destocking particularly in the Asia Pacific region. The increase in adjusted EBITDA in our Pigments division was primarily due to higher contribution margins partially offset by lower sales volumes.
Corporate, LIFO and Other
Corporate, LIFO and other includes unallocated corporate overhead, LIFO inventory valuation reserve adjustments and unallocated foreign exchange gains and losses. During the fourth quarter of 2011, we began including unallocated foreign exchange gains and losses in adjusted EBITDA and adjusted income (loss) per share. We believe this more accurately reflects the ongoing cost of operating a global business. All relevant information for prior periods has been recast to reflect these changes. Adjusted EBITDA from Corporate, LIFO and other increased by $22 million to a loss of $34 million for the three months ended December 31, 2011 compared to a loss of $56 million for the same period in 2010. The increase in adjusted EBITDA was primarily the result of a $13 million decrease in LIFO inventory valuation expense ($6 million gain in 2011 compared to $7 million loss in 2010) and an increase in unallocated foreign exchange gains of $4 million ($5 million gain in 2011 compared to $1 million gain in 2010).
Income Taxes
During the three months and full year ended December 31, 2011 we recorded income tax benefit of $2 million and income tax expense of $109 million respectively. Our adjusted effective income tax rate for the three months and full year ended December 31, 2011 was approximately 12% and 26% respectively. We have tax valuation allowances in certain countries. Improved earnings from our Pigments business generated a partial release of tax valuation allowances in the fourth quarter 2011 which had the effect of decreasing our effective income tax rate and resulted in an approximate benefit of $0.04 per diluted share. We expect our long term effective income tax rate to be approximately 30 - 35%. During the three months and full year ended December 31, 2011 we paid $35 million and $119 million in cash for income taxes respectively.
Liquidity, Capital Resources and Outstanding Debt
As of December 31, 2011, we had $1,043 million of combined cash and unused borrowing capacity compared to $1,434 million at December 31, 2010. In 2011, our primary net working capital increased by $258 million. For the year ended December 31, 2011, we redeemed approximately $305 million of senior subordinated notes, including all of our remaining 6.875% senior subordinated euro notes due 2013 worth approximately $94 million which were redeemed during the fourth quarter of 2011.
Total capital expenditures, net of reimbursements for the three months and full year ended December 31, 2011 were $113 million and $327 million respectively. We expect to spend approximately $425 million on capital expenditures, net of reimbursements, in 2012 which approximates our annual depreciation and amortization of $439 million in 2011.

THE WOODLANDS, Texas (AP) -- Chemicals maker Huntsman Corp. on Thursday said that its fourth-quarter profit more than tripled, boosted by hefty one-time gains and higher sales in several units.
The Woodlands, Texas-based company earned $105 million, or 44 cents per share, in the three months ended Dec. 31. That compared with $30 million, or 12 cents per share, in the corresponding quarter last year.
The results for both periods included several one-time gains and losses, including an $11 million restructuring gain and a $31 million gain on the sale of a business in the recent quarter.
Excluding those items, Huntsman said its adjusted profit was $68 million, or 28 cents per share.
Revenue rose 9 percent to $2.63 billion from $2.41 billion.
The adjusted profit came in a penny ahead of Wall Street projections. Analysts, on average, expected a profit of 27 cents per share on $2.67 billion in sales, according to FactSet.
Sales at the company's polyurethanes business, its largest unit, rose 10 percent to $1.04 billion. Sales of pigments jumped 21 percent to $399 million. Huntsman said the gains in both segments were largely a result of higher average selling prices stemming from increases in raw material costs.
For the full year 2011, the company earned $247 million, or $1.02 per share, compared with from $27 million, or 11 cents per share, in 2010. Revenue increased 21 percent to $11.22 billion from $9.25 billion.
In morning trading, Huntsman shares added 3 cents to $13.01. The stock has changed hands between $8.13 and $21.52 in the past 52 weeks.

NEW YORK (AP) -- Shares of Huntsman Corp. plunged Thursday after the chemical company reported no growth in its second-quarter profit as sharply higher revenue was offset by rising costs.
Some analysts fear that Huntsman will continue to be tripped up by higher costs, especially if manufacturing activity slows further. Huntsman and its peers are heavily dependent on the health of the nation's manufacturing base and consumer confidence because they make chemicals that so many people use every day.
Huntsman makes chemicals used in items ranging from paint to cosmetics and clothing.
The Woodlands, Texas company reported net income of $114 million, or 47 cents per share, in the quarter ended June 30, the same as a year earlier.
Revenue rose 25 percent to $2.93 billion from $2.34 billion a year ago. The bulk of that increase was due to higher prices.
But higher expenses offset the gain. Total costs rose 24 percent to $2.43 billion.
Analysts polled by FactSet expected higher earnings of 49 cents per share on revenue of $2.78 billion.
Shares lost $4.24, or 23.6 percent, to $13.75 in afternoon trading. The stock has traded between $8.47 and $21.52 in the past year.

Huntsman Jumps After Saying First-Quarter Pigment Profit Rose

Huntsman Corp. (HUN), the world’s third- biggest producer of titanium-dioxide pigment, gained in New York trading after the company said profit margins for the white paint ingredient widened in the first quarter.
Huntsman increased prices about $400 a ton in the quarter and each $100 gain adds $50 million to earnings before interest, tax, depreciation and amortization, Chief Executive Officer J. Kimo Esplin said today in a presentation on the company’s website. Rising raw-material costs will erode some of the margin expansion, he said.
“We’re going to still expand margins and we’re going to expand them at a pretty good rate,” Esplin said. “Just don’t forget the headwinds that we are all experiencing.”
Huntsman, which is run from offices in Salt Lake City and The Woodlands, Texas, rose as much as 7 percent and was 99 cents, or 5.6 percent, higher at $19.10 as of 1:18 p.m. in New York Stock Exchange composite trading.
The largest titanium dioxide maker is DuPont Co., followed by Cristal Global, Esplin said. The chemical adds opacity and whiteness in paints, plastics and paper.
Huntsman Acquires Chemicals Business of Laffans Petrochemicals Ltd.

The purpose-built plant produces specialty intermediates for use in agrochemicals, household and personal care products, oil and gas applications and automotive lubricants and brake fluids. Financial details were not disclosed.
Huntsman Corporation 2010 revenues were $9.2 billion. In 2010 Laffans had revenues in excess of $50 million. News of the Laffans acquisition follows another recent Asian announcement from Huntsman Performance Products outlining a $70 million investment in a capacity expansion program at its polyetheramine plant in Singapore.

Foster Wheeler wins FEED contract for Huntsman petrochemicals project in China

Foster Wheeler AG (Nasdaq: FWLT) has received a contract from Huntsman (NYSE:HUN) to undertake the front-end engineering design (FEED) for the expansion of Huntsman's Isocyanates Facility at Caojing, in Shanghai, People's Republic of China. Isocyanates are used in the production of polyurethanes which have a wide range of uses in the plastics industry.
The Foster Wheeler contract value for this project was not disclosed and will be included in the company's first-quarter 2011 bookings.
Foster Wheeler's scope will include front-end engineering, technology licensor management and development of the project schedule and cost estimates. The FEED phase of the project is scheduled for completion in the third quarter of this year, with the overall project scheduled for mechanical completion by the fourth-quarter of 2013.
"Key to Huntsman awarding this project to us was our depth of experience in the technologies involved, the quality of our project team and proven execution capability of our Chinese operation in Shanghai," said Umberto della Sala, interim chief executive officer, Foster Wheeler AG. Not too sure. I have been in this stock for approxitmaly 1.5 years. Bought in around $2.39 during the meltdown, soley for the dividend. I'm hoping for a takeover but will probably sell at 20.00 if it hits there.

Huntsman Options Attract Bulls
SALT LAKE CITY (TheStreet) -- Huntsman(HUN Quote) has been charging straight up for the last month and the bulls are still feeling positive chemistry.
OptionMonster's real-time tracking systems detected the purchase of about 16,000 December 10 calls Thursday against open interest of only 2,021 contracts. Early in the session, premiums rose from 25 cents to 70 cents despite the chemical company's stock climbing only 42 cents at the same time, which reflects a powerful buying pattern.
HUN rose 3.43% to $10.26 Thursday and traded as high as $10.86. The buying comes a day after a presentation at the Bank of America/Merrill Lynch Credit Conference. While no major headlines emerged from the event, management may have provided investors with confidence about the company's ability to service its heavy debt load. Takeover rumors were circulating on the name as well.
Huntsman also presented earlier this week at the Citigroup Basic Materials Conference. Huntsman chemicals are used in diverse applications including adhesives, building supplies, packaging, electronics, and paints.
The shares have been ripping higher since Nov. 4, when the company reported a big loss but forecast strength in the current quarter. Thursday's price action may represent a breakout above the $9.85 level that's been serving as resistance.
Other investors sold the January 12 calls for 55 cents, probably against positions in the shares. Some 5,223 contracts traded against no open interest. There were also buyers of the January 11 calls and sellers of the December 12.50 calls.
