Tombstone Technologies Updates Its Shareholders

HOUSTON, Nov 24, 2010 (BUSINESS WIRE) -- Tombstone Technologies (TMCI, Trade ) announced last week that it completed a business combination transaction with Hunt Global Resources Inc.
The company plans on changing its name in the future to Hunt Global Resources, Inc.
Tombstone Technologies/Hunt Global Resources offers sand and gravel for infrastructure and industrial uses, including frac sand for the oil & gas industry. The company additionally offers the production of biofuels and cleaner burning industrial fuel technology.

I agree the sand and Biofuel are the focus-heres the catch -the Biofuel plant cant start up until the tax incentive is restored that was cut a year ago(12/09) this sand is to be resin coated in part of the Biofuel plant that has been retrofitted with old burners they no longer use in the biofuel process=I know for a fact the resin coated sand is in demand for stimulating the shale gas zones that are now very popular for drilling -MMBF is this plant in Pasedena--Hunt biosolutions is the future plants Hunt plans on building-

I cannot know for sure, but I would suspect Hunt would want to officially change the name and symbol of the security soon.

Now that the acquisition is complete, it will be interesting to see how the stock price is affected when Hunt does that conference in Los Angeles next month!
Vance, I just had time to skim filings. I think they sold either part or all of their wells.I believe they are concentrating on raising money to deal with the hundreds of millions of value placed on the Sand holdings. Looks like most of the money is raised as they "saved" ten million shares (to be used as Preferred offerings) Shares are valued from 3-10 bucks in terms of prices that shares can be converted for retail selling.
So, per the filings last week.. is HGR out of the Oil/Gas wells business? They had a pretty sizeable chunk as listed on their old website..

Hunt has offerings out well above current share price. Will take about 20k cash at retail to get this close to 3 bucks. Should be steady north from here.
Not much popped up over the weekend. Did find one article from a Colorado newspaper that I posted here. I also sent an email to the IR guy listed on the Hunt website homepage as well as George Sharp, just listing a couple of mistakes on the new site that need to be addressed.

LONGMONT - The reverse merger between Tombstone Technologies Inc. and Hunt Global Resources Inc. is complete.
Longmont-based Tombstone (OTCBB: TMCI) announced this week in a statement that the transaction between the companies closed Oct. 29. The shareholders of Hunt Global Resources, a private company headquartered in The Woodlands, Texas, will acquire a 94 percent stake in the Tombstone. Hunt stockholders and management will control the company, an SEC filing said.
Additional information about the company's management restructuring, new name and operations will be released in the coming weeks, said Jim Blackman, a spokesman for Tombstone Technologies.
Hunt Global owns surface mining rights to more than 350 acres of land northwest of Houston containing high-grade sand and gravel. Approximately 60 percent of the reserves are industrial fracturing sands used by the oil and gas industry.
Tombstone Technologies provides software solutions in the emerging market for Web-to-print applications. Its flagship product, OIEPrint Suite, provides online design, combined with order management and e-commerce capabilities, to midsize printers and their customers.
According to the SEC filing, Tombstone "only had limited operations over the last three years" and does not own any property.

Vance, I am reading this from my phone, will comment in detail later. In a nutshell, if all Preferred shares wre converted to commons, based on strike prices, they value the company north of 300 million and as high as about a billion. That billion is based on the offering of Prefered share package offered at 10 bucks with a .56 divy. They are obviously approaching major lenders to support the Sand Excavation Project targeted for next year.
We are trading at a fraction of fair value. I would think funds interested in participating would pick up shares in open market to fully lock float.
Also CEO and family locked for 2 yrs.
New highs predicted by Monday.
Please offer your thoughts & opinions when you are done. I have read thru quite a bit of it and honestly speaking, I am clueless.
I apologize, as I am not educated enough in such things as the filings just submitted by Hunt to really understand them.

Well, I think I was number 6.
Entered late at 1.60 and added a little at 2.04 today.
Well when I think about it the revenues have to be in at least the tens of million if they have assets in the hundreds of millions and im being conservative.
Im excited.....Hunt has lots of assets even though I wish I had an idea of their revenues btu any whoot I wonder what the pps will be and.....have you talked to the owner of Hunt?

Completion of the acquisition was contingent upon audited financials of Hunt being done, so we are just waiting for the filing now!
I think the filing would send this baby to the milky way...If Hunt has their stuff together which I think they do they should already have an auditor ready to go through the financials.

I noticed on a public message search last night that someone posted TMCI on a list of stocks shorted yesterday. Boy if that is true I would Hate to be the one that did it. Chalk this up as a bad short, cover, & move on!

For accounting purposes, Hunt is deemed the resulting corporation, and its financials are now those of the company. Details of the transaction will be released with the 8K/a within days.
As the Hunt website has recently gone thru a complete makeover, there are items no longer available that would have been quite telling. I believe I have some of it on my home computer, but that will have to wait until this evening because I am out for the day.

Following several months of study, evaluation of the capital and resources necessary for each of the three areas of past investment and the opportunities to use each of the assets to provide meaningful initial capital to pursue the others, the Company decided to focus solely on the development of a frac sand operating company. Simply stated we believe we have one of the most important Northern White Sand deposits in the industry. It is very large…..it is in one location…. it also has an exception concentration of what is classified as "coarse" material. All white sand is not created equal.
The vast majority of premium 'white frac sand' is produced in Northern Illinois, Minnesota and Wisconsin. White sands produced today are from the Ordovician and Cambrian periods. The St. Peter formation - sands from Ottawa and all of Illinois as well as parts of Wisconsin and all of OK, AR, MO - is Ordovician. Most Minnesota sand and sand from parts of Wisconsin are Cambrian, which is the older period, and consequently preferable. These Cambrian sands are called Jordan Sands. Older, better, higher priced, more valuable technical properties.
One of the inherent weaknesses of the northern deposits is the tendency for many of the materials to have a diminishing percentage of coarse-grained material. Some deposits, for example, contain none to perhaps only 20 percent of less of recoverable plus 40 mesh. As a result, high-cut 20/40 products with 60+ % of the material retained between the 20 and 30 mesh sieves command a premium price. The Minnesota deposit has a much higher than average percentage of "plus 40" mesh.
