Of course there are two sides to every story and this could be the case of rogue employees as opposed to directives from top management of Verano or Harvest Health.

Verano accused in lawsuit of illegal interstate marijuana trafficking

Illinois-based multistate operator Verano Holdings is accused in a lawsuit of illegally shuttling marijuana from its home state to Arkansas.

According to the Chicago Sun-Times, the allegations of illegal interstate marijuana shipments stem from cannabis MSO Harvest Health & Recreation’s attempted acquisition of Verano, a deal that fell through in March 2020.


The lawsuit, filed Monday in Colorado District Court, targets dozens of cannabis executives and companies, including Verano CEO George Archos.

The plaintiff in the suit, Nicholas Nielsen, is a former employee of Natural State Wellness Enterprises in Arkansas who was arrested in January 2020 for illegally growing marijuana at his home.

When Nielsen was arrested, Natural State was being managed by Harvest, and separate lawsuits filed against Harvest alleged that Nielsen was growing the marijuana on Harvest’s behalf. Nielsen reiterated the claim in the new lawsuit.

According to the Sun-Times, Nielsen’s suit further claims that:

Verano was the source of the cannabis clippings from which he grew the plants at his home.
The clippings were delivered to Nielsen by Michael Frontier, a Verano employee who was indicted in 2019 in connection with an illegal gambling ring.

In a statement to the Sun-Times, a Verano spokesman called the allegations in the lawsuit “totally false and absurd” and said the suit is a collection of “sensationalized and imagined series of events.”

A Harvest spokesperson also pushed back, saying the suit is “replete with inaccuracies” and is “nothing more than a thinly veiled shakedown” by Nielsen and his attorney.

Nielsen, who is facing multiple felony criminal charges in Arkansas, has told law enforcement officials that he “would definitely testify against” Frontier, Verano and his former supervisors at Harvest. He alleges his former Harvest supervisors told him it was legal for him to grow the plants at his home.

Verano trades on the Canadian Securities Exchange (CSE) under the ticker symbol VRNO and on the U.S. over-the-counter markets as VRNOF.

Harvest trades on the CSE as HARV and as HRVSF on the American OTC markets.

PHOENIX, March 15, 2021 /PRNewswire/ -- Harvest Health & Recreation Inc. ("Harvest") (CSE: HARV, OTCQX: HRVSF), a vertically integrated cannabis company and multi-state operator in the U.S., today announced the settlement of its dispute with Falcon International Corp. ("Falcon") and its affiliates on mutually agreeable terms.

On February 14, 2019, Harvest announced a definitive agreement to acquire Falcon. In January 2020, the merger agreement was terminated and the parties entered arbitration to resolve disputes related to the merger agreement. The parties have reached a mutually agreeable resolution of their disputes and have agreed to a final dismissal of all litigation and arbitration between them arising out of the 2019 merger agreement. In accordance with the settlement terms, Harvest now owns 10% of Falcon. Each share comes with a 10-year warrant entitling Harvest to two (2) common shares of Falcon at an exercise price of US$1.91, subject to customary anti-dilution adjustments.

The Biden administration is expected to mark a new era for the cannabis industry, given the new president’s affirmative stance on legalization of marijuana. With the Democratic party now controlling the U.S. Senate and House of Representatives, the Marijuana Opportunity Reinvestment and Expungement (MORE) Act, which was introduced last July, is expected to be passed, legalizing the medical and recreational use of cannabis nationwide.

CURLF’s revenues have increased 195% year-over-year to $182.41 million in the third quarter ended September 30, 2020. This can be attributed to a 164% rise in managed revenues. Its gross profit on cannabis sales have improved 280% from the year-ago value to $89.67 million, while its adjusted EBITDA has risen 305% from the prior-year quarter to $42.30 million.

In comparison, HRVSF’s revenues have increased 86% year-over-year to $61.60 million in the third quarter ended September 30, 2020. Its Gross profit, excluding biological adjustments, have grown 147.4% from the year-ago value to $28.70 million, while its adjusted EBITDA (excluding biological adjustments) has improved 196.3% from the same period last year to $10.50 million.

Past and Expected Financial Performance

CURLF’S revenue has increased 165.8% year-over-year, while HRVSF’s revenue rose 107.8% over the same period. Moreover, CURLF’s EBITDA has grown 1321.3% from the year-ago value, while HRVSF’s EBITDA declined.

Analysts expect CURLF’s EPS to rise 16.7% in fiscal 2020. The company’s revenue is expected to increase 187.5% versus the past year, and 98.7% in fiscal 2021.

I live in Columbus, OH and it looks like Harvest has a store front here, but the location isn't listed on their website. We aren't a recreationally legal state yet and have very few medical dispensaries open. Does anyone know about locations that aren't listed on their website? How many we have, why aren't they listed yet, etc etc

February 22, 2021

Harvest Health & Recreation Inc. ("Harvest") (CSE: HARV, OTCQX: HRVSF), a vertically integrated cannabis company and multi-state operator in the U.S., has completed the divestiture of its dispensary assets in North Dakota.

A local operator acquired Harvest's two medical marijuana dispensaries located in Bismarck and Williston, North Dakota. The dispensaries were sold for an immaterial amount of cash. Following the sale, Harvest no longer has operations in North Dakota.

"We are pleased to have completed this divestiture as part of our strategic plan," said Chief Executive Officer Steve White. "We will continue to allocate resources to growth opportunities in our core markets."
