NOTE B - ACQUISITIONS AND INVESTMENT
During the year ended January 31, 2006, the company advanced $1,270,000 to
Internet Telecommunications, PLC, based in London, England. On January 13, 2006,
the company executed a Share Exchange Agreement (the "Agreement") with Internet
Telecommunications, PLC, an English corporation ("ITPLC"), the stockholders of
ITPLC. Pursuant to the Agreement, at closing GMCI will acquire all of ITPLC's
issued and outstanding shares of common stock in exchange for shares of common
stock and warrants of GMCI. At the closing, the stockholders of ITPLC shall
exchange their shares of ITPLC's common stock for (a) 22.5 million newly issued
restricted shares of common stock of GMCI and (b) 3.2 million warrants, each of
which shall allow the holder thereto to purchase one share of common stock of
GMCI at a purchase price of $1.00, exercisable prior to January 10, 2011. In
addition, GMCI, prior to or at the closing will invest into ITPLC an aggregate
of $3,000,000, less all amounts previously loaned to ITPLC, and less financing
costs of up to 13%.
The Agreement may be terminated at any time prior to the consummation of the
closing by the company or by the ITPLC stockholders, if (a) the closing shall
not have been consummated on or before April 13, 2006 or (b) if either party's
due diligence investigation indicates that any of the information provided for
in the Agreement or in any of the information provided by the other party is
inaccurate, incomplete or untrue in any way, or if such due diligence
investigation reveals any facts, circumstances, liabilities or conditions that,
in such party's discretion, may adversely affect the value or prospects of the
other party or that may expose the other party to any liability not heretofore
fully disclosed. In addition, the closing is subject, including without
limitation, to the following conditions: (a) prior to the closing, the company
will have caused to be invested in GMCI an aggregate of $3,000,000, less all
amounts previously loaned to ITPLC, and less financing costs of up to 13%; (b)
GMCI shall have received from ITPLC historical financial statements and other
information about ITPLC as required to be included in a Form 8-K/A to be filed
by GMCI with the United States Securities and Exchange Commission in connection
with the closing, all in form and content satisfying the requirements of the
SEC; and (c) all other documents requested by GMCI shall have been delivered.

Green Mountain Capital Provides Progress Report on Proposed Acquisition of Internet Telecommunications PLC

US GAAP Audit in Progress and Positive Developments Discussed
MIAMI--(BUSINESS WIRE)--March 16, 2006--Green Mountain Capital Inc. (OTC Bulletin Board: GMOC - News) had previously announced on January 17, 2006 that it had executed an agreement to acquire London based Internet Telecommunications PLC ("IT"). Internet Telecommunications PLC is a provider of low cost line rental and airtime services including voice and data as well as offering value-added services such as Voice-over-Internet Protocol (VoIP) and mobile telephony.

As a condition of the acquisition, the closing was conditioned on the delivery to Green Mountain Capital of GAAP audited financial statements of IT and other closing documents.
Green Mountain Capital has been notified by IT that the completion of the GAAP statements and closing of the acquisition is now anticipated prior to the end of April, 2006. The GAAP audit is currently being conducted by the U.S. firm of Marcum & Kliegman LLP.
Green Mountain Capital has decided that with IT's year-end falling on December 31, 2005, it would await the completion of the 2005 US GAAP audited financial statements for IT prior to submitting the required 8-K filing with respect to the closing of the Green Mountain Capital-IT combination.
Green Mountain Capital has already advanced funds in excess of $2,000,000 to IT. These funds have been used by IT has acquire a Nokia switch, which is currently undergoing commissioning and is expected to be fully in service by early fall.
In addition, IT has commenced marketing its wholesale line rental and airtime offerings, and has already signed nine major new service providers to its portfolio since January, thereby adding to IT's growth in revenues.
Based solely on information provided to Green Mountain Capital Inc. by IT, over the next 12 months period, Internet Telecommunications PLC expects to achieve the previously estimated 2006 revenue targets, with continuing profitability.

Long distance via old land lines ran a deal like this before, made people alot of money - the business that is. It took me a while to understand what these guys are up to. Timber? heh, that was a rally followed buy profit taking. .30 opening with a rally to 1.05 then profit taking down to .45 where it became a barging with buying pushing to where its at today. Once this deal is finalized we will see 1.5 that day, followed with long term accumulation. Once the 5.00 mark is reached who know's what will happen. all imho of corse. But I'm playing with free shares what do I know? glta...........

(OTC Bulletin Board:GMOC), has reversed split its common shares, effective January 12, 2006, on the basis of 1000 old shares for 1 new share. The common shares currently outstanding as a result of the reverse split is 899,089. The company has also changed its symbol from GMCI to GMOC.
In addition, the Company has executed an agreement to acquire London based Internet Telecommunications PLC, ("IT") a private company, for 23,500,000 common shares and 3.2 million warrants, exercisable at $1.00 per share, expiring January 10, 2011. As a condition to the acquisition, $3,000,000 will have been raised. The total shares outstanding after completion of the acquisition will be 45,899,089 common shares and 5.3 million warrants. The outstanding preferred shares will be retired as part of the acquisition and recapitalization.
