I'm not sure about the warrants, but it looks to me like they will get us through production without dilution.

Any idea when the warrants expire, that's some serious coin for the holders. They want that, and with a few good PRs it can push the price up there so they can exercise.

Is there a post on the board with an approximate time line for each phase. I believe great things will happen once reports start coming in, especially if the black sands tests come back with great results. If that happens, wealth will come quickly to all longs.

The parties further agreed and have secured funding under the following funding structure for Phase I and II:
-Western Sierra Mining agreed to sell 40mm Series E Preferred Stock it received in 2009 from the Company to a group of investors for $400,000. These preferred shares were issued to Western Sierra Mining in 2009 as part of the parties previous joint venture efforts. Western Sierra Mining has agreed to apply these funds, on behalf of the Company, to the funding schedule above therefore completing the funding required for Phase I and II of the claims development.
-As consideration for the sale of the preferred shares, the Company has agreed to assign back to Western Sierra Mining 5% of its joint venture interest in the claims. The Company may buy back the 5% interest for $100,000. Additionally, the Company has agreed to issue Western Sierra Mining four million shares of a new series of preferred that may be converted to common in 1 year.
-To complete the future funding requirements of the JV, the Company has further agreed to grant the funding investors warrants to purchase shares of the Company as follows:
Ten Million (10,000,000) warrants exercisable at $0.10 per share
Ten Million (10,000,000) warrants exercisable at $0.15 per share.
The Company has agreed to file a Registration Statement to register the shares with



all in all, there will be no dilution here, imo..series E is also on a 1 to 1 basis

I'm now pretty much resigned to the fact , after observing yesterday, that in order to get the Real Spec Buyers in GDSM, that a Sample report or a few of them will need to be released with Good findings!

Those reports, which I am wagering will be good based on past history of the region, will finally Spark the type of people wanted / needed in GDSM to carry it Forward!!

Not saying GDSM does not have any of those more desirable people Now, but just Not enough!!

Too many Mo players, into the developmental Plan still lingering, trying for Lunch $$ each day/week!!..

Expecting Phase I to be Completed at least by payment due on Phase II, so projecting the longest wait to be until June, but do expect many updates along the Way!!...and hopefully each update, will be positive and bring in the right crowd!!

Also figuring that out of the 414 out, that 200 are held for the ride so far, so when those Anticipated Great reports do come Out, the amount of shares left over for free trading @ lower pps levels should get chewed Up fast!!
