Goodrich Petroleum Announces Private Exchange Transactions for Convertible Senior Notes

HOUSTON, Oct. 7, 2015 /PRNewswire/ -- Goodrich Petroleum Corporation (NYSE: GDP) (the "Company") today announced that it has entered into separate, privately negotiated exchange agreements under which it will retire approximately $17.1 million in an aggregate original principal amount of its outstanding 5.00% Convertible Senior Notes due 2032 (the "Existing Notes") in exchange for its issuance of additional 5.00% Convertible Exchange Senior Notes due 2032 (the "New Notes") in an aggregate original principal amount of approximately $8.5 million. Following these transactions, approximately $94.2 million in an aggregate original principal amount of the Existing Notes will remain outstanding with terms unchanged. The exchange is expected to close on October 14, 2015, subject to customary closing conditions.

Many terms of the New Notes will remain the same as the Existing Notes they replace, including the 5.0% annual cash interest rate and the final maturity date of October 1, 2032.

Like the Existing Notes, the principal amount of the New Notes will accrete at a rate of 2% per year from August 28, 2013, compounding on a semi-annual basis, until October 1, 2018. The accreted portion of the principal is payable in cash upon maturity but does not bear cash interest and is not convertible into the Company's common stock. Holders have the option to require the Company to purchase any outstanding New Notes on each of October 1, 2018, October 1, 2022 and October 1, 2027, at a price equal to 100% of the accreted principal amount thereof, plus accrued and unpaid interest on the original principal amount thereof. HOUSTON, Sept. 25, 2015 /PRNewswire/ -- Goodrich Petroleum Corporation (NYSE: GDP) (the "Company") today announced that it has entered into separate, privately negotiated exchange agreements under which it will retire approximately $158.2 million in an aggregate original principal amount of its outstanding 8.875% Senior Notes due 2019 (the "Existing Notes") in exchange for its issuance of $75 million in an aggregate original principal amount of its 8.875% Second Lien Senior Secured Notes due 2018 (the "New Second Lien Notes"). In addition, certain holders of the Existing Notes who exchange into the New Second Lien Notes will receive warrants (the "Warrants") to acquire 6 million shares of the Company's common stock at an exercise price of $1.00 per share, which are exercisable on a cashless basis. Following these transactions, approximately $116.8 million in an aggregate original principal amount of the Existing Notes will remain outstanding with terms unchanged. The exchange is expected to close on October 1, 2015, subject to customary closing conditions. In conjunction with the exchange, the Company expects, subject to customary closing conditions, to enter into new amendments to its Second Amended and Restated Credit Agreement and its existing 8.00% Second Lien Senior Secured Notes due 2018 to allow for the contemplated transaction and to further allow for the ability for the Company to incur a new Third Lien debt basket to be used for additional exchanges of Existing Notes in an amount up to $50 million. After certain purchase price adjustments the consideration was $116 million, of which $102 million was received by the Company in cash at closing, with the remaining $14 million placed into escrow pending resolution of post-closing adjustments. The Company used the proceeds at closing to pay off its senior credit facility, with the difference held in cash.

HOUSTON, Sept. 1, 2015 /PRNewswire/ -- Goodrich Petroleum Corporation (NYSE: GDP) (the "Company") announced that on August 27, 2015, the New York Stock Exchange (the "NYSE") notified the Company that it is not in compliance with the continued listing standards set forth in Sections 802.01B and 802.01C of the NYSE Listed Company Manual. Specifically, the NYSE notified the Company that the average closing price per share of the Company's common stock over the preceding 30 trading-day period had fallen below the minimum average closing price required by Section 802.01C of $1.00 per share over a consecutive 30 trading-day period. Additionally, the NYSE notified the Company that the Company's average market capitalization for the prior 30 trading-day period is below $50 million, and the Company's stockholders' equity is less than $50 million, which are the NYSE minimum requirements under Section 802.01B. HOUSTON, Aug. 28, 2015 /PRNewswire/ -- Goodrich Petroleum Corporation (NYSE: GDP) (the "Company") announced today that it has suspended the quarterly dividends for the quarter ending September 30, 2015 on its 5.375% Series B Cumulative Convertible Preferred Stock ("Series B"), its 10.00% Series C Cumulative Preferred Stock ("Series C"), and its 9.75% Series D Cumulative Preferred Stock ("Series D").

Under the terms of the Series B, Series C and Series D, any unpaid dividends, including the unpaid dividends for the quarter ended September 30, 2015 and any future unpaid dividends, will accumulate. Goodrich Petroleum Corporation Announces Resignation Of Chief Financial Officer

HOUSTON, Aug. 19, 2015 /PRNewswire/ -- Goodrich Petroleum Corporation (NYSE: GDP) (the "Company") announced today that Jan Schott, its Senior Vice President and Chief Financial Officer, has resigned to take a financial position with a private company. Ms. Schott's resignation did not result from any disagreement with the Company regarding any matter related to the Company's operations, policies or practices.

Ms. Schott will remain with the Company through early September to assist the Company during the initial transition phase. Robert C. Turnham, Jr., the Company's President and Chief Operating Officer, will assume the role as interim-CFO while the Company conducts a search.

Correct. Read what I said. It's not a direct reflection nor is it predictable. And if you want to try and predict oils influence on the stock by all means be my guest. The stock is down for many reasons, one being oil sucks right now. Two, as a direct reflection of the other, GDP has sold assets to pay debt. That in itself is enough to drive this to pennies. I said they are leveraged as in they still have more assets to sell off if needed. That's not a good thing. A last resort is more accurate. Anyway, if you didn't already know this then you probably should do some more DD on GDP. Just saying.
