NOLs and Shell Value
no disrespect on this- NOL's can't be used in a R/M if the survivor owns majority. The NOL's can only be taken to the amount the majority invests. Pink Shells go for about 50-150k so that will be about what the NOL will be (this is an IRS Rule, I think code #356).
Very doubtful the investment firm "bought the losses" since this is a "C" Corp and the losses can't pass through. They just simply lost their money. I bet you could call them and buy their shares in a private transaction for less than market if they even want to fool with it. My guess is they already realized the loss.
It would just not make any sense to "lock" the money in a bankrupt pink when they could just buy Bank of America, loose the same amount and still sell and get some of ther cash back. This way, they will never been out of it- until they sell it (who would buy it?).
It would be hard to invest in a company preparing for an R/M. The majority usually issues itself voting shares or more common and the float will be very small. Then, usually they will reverse to get the share structure right and the float will shrink.
While I am sure it is possible to invest in a pink that is preparing for a R/M- it just seems awfully risky and a waste of time.
One good way to find a good pink is to find one with shares that are trading at high prices with "no information". If you see one trading at $10 a share with little volume. You might find they have only 200,000 shares out. Now, you've found a great company to investigate and research. You can buy 1-share and request an annual report and see what's in there.
R/M's are fun- but you really need to be in one after the R/M not before. Remember the majoirty has to hold their shares for 1-year post RM. Wait that year, and see what they do- that's what you do.

You bet, Geerlings and Wade decertified from GEER in 2003, the private company went bankrupt 14 months ago, not GEER. GEER is a shell, who's owner is the same guy who ran Geerlings and Wade. GEER is a shell, that the owner most definitey wants to sell to a company for a R/M. Nobody knows when that will happen, but, the point of all this is that Geerlings and Wade (Vinification) has up to $6M in NOL's, and the bankruptcy court will try and get the creditors as much money as possible. If the owner of GEER wanted to make GEER a better asset, he would roll the NOL's in, and GEER could sell at a higher price.
Why are we talking about this at random this week? Because somebody has been buying in the last month...just look at the accum...
at the moment.. it appears to be a shell with a decent share structure imo..

The stock is a bust
we'll all be putting in a lot more than $500 if PAI has something to say is the point, so buy, sell, or hold, whatever you like. A few have contacted PAI recently, perhaps that's why the buy volume. I personally have not spoke to them, yet. The bk of the private company is now 14 months old, and they owe money. Well, they own GEER.pk, an asset, its going to have to get involved at some point, and the likely scenario would be to roll the NOL's into it...
would be nice if someone contacted GEER, I don't have time, traveling. GL
sadly, i have seen no proof of vinifications ventures inc. being anything but a name change to GEER... which looks to coincide with the sale of the online wine retailer and the new direction of the company... massachusetts sos has both geerlings & wade and vinification ventures inc. listed on their site... where and why would palo alto be weighing in on their investment? certainly not because some penny stocker w/ 500 dollars into this asked them to, right? palo is a private investment company and does not and will not disclose their financial information... if anyone has a pacer account this could be cleared up real fast... i do not have an account but i believe its like .05 a page... cheap...
A few notes....before more opinions are formed here....PAI should be weighing in this week on why they bought over 700k shares near $1.00. Also, GEER.pk is owned by the former Geerlings. The bk is not in the shell, with that said, the private company assuredly has NOL's and if they want to apply them to the public shell that they own to raise the value of the shell so they can sell it, that is simply a prudent move.
As noted, the NOL's could be up to $6M, giving an asset value of up to $2M.
Lets see what PAI has to say first....
The shell never filed chapter 7. Are you people incapable of doing real DD. Vinification Ventures the private co filed ch7. We did not.
I never said it was a merger, they changed the name of the company, then filed ch 7 last Spring. That's it.
Name change is not a merger!!!! Vinificaton ventures isn't part of the shell!!!
