These reverse mergers have various stages of readiness and upside potential. Here's a list I made maybe it can help people going forward.
http://investorshub.advfn.com/boards/read_msg.aspx?message_id=54959079
Good one, everyone what else should go on this list. People putting too much money into those stage 1's and 2's without understanding how these things work. There would be a lot more cash on the sidelines inclined to invest in these mergers if they all didn't get trapped in dead shells that might never do a deal. So what else needs to be added to this list?
Rainmaker Merger Countdown Chart
Stage 1 would be a dormant shell who is suddenly reactivated (Weakest one, could be a year+ before they do anything). Also, a shell who suddenly raises their A/S or creates some new Preferred shares would be a stage 1. Still weak.
Stage 2: would be filing a 15-12g (Still very weak, might be nothing more than someone who couldn't afford their auditor anymore, unless coupled with a name change).
Stage 3: would be a change in officers and company address (This one is a decent place to real radar this one, maybe nibble a bit). What you want to see is the new officers have a decent track record on past business deals especially if they did a successful merger in the past.
Stage 4: would be a name change (I split this stage into two lists. One's I can not find any info on new company. These I watch but don't buy. A real company who is already doing a lot of business should be al over google. The good one's are the one's where new company name is all over google, appears to have decent revenue.
Now even if you make it through these four stages, Stage 5 is the make it or break it stage.
Stage 5: How do they structure the merger. What percent of new company do shell holders end up with. 20-30% of new company is a dream split. 10% workable, less not usually a good deal. Also, do they do a R/S a deal killer almost every time.
Bottom line until you make it to stage 5, get the answers you need regarding share structure after the merger, confirm no R/S and get a feel whether new management is shareholder friendly....these are lotto's you throw a few dollars at hoping to get lucky. After Stage 5 you can find some life changing deals after filtering down to a few strong one's who are about to be up and running.

How many shares do you want for $1.?
Put in a big enough order and you might get filled.
But why would you buy even 1 share of this ?
I could understand you are just trying to pull in a new group of bagholders or want the entire shell to be in charge of the next P+D.Either way it ain't cool.
I wouldn't sell my shares for less that 5. Now if the ask goes back down to 1.01 again I may add some more.
How many people would pay $5. per share for a company that has 0 operations and when it did have operations the stock of the company was handed out under the old bogus consultant scheme.
Not to mention with the totally unethical behavior that there certainly could be pending litigation.
Which is probably why you tell people you handed $80,000.00 to Brian Weber and have not just bought this garbage shell.
who are "they"? You have me confused now? the old owner of this shell called GREM USA? Not sure what rich and what poor you're speaking of? I was talking about a four dollar spread between the bid and ask.
Even the so called rich wouldn't touch a Hundred dollar stock with a 4 dollar spread! A hundred dollar stock trades millions of shares daily and has a one penny to 10 penny spread....
This stock doesn't trade daily and is fraudulent in it's SEC filings!
That's why they are rich and we a poor.
hmmmm. Interesting the bid is only 1.00... How many people do you know that would pay 4 dollars more than the ask to buy a stock? Seriously??
How many people do you know that will pay $100 for a share of stock. Only the rich do that. That's why they are rich. The ask for GREM is only $5 a share. I don't think I would sell for that.
i did have some of that SHELL GAME
i lost...ED/HIS FAMILY/CARNES/FRIENDS
WON
daKing.. NO ONE will buy a stock that has a 4 dollar spread between bid and the ask! Not to mention the history of the shell.
This stock will be revoked long before anyone can sell their shares!
We could team up and own the shell.
Is there any other shareholders that feel the way I do? I understand that you are all rich and don't fool with message boards. I may only own a small piece of the pie. Let's get the ask up to 20. I would sell at that.
Then why is the ask a 5 bucks. If it was up to me I would ask 20. OK then that's what I will do. I won't sell for less that 20. Take it or leave it.
That's just it... I don't want what you have so I will never show you the money. IMHO you don't own any thing of value with a GREM share certificate!
If you want what I got. All I can say is show me the money.
Nope you are not correct.. The car dealer has something of value to sell so the price is negotiable to what ever someone is willing to pay!
You on the other hand own something that has no value. No product no company no assets no CEO no money nothing but a share certificate with a name of a defunk GREM USA company that no longer exist. There is no seat to sit in in other words!!
What if the car dealer said take it or leave it. I'm in the drivers seat and I know it.
Ahhh now I understand... You own part of the supply that no one else wants to buy because there is no demand! You can own the whole supply but if no one has any demand you can't sell your shares at any price...
You might consider buying the shell? This way you could have total control of the supply side!
To keep it simple. I own part of the supply and I can demand what price I would sell at. It's like if you go to buy a new car. The dealer will tell you he want's let's say $30,000 for it. You offer him $25,000. So what if the value of that car.
I own part of the supply. Do I not. I was willing to pay 1.01 a share to get them. So if the ask is at 5 then I own shares that others at this time won't sell for less. That is what the others who own this think it's worth. I think that is a fare asking price. But I am not sure I would sell for that. I think maybe around 20 a share if anyone would be interested.
daking1964, that is exactly my point there is ZERO demand for this stock!
Have you ever heard of supply and demand. To tell you the truth I wouldn't sell my shares at 5. I must have got a deal of a lifetime when I bought at 1.01.
HUH? No you're the only one who has bought this stock in the last year and a half. Why would anyone want to buy this stock.
1. The Company doesn't file it's required reports with the SEC.
2. Eddy sold out all the assets right under the share holders with no warning.
3. It went through a 1 for 50,000 reverse split ( not to mention all the others prior to that one)
4. The CEO was charged and found guilty of a felony gambling charge. Pretty obvious he took share holders money to feed his gambling habit!
5. more than likley the company is under investigation by the SEC for selling unregistered shares of it's stock!
So can you tell us why anyone would suddenly be interested in buying this stock?
Maybe it's the people who hold the stock won't sell for less.
I went back and looked at this post again. Did you or did you not say GREM is a fine gem. Did you a did you not say to buy at the ask.
