Hey what about this and please go easy on me, since I've never bought or sold restricted shares before.
So what if you load up say *$3000.00 at this .006 price
Which would be 500,000 shares. ( *3000.00 is the max you can write off on your stock loss each year per the IRS)
Then you write the letter asking for the restriction to be removed.
Then put in limit order to sell them at .01 minimum.
Looks to me like it would yield $2000.00 in profits.
(minus commision charges of course.)
Kind of reminds me of crab fishing and you have to buy the bait to catch the crab.
Is it worth it?
I would want to hold for a year so only as to pay 15% capital gains ass opposed to 28% for for holding less than a year.
I would appreciate your reply, if its not just that simple as I made it sound.

Yes, I know from experience that if a pr comes out about a share divy, I am only buying the stock for a quick momo play on the news, not to get the worthless shares.
There nothing more than a come on to entice buyers and keep bagholders !!!
I'm not rubbing salt in your wounds so please don't take this in that manner, but you went about it the wrong way. You should of just called the t/a and asked them what needs to be done. I started the process on 3-29-07 and sold my shares on 4-25-07. The whole ordeal took less than a month. I started 13 days after you did.
If you would of had tda send you your shares, then write the letter yourself, and attach a check for $150, and send it overnite mail to the t/a, you would of got your shares. Then you would of sent them back to tda signed, dated and overnite mail.
If you would of done the above you would of been the one trashing the stock.
Goes to show how "good" it is when one of these pink pos companies reward their shareholders by issuing them divy shares! lol
This is what I am talking about.
On March 16,2007 I sent all the forms to my brokerage. A month goes by. I call Ameritrade. They say they have not heard from the corporate attorney, Bennett Grocock. He must sign an opinion letter. They give me his phone number. So I call and call and call. He never returns calls. Finally after calling everyday he answers his phone. He tells me that he does not just give opinion letters for free that it costs 500.00 for his service. In the mean time the stock tanks from 3 cents to nothing it seems. The reason I did not go through the tranfer agent is because Ameritrade told me it would take 6 to 8 weeks for my restriced shares to be mailed to me . I finally send a copy of an email from the transfer agent to Ameritrade about the demand letter. Ameritrade states that the transfer agent is the one that is requirring the demand letter. The stock tanked to .006 so now its not worth it.

when you get your shares, sign, date, and put account number on them and send them back to your broker.

if you held the shares for 24 months you are by law aloud to get them lifted. You must state that you want the legend removed so that they can become free trading shares, and demand transferr under rule 144k.
I know it works because mine are free trading.
I've tried to get the restriction lifted from my shares with no luck. I'm just out the 150 dollar fee I paid, as I watch this POS tank.

if anyone wants to attempt to sell restricted shares. I was told by my broker that they need a legal opinion from the corporate attorney. The attorney is not responding as expected. I must seek legal counsel now.As the MONTHS go by.

i made a previous post about how much 144 stock i think is still out there.. i think it's over 100M.. that's a lot to digest for what really is a non-existent market right now for BPWW.

I was able to sell all my (previously) restricted shares yesterday - some 2 years and 4 months after i received them in the PRRM spinoff.
I'm going to write a blog on the ordeal -- took $150 to the TA and a whole lot of patience, but it's done.
The company was no help whatsoever. Didn't respond to my requests, IR didnt call me back, and they didnt even respond to the transfer agent.
As far as I understand, if you call the TA and ask to 'demand transfer' they'll process it immediately now for $150.
The TA was pretty fair. Gave the company a ton of time to respond to the requests. I sold everything at $.02 -- which was twice what I realistically thought I'd be able to sell at. This was the first 144 stock I was ever successfully able to sell.

TA wants the $110
Call the TA if you doubt me or search the TA price lists online. An attorney letter is also a route to try, Sometimes
one can get out of legend after 1 year and sell in that second year subject to certain conditions.
As to Apple the company. Forget those losers. IR guy told me to contact my broker. Then he said contact the TA. Then he
added he's not a financial adviser.
True non reporting companies have dif standards. The usual restrictions are 1 year if reporting, 2 if not.
The TA lady did add that even some large companies like Big Oil name she used -- they too often force bagholder to pay the fee to get legend removed.
Only if you own 10%+ (or 5% some cases) will there be an issue about reporting a pending sale as an insider.
Mainly the bagholder is stuck nowadays paying for getting legend removed. I think in '90s the flush new companies were all too happy to pick up the fee feeling the shares were only going higher.
As you point out, these stiffs rightly fear a fall to the sub range of 0.005 or 0.0005 as so many are now.
That's why this price hasn't risen despite flood of bs PRs.

it has no shell value. Nor any reason to exist other than maybe as a tax loss a la The Producers.
No need to respond to this since I'm removing BPWW from my Favorites list. NY minute over.
From my understanding of this whole mess is that we are dealing with a non reporting company,'Big Apple Worldwide Inc'.
Since they are a non reporting company they are under no obligation or law to ever lift the legend on our restricted shares.
It is my opinion that they will never release them to us to trade. Because they know dam well that we would sell them into the float. Therefore dilluting their allready worthless company.
Not too mention allowing us to make money at there expense.
Alls that needs to be done is for big apple to lift the legend so we can trade them, period. All the rest is bs. Now if this part about the $110 is true and you are on speaking terms with them. Please tell them to draw up a removal for the legend on the full amount of restricted shares and I will gladly pay the $110 for them ! I can't be any more fair than that.........

So Signature TA says costs $110 to have legend removed from these
Restricted shares. BPWW said they won't pay for it. And my
OLB will charges extra fee to get certs to TA. Plus won't take back in any of those unrestricted certs. Have to have TA
send the removed legend shares to me and then to a regular broker office by hand. Then can trade for a little cash to send to OLB for other trades.
g/l to you guys. Fair warning that any outfit that can't afford to lift the Restriction after 2+ years has gotta be under some serious Florida sun if ya got my drift.

I still don't know where I stand. Whats your opinion about my chances of getting out with my shirt? Do you end up with restricted shares after reverse splits. I have 833 restricted shares in BTVL (Best Rate Travel) which were originaly purchased as EMTK (EMobile) and went through a 36 to 1 RS. My common shares went down to nothing but they gave us restricted shares equal to what we had with a promise of tripling them in 3 years at the pps at that time. They have moved that date up to Jan. 9, 2007. If they pull this off I should have 2500 trading shares at near $3.00 pps, or am I being to optimistic. Is this another pinkie trick?

My accounts are flooded with restricted shares and never was able to sell one. Thats why I don't bother with all these divy PR's cuz they are restricted and it seems like you never can sell them

I am a PLNI cool-aid drinker who it appears fell for this POS. I am new to the penny player game but I see promise in it if it can be played right. I made a big mistake and fell in love with SLJB. Before all hello broke loose I was up 400%. I thought that this would be a good place to put some of what I got back when I sold half of what I had in SLJB. I saw the PR from PLNI and went to the BPWW web sight and was reasonably impressed and the price was right so I ordered 25K at market which turned out to be .04. Since then I have not been impressed so I have a sell order in for the whole thing at .04 which is where the price sits. I think the last activity was Monday and nothing since. Have I been left holding the bag on this one too? Whats going on, my Scottrade shows a bid of (.01)-. What the hello does that mean? Do they want me to pay them to take it off my hands?

Hi Gang. TDWaterhouse (Canada) shows a value in my account anywhere from .03 to .05 for my divy BPWW shares depending on the day (or the weather, not sure).
For some reason TDW has always let me buy shares (in anything) based on my account total value, even though I don't have a margin account (or any cash in the account).
So at least the BPWW shares are good for something, like getting myself more into trouble. LOL
