If our Plan of Reorganization is implemented as proposed, the company’s current equity would be extinguished and holders of that equity would not receive any recovery.

Frontier to Emerge From Bankruptcy

Republic won an auction to buy Frontier out of bankruptcy Thursday as the underdog with a $108.8 million bid that had been sweetened to offer creditors other than Republic about 18 cents on the dollar.
And Republic Chairman, President and CEO Bryan Bedford said Friday that Frontier's managers, including CEO Sean Menke, will run Frontier and Milwaukee-based Midwest Airlines, which Republic recently purchased. Both will be run as stand-alone carriers.
Frontier CEO Sean Menke said Friday that Southwest Airlines Co. withdrew its bid of more than $170 million after it became clear that pilot unions for both airlines wouldn't be able to agree on how their ranks would be integrated. That could have affected Southwest's ability to close any deal. "We saw that as a very big risk," Menke said.
Southwest had enough cash on hand to just write a check for Frontier.
"We had no doubt that they could put more value on buying the business than we could, and therefore spend more on it than we could," Republic's Bedford said. "We sort of thought that if they really wanted it, they were going to get it."
Bedford said the negotiations in New York reached a stalemate Thursday.
"Somebody had to move," he said, so he decided to sweeten the offer. Republic would waive its $150 million bankruptcy claim, for which it would have received about 12 cents on the dollar under Southwest's bid. That left more money for everyone else Frontier owed.
"That was going to force them to either react or withdraw," Bedford said.
Frontier, which filed for Chapter 11 bankruptcy protection on April 10, 2008, could emerge as early as Sept. 17, Menke said.
Bedford said Republic expects to cut $50 million a year in overlapping costs between the two new acquisitions and Republic. Some are nearly certain, like combining gate operations in cities such as Dayton, Ohio, where both Frontier and Midwest fly. Moves like that will be made within the next three to four months, he said.
Bedford also said he'll consider having some Frontier maintenance done by Midwest mechanics in Milwaukee.
"Although we're evaluating where various job functions within the holding company could best be performed, we're not considering an actual move of Republic's headquarters," Republic spokesman Carlo Bertolini said.
Frontier has long roots in Denver. The original Frontier Airlines operated from Denver for 40 years before it was sold in 1986. In 1993, some of its former executives gathered to launch another carrier by the same name.
Today the new Frontier has roughly 5,000 employees with service to more than 50 cities in the United States, Mexico and Costa Rica.
It's the second dominant carrier in Denver behind United Airlines .
Frontier sought bankruptcy protection after its credit card processor started withholding significant proceeds from ticket sales, which threatened a cash crunch.
Officials for unions representing Frontier pilots, mechanics and others say a Republic deal would allow those workers to keep their jobs, while a deal with Southwest could have cost them their seniority or even their paychecks.
"I'm really gratified this deal turned out the way it did," Colorado Gov. Bill Ritter said. "It allows us to keep Frontier Airlines a Colorado airline."
Ritter said the state will also try to persuade the airline to move its maintenance operations to Denver, "but we need to see what we need to put on the table to get that done."
Don Marostica, executive director of the Colorado Office of Economic Development and International Trade, said he would review options over the weekend. He said he had been nervous that Southwest might take aircraft and jobs out of Denver.
"They're from Texas. You just don't know what they would do," he quipped. "I love their cash. They know how to run an airline. But we've got to help Republic now."

Well... I got left with some extra on the last run to .12 and still had a lot of shares.. so I used the down time to trade it and get even on the pps... and then Southwest came along... was a very good Thursday and Friday... and I was completely out Friday...
But, bought more today in the .20 range.. looks like she still wants to go...

DENVER (AP) -- The head of Frontier Airlines Holdings Inc., which is reorganizing under bankruptcy protection, said Thursday credit-card processing companies are visiting other airlines, too, worried by the industry's financial struggles.
In an interview with The Associated Press, Chief Executive Officer Sean Menke said the processors are concerned because the industry is coping with persistently high fuel prices, a credit market crunch and the slowing economy.
The card processors don't want to be on the hook for ticket refunds if airlines stop flying.
"I do know that airlines are being visited and they're being visited for all the same reasons that we were visited," Menke said. He declined to name which airlines were involved.
Menke's comments came a week after the Denver-based parent of Frontier Airlines filed a Chapter 11 petition in U.S. Bankruptcy Court to gain protection as it restructures debt. He said Thursday the airline is focused on staying a standalone carrier as it reorganizes under bankruptcy protection.
Menke said Frontier was forced into the move because its credit card processing company, First Data Corp., sought to hold up to 100 percent of proceeds from ticket sales in reserve until the passengers' flights are completed.
The filing prevents Greenwood Village, Colo.-based First Data from implementing the change until Frontier emerges from bankruptcy or received a judge's approval.
"We're in discussions with them looking for a resolution to this," Menke said.
Some analysts who follow the credit card processing industry said it's likely that the companies would re-evaluate the risk potential of individual airlines.
"In my opinion, I think they will be doing that just because of what the airline industry is going through," said analyst Adil Moussa of Aite Group, which is a market research company for financial industry.
Any decision, however, depends on the individual carrier's financial picture, Digital Transactions magazine Editor John Stewart said.
From its Denver International Airport hub, Frontier battles Southwest and United Airlines in an atmosphere that has kept ticket prices low. Analysts have mixed views about whether the airline will emerge successfully from bankruptcy, saying a critical factor will be its reorganization plan.
Menke said he is re-evaluating every part of the operation. While nothing has been ruled out, he has no plans now to lay off any of Frontier's 6,000 employees.
Since he became CEO in August, the price of oil has risen $70 a barrel.
The airline has adjusted its routes, reached an agreement to sell four jets and laid off about 100 employees. It also launched a turboprop subsidiary, called Lynx Aviation, to reach into small and mid-sized markets with higher-yield traffic.
Last month, Frontier posted a record 84 percent load factor -- the number of seats filled on a plane. That compared with about 77 percent in March 2006.
"All the changes are being reflected in the bottom line relative to production," Menke said. "In any other year, I'd be doing cartwheels or backflips" with those results.
As he examines operations, Menke is focused on staying independent but is looking at marketing agreements or other such partnerships and implementing a tiered fare structure where passengers pay more for additional services.
"I think everybody understands the pressure this industry is under right now and we have to find ways of driving additional revenue," he said. "We have to find ways of finding more cost savings and that will continue to be my focus."
