TORONTO, ONTARIO--(Marketwired - May 13, 2014) - Further to press releases of March 19 and May 8 of 2014, AgriMinco Corp. (TSX VENTURE:ANO) ("AgriMinco" or "Company") is pleased to announce that Premier African Minerals Limited ("Premier") has today exercised the option to acquire AgriMinco's entire 30% interest in the Danakil Potash project, Ethiopia (the "Project").
The consideration payable by Premier to the Company on completion of the acquisition of the Project comprises:
(i) The cancellation of all the common shares of AgriMinco owned by Premier for no consideration. As at the date of this announcement, Premier is interested in 120,821,176 AgriMinco shares representing approximately 42% of AgriMinco's issued share capital with a value of C$1,812,317.64 based on the last closing price of AgriMinco shares of C0.015 per share on May 12, 2014, the last practicable date prior to the publication of this announcement.
(ii) Deliver and effect payment of debt settlement agreements in favour of the Company releasing the Company from an aggregate of C$2,265,819.50 in liabilities.
(iii) The issue to AgriMinco of new Premier ordinary shares with a value equal to C$1,000,000 based on the volume weighted average price per Premier ordinary share for the five trading days immediately prior to and following the option exercise. Based on the closing mid-market price of a Premier ordinary share of 0.975p on May 12, 2014, the last practicable date prior to the publication of this announcement, this would result in the issue of 55,847,589 new Premier ordinary shares.
In aggregate, the consideration on completion is estimated on present pricing at C$5,078,137.10.
Commenting on the transaction, Bruce Cumming, CEO, said: "Completion of this transaction has placed our company in a position of being free of all secured debt, significantly reduced our shares in issue and provides a source of funds into the immediate future whilst still retaining a small interest in the Danakil Project and allowing us to re-evaluate our remaining West African interests either with a view to further monetizing or developing those or any other opportunity."

From my calculations, ETPHF only owns about 17% of the project now. IMHO these folks are a joke. I sold this one long ago.

LOL, it appears to me that FED has formed a JV with another broke company, gave up 70% of the project and then gave away 43% of the remaining 30% for some more UN-developed property that they don't have the $ to develop. They just seem to be digging a deeper hole.

Yes, things dont look good here. "The Board of EPC has determined that, in the event that the transactions contemplated by the MOU are not completed, it would be in the best interest of the Company to terminate its Option and delist and wind-up the Company"
And boom goes the dynamite. I'm done and licking my wounds. I just don't think the re-org will give anything substantial to make up for my 95% loss.

The problem with the folks that have the "large interest" is they are not privy to the information acquired,(or at least the documentation) thus they not inclined to try and screw their way in to cut others out.
They have an agreement with folks that have a large interest in the company.
I've emailed IR with no reply. There's no updates on their website except for auto-feeds. What I can't remember is if they own the land or have a long term lease or what. Anyone remember?
I am guessing 5 cents or less. It is kind of sad. They had the goods.
The problem is that due to management wasting endless time and our money fighting among themselves, the takeout is likely to be at 10 cents or less.

I believe that may be the case. I am truly disappointed in ETPHF managment and expected much more. I am however invested in the one I THINK WILL take it out. Amazing that FED could not get it to gather. No problem though. I believe it will be taken out at much less than .075. The take out agent is good for many many years. I would not at this point be looking for a profit but an escape. I am thinking the bid may approach 50% of the .075. Again, JMHO. We shall see.
With the amount of land available, I think we might be taken out.
Looks like shareholders here are in a quandary. What to do? I at this point have no advice. I have a few shares just for grins at this point.

I know that there's rumors regarding EPC's GB options and financial
health. Is the company going to issue any sort of clarifying statement with regard to either or both? Is the company pitching the Canadian business TV network to go on and clarify?
I'm sure you have skin in this game based on your deals with other clients, and while volume is above average and that there's a buyer for every seller, this is really starting to smell bad.
There's a lot of negative speculation that needs to be cleared up.

The last press release pretty much sums up what's going on, we are deep in negotiations with our strategic investor and I expect we'll have a press release with details soon.
We have a number of head hunting firms looking for a new CEO, and we seem to have narrowed the candidates significantly in the last week.
There is no issue with the option at all, the founders of EPC and G&B are getting along well and they've actually agreed to exercise the option early.
There is currently around $500,000 [I assume Canadian] in the bank and the strategic is going to cover us going forward.
The company is going to be in great shape once the above is taken care of, we just need the market to come around.

No. That's just an assumption. Analysts are allowed to have their opinion, even if wrong. If that opinion is biased, then there has to be a gain by them in order to prove the fact.
I am wondering if Fed will be selling out to a more well funded entity? Just a thought? Whom ever is trying to prop up the SP is definitely going to tire very soon IMHO. Huge potential on the property IMHO, but it is going to take big $ to ever bring it to fruition.
If the following were true, there would be I believe a lawsuit in the works. IMHO "We believe that Ethiopian Potash has been under pressure based on
misunderstandings most recently aroused by poor research coverage
from a group that had hoped to lead the next financing effort, but
no doubt is nonplussed now by the fact that fees (the main driver of
the investment banking business model) will not be forthcoming". We shall see.
