Vodafone Now Marketing Pareteum’s (TEUM) MVNO Platform Worldwide
Zacks Small Cap Research
December 21, 2016
By Lisa Thompson
NYSE:TEUM
On December 21, 2016, Pareteum Corporation (TEUM) announced it has secured an extension of its existing MVNE relationship with Vodafone Enabler S.L. (VEE) and expects it first MVNO customer rollout through Vodafone Enabler during the first quarter of 2017. Vodafone Enabler is a group out of Vodafone Spain that is taking MNVO service offerings to all the Vodafone companies throughout the world. By using the Pareteum platform, and working with Vodafone Roaming, it can offer customers a turnkey service offering that allows seamless global roaming. So now any Vodafone company, based in any country, can offer its customers a product that gives its users communication services anywhere on the globe. This first announced customer, who will port over to Pareteum in Q1, is a current enterprise customer of Vodafone. Its has operations all over the world and has an extremely mobile employee and customer base and can use the Pareteum cloud based global platform to cut costs for employees and offer innovative services to customers. We believe in Q1 Vodafone could make an announcement as to who this customer is, and what services it is providing. With this reference customer, Pareteum should be able to market to others in this industry as well as companies in industries such as shipping, logistics, and IoT all of whom have global mobility as a common denominator.
The large majority of Pareteum’s revenues is supported by its long relationship with Vodafone Spain and should keep the company above water. It has plans in place to grow its current business 25% next year off its $12 million Q4 2016 run rate and already has three new customers signed. It has great prospects through Vodafone Enabler to capture customers requiring global roaming. Its cloud-based platform provides a leading edge solution for MVNOs and MVNEs who wish to create innovative products to sell to enterprises as well as consumers. It allows providers to seamless move traffic from carrier to carrier via software and takes advantage of multiple carriers in a geography without the user even knowing. This software defined network (SDN) solution is enjoying increasing adoption worldwide as it provides greater flexibility and lower costs than traditional legacy networks.
The company trades at a market value of $28.6 (using 220 million fully diluted shares) or an enterprise value of $34.5 million. This is approximately 3 times its current revenue run rate.

Pareteum Announces Expanded European MVNE Contract to Launch First Global MVNO Service
Company’s Global Cloud Platform Allows First MVNO to Eliminate Geographic Mobile Service Limitations
NEW YORK, December 21, 2016 -- Pareteum Corporation (NYSE MKT: TEUM) (“Pareteum,” or the "Company"), a leading international provider of mobile networking software and services, today announced it has secured an expanded Global Cloud Platform services agreement with its largest European customer. The new contract, an extension of its existing MVNE relationship with Vodafone Enabler S.L.(VEE), will allow for the creation and launch of unique Mobile Virtual Network Operator (MVNO) service offerings backed by a Tier-1 network operator’s global roaming services operation. These services, together with the first MVNO customer rollout, are expected during the first quarter of 2017.
“With our enhanced, market-leading cloud-based global mobility platform, Pareteum is now unlocking tremendous new opportunities for operators looking to create new global MVNO revenue streams by eliminating the limitations of location,” said Hal Turner, Pareteum’s Executive Chairman. “Because Pareteum’s mobility platform already powers our European customer’s MVNO brands, we are now in the process of quickly launching these services together with the first MVNO customer. Through a combination of our leading-edge technology and strong industry relationships, we are now better positioned to benefit from the MVNO market estimated to be worth $89.25 billion by 2022, according to new research published by Global Market Insights, Inc.”
The new MVNO service will take full advantage of existing carrier network and worldwide roaming agreements and will run on Pareteum’s cloud based platform, allowing for prepaid and postpaid services outside of the MVNO’s traditional operating geography. One of the greatest challenges facing MVNO’s looking to create and deploy new services is that the physical and geographic boundaries of provisioning services outside of home country can be difficult and cost prohibitive. The new MVNO services platform supports a diversity of users including brands, enterprises, IoT devices and those on 4G networks, representing substantial new revenue generating opportunities for Pareteum. Services under the new agreement are already being provisioned and new subscriber additions are expected to begin in the first quarter of 2017. The expanded agreement also paves the way for additional brands looking to go global and benefit from Pareteum’s extensive mobile services platform and the network reach of this tier one global carrier.
Luis Jimenez Tunon, Chief Executive of Vodafone Enabler added, “We have moved to the next logical step in our partnership with Pareteum. We started with a platform to enable our existing MVNO and Lowi.es businesses using their enablement platform and our positive experience has enabled us to now open our opportunities to other Vodafone properties and global roaming and to embrace our joint IP transformation. This natural expansion is a result of the focused effort by both teams to bring additional opportunities to the VEE platform throughout the Vodafone Group.”
“We are excited to extend our relationship with our largest customer and to play a critical role in their ambitious global expansion plans,” said Vic Bozzo CEO of Pareteum. “Today’s agreement further demonstrates the momentum and traction we are seeing in the market, driven by our unique ability to enable our customers to extend their offerings and for the first time, empowering MVNO brands to break free of their geographical bounds.”

Elephant Talk Enables Global Brand MVNO Framework
[PR Newswire]
October 11, 2016
NEW YORK, Oct. 11, 2016 /PRNewswire/ -- Elephant Talk Communications Corp. (NYSE MKT: ETAK) ("Elephant Talk," or the "Company"), a leading international provider of mobile networking software and services, today announced that its mobile virtual network enterprise (MVNE) mobile cloud services platform will be deployed with its strategic partner Expeto's 4G LTE engine, providing a new enterprise "brand focused" Mobile Virtual Network Operator (MVNO) unique branded global mobile services.
Elephant Talk Communications' Logo.
Elephant Talk Communications' Logo.
Elephant Talk, Expeto, and our new "brand focused" MVNO enterprise customer have agreed to create a detailed commercial, technical and financial business model, including revenue sharing arrangements, related to the global deployment of consumer branded mobile networks, handsets and brand-exclusive content, engaged by the MVNO, with network services delivered through existing global roaming access partners already running on the Elephant Talk systems.
The development and deployment of this jointly managed global mobile solution represents a new, disintermediated and highly disruptive paradigm in branded mobile services delivery. Its "brand first" business model will deploy services that depart from the customary gigabyte - megabyte data-based, rated service plan pricing models, providing a new pricing basis leveraging a brand membership subscription plan which effectively removes the "distribution tax" that brands otherwise endure in connecting with their customers. The delivery of this branded global mobile solution business model is expected to transition Elephant Talk from a low margin wholesale provider to pricing and profit margins enjoyed by the leading software as a service companies.
"We are pleased to join forces with our partner, Expeto, in forging our first global MVNO partnered solution with a market leading (albeit in "stealth mode" in deference to their brand customers), global, brand-centric MVNO solution provider. This is a significant milestone with disruptive market implications, which has the potential to bring millions of subscribers (members) that loyally follow global and national cult brands. Brands have learned so much about their consumers' engagement and network economies available to them via social networks. The most innovative brands are strengthening their communities around the interests of enthusiastic and loyal customers. Now with the ETAK-Expeto solution, those brands will retain more direct control and distribution of exclusive brand related information, services, and content. This represents a material improvement for the brand member's consumed content, while reducing costly dependencies on 3rd parties," said Hal Turner, Executive Chairman of Elephant Talk.
"This enterprise focused model represents exclusive brands which will purchase handsets, media and secure content, downloads, movies, interviews and additional content the brand wishes to present to their members. This includes established retail distribution channels with major recognized retail brands. Handset manufacturing and distribution agreements are in place already. We expect to see an increasing number of brands approaching us to discuss not so much the launch of a traditional SIM-only based MVNO, but rather the possibility to distribute branded devices that smartly choose its optimal connection via cloud based networks, delivering seamless services in multiple geographies," Mr. Turner added.
As enterprises look to expand the services they offer to customers and employees, Communications Service Providers (CSPs) struggle to move beyond connectivity to offer the full capability for businesses looking to exploit IoT (internet of everything). In response, enterprises are seeking to directly deploy MVNO services, equipping them to take control of their own operations and networks. The Elephant Talk - Expeto strategic partnership responds to this growing market demand, offering complete MVNO capabilities within trusted private networks. Gartner predicts, 'By 2018 the top 1000 global enterprises will implement MVNO capabilities of some scale in support of their IOT capabilities.'
"With Expeto enabling private organizations to fully control cellular data in a trusted way, inclusive of LTE and WIFI data and the partnership with Elephant Talk, including its online subscription management and unique billing, the two Companies can address the needs of global enterprise and cult brands willing to control, by themselves, the distribution of their content directly to their best consumers and fans, no longer depending exclusively on dominant operators and social networks," said Ryley MacKenzie, CEO of Expeto.

As part of its efforts to restructure its global business under recently appointed executive chairman Hal Turner, Elephant Talk Communications Corp. The executive appointments and transitions include:
- Gary Brandt has been named chief restructuring officer and will be responsible for leading the transition and reorganization of Elephant Talk’s global operations. - Tim Payne, current president of Elephant Talk North America (ETNA), has stepped down as the company’s interim chief executive officer. Payne will continue to serve as president of ETNA.
“When I assumed the role of executive chairman last month, one of my first priorities was to undertake an extensive, top to bottom review of the company,” Hal Turner, executive chairman of the board of Elephant Talk, stated in the news release. “With Gary Brandt’s appointment to lead the restructuring and the expansion of Armin Hessler’s responsibilities, we are building a foundation of world-class leadership to run our global business operations that will complement Elephant Talk’s world-class technology.”
The company expects to continue its restructuring efforts by announcing additional executive appointments during the first half of 2016.
Hal Turner was appointed to the position of executive chairman last month. He brings more than 40 years of international C-level global telecom and communications experience to Elephant Talk, including extensive experience as an executive with major wireless and wired operators. Notably, he served in senior sales and marketing roles at AT&T (NYSE: T) and as the president and chief operating officer of BellSouth Communications, Inc. prior to its merger with AT&T.

ETAK Offering Upstart Telecommunications Firms the Tools Needed for Sustainable Growth
The telecommunications market can be a confusing, acronym-filled place for the uninitiated. First, there are mobile network operators (MNOs), or wireless service providers. These companies own or control all of the necessary elements to sell and deliver cell phone services to customers. In the United States, major MNOs include Verizon Wireless (NYSE: VZ), AT&T (NYSE: T), T-Mobile (NASDAQ: TMUS) and Sprint (NYSE: S). In addition to offering services directly to consumers, MNOs normally obtain additional revenue by selling access to their network services to mobile virtual network operators (MVNOs) at wholesale rates. For consumers, MVNOs provide similar services to those offered by MNOs, but these companies are different because they don’t own their own wireless network infrastructure.
In some cases, MVNOs use their own customer service, billing support systems and marketing and sales personnel, but the upfront capital needed to fund these investments is often too much for newly formed wireless service providers. In order to cut initial costs, MVNOs can employ the services of a mobile virtual network enabler (MVNE). MVNEs provide a full range of network enablement platforms and services to MVNOs without having any direct relationship with the consumer. Benefits for MVNOs include a dramatic reduction in upfront capital expenses and potential savings in wholesale airtime costs resulting from bulk purchase discounts enabled by larger MVNEs.
Elephant Talk Communications Corp. (NYSE MKT: ETAK) is a leading provider of mobile networking software and services following an MVNE model. The company provides a patented cloud-based mobile communications infrastructure, operating software and managed services while enabling MVNOs to offer a full suite of products and high quality customer service without substantial upfront investment.
ETAK already counts several of the world’s leading MNOs and technology firms amongst its customers and partners, but the company took a significant step toward increasing its market share in October when it entered into a cloud service and software license agreement with the wholesale division of a tier one U.S. mobile operator. Following this agreement, the tier one MNO may procure ETAK’s proprietary MVNE services platform for use in the launch of a number of new MVNO brands at a later date.
The costs associated with developing a nationwide communications network are astronomical, so the best entry point for upstart telecommunications firms utilizes the MVNO model. As an established provider of MVNE services with a proven mobile service platform, ETAK is in a strong position to benefit from continued market expansion for the foreseeable future.

ETAK Set to Capitalize on Selection as MVNO Platform Solution Provider for Tier 1 Mobile Operator
The costs associated with building a nationwide wireless network are immense. Despite this fact, new voice and data service operators enter the market on a regular basis, often providing consumers with considerable cost savings for mobile phone and data service. These smaller carriers are known as mobile virtual network operators (MVNOs). Instead of attempting to create a wireless network of their own, these companies lease wireless telephone and data service from established mobile network operators (MNOs) in their target markets at wholesale rates. In the U.S., these MNOs include AT&T (NYSE: T), Sprint (NYSE: S), T-Mobile (NYST: TMUS) and Verizon (NYSE: VZ).
In some cases, MVNOs use their own customer service, billing support systems, marketing and sales personnel, however, establishing these resources typically requires a substantial amount of upfront capital. Alternatively, MVNOs can enlist the services of a mobile virtual network enabler (MVNE), a business-to-business operation specializing in the planning, implementation and management of mobile services – including SIM provisioning and configuration, customer billing, customer relationship management and value-added service platforms. In this way, startup MVNOs can effectively outsource management of business and technical operations while benefitting from the previous experience of the MVNE as a negotiating channel with MNOs.
Elephant Talk Communications Corp. (NYSE MKT: ETAK) addresses the demand for MVNEs through its proprietary platform. Using market standard interfaces, the company offers global telecommunication companies and other service providers a full suite of products and services that enable them to fully provide mobile telecom services as part of their overall business offerings.
Earlier this month, Elephant Talk announced an agreement with the wholesale division of a Tier 1 U.S. mobile operator through which the operator may procure the company’s innovative MVNO platform services on a non-exclusive basis. Following this agreement, Elephant Talk is in a formidable position to provide launch support for a number of MVNO brands moving forward. The company has already completed the primary integration of its solution platform with the mobile operator’s systems, and it expects to begin supporting new MVNO customers in the coming weeks.
“Our selection by a Tier 1 U.S. mobile operator is a major achievement for Elephant Talk, validating the strength of our technology and the capabilities of our software platforms designed for the unique needs of MNOs and MVNOs,” Tim Payne, president of Elephant Talk North America, stated in a news release. “We have worked closely with this mobile operator to complete the simultaneous integration of our platform with their systems and are pleased to report that we are now ready to support a growing number of new MVNO brands as they are launched on the operator’s network.”
Leaning on the marketability of its technology, Elephant Talk has established itself as an emerging leader in the mobile space. With many of the world’s top MNOs and technology firms already amongst its customers and partners – including Vodafone (NASDAQ: VOD), T-Mobile, Zain, HP (NYSE: HPQ) and Affirmed Networks – the company is primed to promote sustainable financial growth for the foreseeable future.

ETAK Says Voice Biometrics is Best
The recent fingerprint hacking of over five million United States government employees raises questions about the safety of biometrics. Biometrics, a technology that measures and analyzes biological data like voice, fingerprint, iris, and facial scans, is used by companies like Apple and Samsung to unlock user-specific products. However, rising concerns over biometric use within customer-based businesses after the latest breaching of fingerprint data need to be addressed.
Elephant Talk Communications Corporation (NYSE MKT: ETAK), a global provider of Software Defined Network Architecture (ET Software DNA® 2.0) platforms and security solutions, suggests we move towards voice biometric technologies with multi-factor authentication to increase personal identity safety. The current fingerprint biometric trend lacks the option of changing should a breach happen. Fingerprints are static which means they can never be altered, therefore, once stolen the information remains available indefinitely. However, voice biometrics are dynamic which allows for fast alterations should they be compromised.
Various companies are working on biometric interface systems for users that provide safer security measures. ValidSoft, a subsidiary of Elephant Talk, offers security services that use voice biometrics coupled with multi-factor authentication approaches for the development of advanced verification systems to keep sensitive information protected. This means that the company provides multiple layers (factors) of security for each user, making hacking almost impossible. One factor, like a password, can be easily accessed while contextual data specific to a user with other factors proves more difficult. By using the latest in voice biometric algorithm technology, ValidSoft offers user-specific verification software.
Elephant Talk believes in the value of both static and dynamic biometrics, though insists on companies not using them by themselves. For greater security, validation technologies should use multiple factors, contextual data, and numerous layers to keep users and their information locked for theft prevention.

Investment Highlights
The Need
Current market conditions create need for innovative, state-of-the-art solutions
For many MNOs and MVNOs, voice, messaging and Internet access revenues are already – or close to – terminal decline. While legacy systems lag behind the trail of development, profit generation is dramatically slowing down since SDN and NFV systems solutions are not yet complete.
These market conditions result in high cost for legacy network and systems and contribute to the core issues shaping the MVNO market:
Based on the growing collaboration between MVNOs and MNOs, the MVNO market has to deal with the same issues as the current MNO market.
Elephant Talk is a game changer.
To stay ahead of the game, MVNOs and MNOs must make significant, strategic changes, and this is where Elephant Talk comes in to play with:
The Solution
As the creator of sustainable MVNO business and win-win propositions, Elephant Talk emerges as game-changing leader
Mobile Virtual Network Enabler
Elephant Talk's primary offering is a full suite of secure cloud-based mobile communications software that enable companies to create value and drive revenue through mobile telecoms services and go to market rapidly at low cost.
The company's solutions are ideal for MNOs who need a flexible and scalable architecture to provide services to their MVNO customers, as well as for full MVNOs. In certain markets (e.g. The Netherlands, Belgium), Elephant Talk also provides services directly to MVNOs or companies planning to become MVNOs using its existing MVNE platform.
Together, these solutions make mobile networks cheaper to operate, faster to deploy, easier to manage, more reliable and more secure. Elephant Talk provides global MNOs and MVNOs better network capability through its integrated mobile platform. Mobile solutions enable non-telecoms companies to offer mobile services and enable fixed line operators to become an MVNO swiftly and without investments in infrastructure.
Elephant Talk's all-in-one IP based solution conducts every function of a standard mobile network. As the network is software from end to end, hardware and maintenance are much lower than traditional solutions while deployment is rapid.
Solution includes (among other functions):
Value added services include:
ValidSoft Subsidiary
Providing the next generation of mobile services
ValidSoft uses personal authentication and device assurance to enable secure transactions, helping its customers reduce fraud losses and improve overall experience. ValidSoft serves multiple clients in the financial government and business automation sectors and is the only company to have been granted four European Privacy Seals, reflecting its commitment to promoting strong data privacy.
Security and Fraud Detection & Prevention
The strategic cooperation combines ValidSoft's best in class proprietary software with Elephant Talk's telecommunication platform to create the market's best electronic fraud prevention total solution. Elephant Talk can service the needs of ValidSoft's requirements to deliver its leading solutions while also providing a platform to enable ValidSoft to process up to 400,000 transactions per second, to "carrier grade" level (i.e. industry standards in telecommunications).
Elephant Talk's MVNE/MVNO software provides ValidSoft the opportunity to service the security layer needs of this capability. While the synergies between a telecommunications security solutions provider and an innovative telecommunications company may seem obvious, Elephant Talk's growing intellectual property capability bears testament to this integral dynamic. As the convergence toward the smart phone crystallizes, the need for the security is paramount, and telecommunications is at the core of the capability. Together, ValidSoft and Elephant Talk innovate, leveraging each other's core capabilities and strengths, to be the global leaders in managing and securing the mobile cloud.

Voice Verification can also be included for Web and M-banking transactions.
Transaction Verification not only authenticates the customer but also ensures the integrity of the transaction detail itself. This counters even the most sophisticated electronic fraud, including "Man-in-the-Middle" and "Man-in-the-Browser" attacks. This solution increases consumer confidence, reduces operational costs and protects the integrity of electronic transactions.
VALid-SVP™
VALid-SVP™ is VALid® voice biometrics plug-in, based on a completely modular architecture, which allows organizations to easily integrate voice verification, into a broader authentication framework. VALid-SVP™ includes a leading-edge voice biometrics engine, 100% IP owned and developed by ValidSoft R&D team. It can also integrate third-party engines. VALid-SVP's™ voice biometric engine includes:
VALid-4F™
VALid-4F™ is the world's first commercially available four-factor authentication solution utilizing a single integrated platform. Four-factor authentication comprises the traditional factors of "something you know," "something you have," and "something you are" with the additional dimension of "somewhere you are." In the case of the latter, ValidSoft use its unique anonymous proximity correlation logic, VALid-POS®, which was awarded the European Privacy Seal in March 2010.
Apart from having a fully integrated proximity engine based on the global mobile telephone network, Valid-4F™ also boasts its own biometric Voice Verification engine, providing the highest level of user authentication available through its use of text dependent, text-independent and conversational voice verification. Coupled with its out-of-band authentication and transaction-verification model, VALid-4F™ provides all four authentication factors utilizing a single consumer device, the mobile phone.
The second European Privacy Seal is awarded for VALid-4F™which applies to self-certification solutions, those being especially relevant to governments. In an increasingly mobile and global world, it is becoming more and more important that individuals can quickly and simply certify, by and for themselves, over a mobile phone, who they are, and that they are fulfilling certain conditions, including whether they are, or not, in a particular country or jurisdiction. It is also crucial in such circumstances that the relevant self-certification is reliable and verifiable. The product achieves this without privacy-intrusive processing, in a way that is fully compliant with European data protection standards.
VALid-POS®
VALid-POS® is a real-time out-of-band card-present fraud detection and prevention solution. Designed to combat ATM and point-of-sale card fraud, it determines, in real-time, that a physical transaction involving a payment card is in proximity to a mobile phone linked to the actual cardholder in less than 400 milliseconds. VALid-POS® is invisible to the card holder and can be used to combat cross-border and domestic card-present fraud. VALid-POS® creates a paradigm shift in eliminating false-positives and fundamentally changes how card-present fraud is managed today.
ValidSoft is the only software security company in the world to be awarded the prestigious European Seal for its VALid-POS® solution, demonstrating total compliance with European data protection and privacy laws.
