Okay, so I am going to get $3.05 for every unit I own. That means with VNR trading near $17 per share right now that means that I will have a BIG loss in my portfolio.

VNR is a strong company. May be limited upside to your entry at the moment but quality merger in my opinion.
The way I understand it,
this is a unit for unit exchange at $3.05 per unit, so we will have the same amount of shares in a larger asset based, increased production, stronger financial, better credit metrics, better equiped to deal in the sector going forward Vanguard (VNR).
Looks all good to me, Timothy Smith is the man to better express the benefits for us and structure of the deal than me however.

I agree and the sooner the better. Market will rebound as WTI does but may be channel bound through 2015. I like quality dividend stocks in the sector in the current value proposition.

Oil production was down slightly quarter-over-quarter, while our NGL production was up over 10%, and natural gas production increased about 4%.

I was Lucky enough to get some shares at just above $2.00 on Dec 31st 2014, I hope we have another good day like that.
Management still has much to prove after years of poor results.
$100million buy back in open market or private negotiations, and .07 divi per share.
Divi back and buyback as well.
Lots of undervalued stocks in this sector right now. Watching several of them!

(Nasdaq:EROC) ("Eagle Rock" or the "Partnership") plans to report second quarter 2014 financial and operating results after market close on Wednesday, July 30, 2014. The second quarter 2014 earnings conference call will be held at 2:00 p.m. Eastern Time (1:00 p.m. Central Time) on Thursday, July 31, 2014.
Interested parties may listen to the earnings conference call live over the Internet or via telephone. To listen live over the Internet, participants are advised to log on to the Partnership's web site at www.eaglerockenergy.com and select the "Events & Presentations" sub-tab under the "Investor Relations" tab. Gmoney. lost steam here last year on costs and dividend cut. however, spinoff and sale of midstream cleans it up a bit and if they bring back the dividend might be decent buy here. but management is the question as well.
