Remember ... as part of the reorganization common shareholders will be reversed 200:1... which means to get the post merger valuation... the current share price will need to be multiplied 200 times....
Or roughly.... quoted as it's being bid at .006 and offered at .008....
Post reverse it would be bidding $1.20 to $1.60.
Merger Candidate Disclosed in Bankruptcy Proceedings
As any of you who've been following this message board... ENUIQ has been going through bankruptcy.
Well, from what I can figure, it is all but done deal. In the latest docket the merger candidate was disclosed... it is EC DEVELOPMENT. They are a casino software company that claims to have a book value of approximately $42 Million . They have some hard assets, buildings etc... valued at $770K or so... but most of the book value is attributed to their proprietary software.
The details of the merger are not fully disclosed... but the company is profitable and earning revenue at approximately $2 Million annually.
From the supplied financials, they have gross profit between 70-80 percent and if January 2010 is typical a net income of approximately 20%.
I expect that we will hear more information in the next days/ weeks... that will tell us about outstanding shares and such. I expect these will come out in a Super 8K which will basically be the equivalent of a 10K and recent 10Q combined.

Today is a court date for ENUIQ.... hopefully their reorganization plan is approved by the bankruptcy judge and we will finally learn who the "merger Candidate" mentioned in the reorganization plan is.
I figure anything that has a future will have to be better than what has been happening over the last few years.
Remember... that part of the reorganization plan is a 200 for 1 reverse split of common share holders. It's possible that we would see some action and possibly a run if things culminate... but keep that fact in mind.

No Problem, I figure I've been following this one too long to stop watching just cause they're going through a bankruptcy.
The latest filings on freecourtdockets.com show that most everything is done accept the approval of the plan which appears to be set for 3/2/10. Who knows if there will be more delays?
As I came on the scene fairly late for ENUI(Q) investors my average cost is a penny....which means I will have to see $2.00 post reverse split to break even. While breaking even is not an extremely exciting prospect, it would be significant for the old portfolio.
I am anxious to see anything happening.

Thanks for the update Randy. at .0025 then if the new merger company ran to $5/sh from the .50 price, a shareholder that bought at .025 would break even... More than likely, imo, the new company will dilute the shares and the price will fall to .10 or lower again, and the reverse split shares will be virtually worthless.
However, it's better than now... with everything in penny limbo..

I actually read most the Bankruptcy Reorganization Plan. It says that the company has a "Merger Candidate" and that common share holders will be reversed 200:1. Various debt holders will receive different ratios of shares for each dollar of debt or financing.
So... at .0025....the post reverse price would be valued at 50 cents each.
Not so good...but if "Merger Candidate" is sound and eventually profitable today's share price could be comparatively low.
Might be best to wait till more information is released...but at least there seems to be some signs of progress being made.
From the Freecourtdockets website the last date any creditors can file claims is 1/21/10...so my guess is that we won't hear anything publicly until then.

Hey Boardmarks, I've basically been the bid on this stock for the last year or two....and built up a pretty sizable position. I've never left the offer sit at a penny for this long.
This is fair warning that I have a sell order in for another stock...if it executes I will be taking out the penny offer...or at least move up the bid a couple tenths, maybe both.
If you want these cheapies go ahead and grab them....if we ever hear anything from the company these low prices will likely be gone for ever. Yeah....at this point it sounds like a pretty big "IF" but the prospects are probably as hopeful now as ever.

Now I'm not so sure the reoganization has been completed... It is clear that the various subsidiaries have been "consolidated" as far as the bankruptcy filing goes, but I expect more motions will need to be made and approved by the bankruptcy court.

I don't know if there are more motions to be considered or if this is the final step in their reorganization. But at any rate, I would think we can be as hopeful to hear something from the company in the next month or two as ever.
With any such merger, I think a reverse split is a foregone conclusion. My thought is that with any "action" or merger we will trade substantially higher than we are now. Hence, I'm presently the bid at .0015 for a 100K.
We shall see if I'm an idiot or brilliant (or more likely just average).

A Bunch of shares traded today at what I think is an all time low... 653K from .0008 to .001. I had been at the bid a while back... but not today. I figured I'm already so far under...I had been thinking that I might as well lower my average cost a little more.

Forget ENUI... it's done.
As far as my trading.... I still think COPI at .0149 should still be a winner... and CLWR on the big Nasdaqs, should be a very good entry below $7.

I've discerned from online searches that the ENUIQ is going through a Chap 7 which is reorganization. This would at least allow for the continuation of the entity.
Why go through the process or reorganiation if you're not going to do something with the company.
This might be grasping at straws but I think there is at least a little hope.
RE the 100K shares at .005....the bid and ask haven't changed much since that trade took place. I sat on the bid at .0012 with a GTC order for a week or so and then it traded like 20 or 30K shares and they didn't give them to me...so I said that heck with that an canceled my order (plus I needed like $50 bucks for another trade I was trying to make.
My current holdings are DRGZ which has become a violent mover...should have sold out yesterday at $1.20 but didn't so I've watched it trade back down to .70...I think it has monster potential for future.
I also own some HENC oil and gas property in Austrailia... mega insider buying over last year.
And ROBK... a company that is associated with some of the same players as ENUI....I bought 11K more shares today as the stock is trading like news is on the horizon...I could be all wet. But if they get approval to build the NY Seneca tribe casino with funding...I think it pops big time. I don't have any inside word but there's been a pretty significance in volume increase in volume and offers are being picked off.
We shall see.

Hey...anyone still watching or holding this one? Someone showed up and bought 100,000 shares from .004 to .005. Probably the most exciting action this stock has seen in a while.
We've heard that ENUI has filed bankruptcy on July 29, 2009... what if anything will be survive for prior share holders remains to be seen.

At this point...I figure I might as well hold onto my shares and keep cleaning up the available shares just in case the day comes when someone picks up the shell and does something with it.
We shall see.
My initial reason for buying shares of ENUI was the published statements that the company would be brought back to fully reporting status. I've had some expectations over the last year...but mostly I've not heard anything.
The stock pretty well has been just sitting around....It has traded some and some shares did trade as low as .002 per share. If I hadn't been broke I would have scooped them up...but didn't have the cash at the time.
I guess I should be more consistent with posting on the boards I'm moderating.
Well, the stock has been sitting at a bid of .005 and an offer of .007 for the last while. I noticed that today, just before the close that the .007 offer was taken out with a 25K share buy and has now become the bid.
You never know. Is this just another speculator or could it someone that knows something. I checked for the website and the SEC.ORG for filings and nada. I guess it merely piquies my interest for tomorrow or maybe later this week.
Chances are, it is nothing....but one thing we know is that time will tell.

Hey Boardmarks, I've basically been the bid on this stock for the last year or two....and built up a pretty sizable position. I've never left the offer sit at a penny for this long.
This is fair warning that I have a sell order in for another stock...if it executes I will be taking out the penny offer...or at least move up the bid a couple tenths, maybe both.
If you want these cheapies go ahead and grab them....if we ever hear anything from the company these low prices will likely be gone for ever. Yeah....at this point it sounds like a pretty big "IF" but the prospects are probably as hopeful now as ever.

Well Folks...I guess we keep on waiting.
The stock has been trading a bit lower on the bid side lately. My guess is that there are probably some folks finally giving up on eNucleus and trying to offset some gains....well--that might be assuming too much. There must be some people with gains to offset....somewhere.
At any rate, I'm still checking every now and then to see if the website is back up or any filings are made. So far...nada. Maybe one of these days....weeks....or months. :)

Well another month has almost passed and we continue to wait.
Every now and then I'll take a look at the links included in the IBOX....the old website address and the SEC for filings.
Maybe one day I'll be surprised and see something new.

Well, over the last couple weeks we've seen the Ask go down to a pennny a few times. Each time this has happened someone has scooped up the available shares.
Why would someone buy them? Well, my guess is that they believe that ENUI will one day come out of the dark.
On the Bid side there has been a slight improvement. It had been hovering between .008 and .007...but lately it has been bumped a little to .0085.
My guess it is that it is probably the market maker was willing to sell shares at the penny, but who knows? If this is not the case, the sell side can be explained by yet another discouraged shareholder deciding to sell out their position...but then who would be increasing their bid on the other side?
Just some questions I've been pondering. Any other ideas?
Agreed. The only consolation here is that most of the shares held my insiders or at least former insiders were bought at a much higher price. Time will tell. :)

Be very careful here though of a reverse split on any recapitalization... ENUI has a history of reverse splits and I wouldn't be surprised to see a new symbol and new restructuring upon any updates and filings...

Hey Cargo Hauler. We sure haven't heard anything for a long time.
Back in 2007 I spoke with Randy Edgerton and he basically repeated what we were told in the press release that there would basically be three parts to the restructuring. Some of this might be grasping at straws, but none the less.
1) Restructure debt holders. I'm assuming this is what happened with the transfer of shares and such (finanicial filings last year).
2) India Initiatives. I'm guessing this was in part the re-launching of tendercity.com website last June '07 by Applitech. http://www.1888pressrelease.com/tendercity-re-launching-on-16th-june-pr-9z7fv1u77.html

3) Do a capital raise. I guess we're still waiting to hear about this one.

Hello sapatel, I'm the moderator of the enucleus board. I've been trying root information out about ENUI since it went dark in November '06.
I've heard some rumours we might actually rise from the ash heap....but so far nothing has materialized.
Are you a shareholder? I noticed you've just become an IHUB member today and then posted once on ENUI's board.
After knowing its subsidiaries in India and Singapore closely from an insider friend I would not buy this nor would advise anybody to play this bet. Horrible... They are not paying even salaries of their employees.. what more would an investor can expect ?
Profitscout, I actually wondered whether taking over as moderator was a good idea...but figured I'd rather have it than to let someone else get it. :D Not that I would have minded if you had stayed on.
I think until we actually hear something from the company, I won't make too many changes. Maybe I will make a few "tentative" additions. There are some things that are reasonable public and available. Maybe I will collate what information I can round up...website addresses, etc. ....and "recent news" is researchable, and stick them in the IBOX. If they're posted in there, it may help those trying to research the stock.
1. I do know that all but the foreign and Vancouver, WA addresses and phone numbers are no longer valid.
2. The June 2006 re-launch of the tendercity.com in India. There is still revenue generation going on...we just have no idea how much...or whether teminating the reporting via Form 15 has been enough to turn the company to profitability.
3. I also believe we can derive the most current share count (at least as of 9/29/07) from Max Communication's Schedule 13D filing (which is already 5 months old)...which if I'm calculating it correctly the then current outstanding shares would have been approximately 62,162,000. 11.5 million shares are reported there as 18.5% of the outstanding.
4. I think this speaks fairly well of the company's operations. The last known share count via the June 30, 2008 10Q was right around 49.8 million shares. Apparently they have only issued 12.3 million shares between June 30, 2006 and September 2007.
Oh well, that's about all I have for now.
Randy, glad to see you took the Moderator's position here. You have done more DD on this stock than anyone recently and you are probably the best person to manage this board. It is encouraging that the company still seems to be working toward recovery and there is still some periodic buying in the stock. Thanks for all your efforts.
I suppose it's kind of a crap shoot at this point, but we do have the following to go on:
1. When company's stock was de-listed, they stated it was their intention to re-list the stock at some point. They mentioned what we all know that the Sarbanes-Oxley audit requirements:
"The company intends to be fully reporting and filing in compliance with SEC requirements as soon as possible and is planning on having operations stabilized by January 2007." 11/17/06
"Being a Public company in 2006 is expensive. We are cash focused, being severely cash constrained, and we seek to lower our cash usage during this extremely difficult turnaround period," said Steve G. Vogel, eNucleus' recently appointed CFO. 11/3/06
2. Continuing revenue and sales from at least some of the company's operating divisions:
"A major component of my job as chairman and CEO is to remove obstacles and distractions so that eNucleus is well-positioned to survive and develop into a call center based BPO with a unique business model," Albert F. Case, said. "The Company believes that voluntarily ending our status as a publicly traded company is in the best interest of all parties involved, and that by being private, we will be able to free up resources that can be redirected to create more value for the Company and our shareholders. We look forward to completing our turnaround and moving forward." 11/3/06
"Over the last 6 months eNucleus has been in a restructuring mode to facilitate the expansion and further development of its India operations and call center/BPO initiatives. As the company continues its restructuring efforts and because the majority of its significant business operations will be carried out by its India and Singapore subsidiaries, the company will only maintain a small U.S. staff to oversee these operations." 11/17/06
Well, we've had more no news about this stock. The stock did however trade 2500 shares this AM and then was being bid at a penny and half for a few hours after that.
I think if there ever is news released about this company's re-organization I don't beleive it will trade at these levels for very long.
I just noticed the moderator position was open for eNucleus. Since I've been following ENUI for over a year...I've applied to become Moderator. It suggested that I post a few posts....but this is my only remaining post for the day.
