Drive Shack Announces Leadership Addition and Second Quarter 2019 Earnings Results (8/06/19)
Drive Shack Inc. (NYSE: DS; the “Company”), an owner and operator of golf entertainment venues and traditional golf courses, is excited to announce the appointment of Hana Khouri as President of the Company.
“Hana has a track record of successfully operating golf entertainment venues and extensive knowledge of the industry,” said Wes Edens, Chairman of the Company’s Board of Directors. “I am confident that she is the right person to lead our expansion and execute the strategic priorities of this business.”
Ms. Khouri worked at Topgolf alongside Ken May, Chief Executive Officer of Drive Shack, from 2013-2018, serving in various roles including National Director of Operations and International Director of Operations. During this time, she oversaw the opening of more than 20 Topgolf locations globally.
Additionally, the Company announced a new venue format referred to as the “Urban Box.” This smaller, indoor store is designed for dense, urban locations and will expand U.S. store potential by over 100 markets. The indoor concept is set to debut alongside Drive Shack’s mid-size venue in 2020.
The Company also announced that during the quarter it completed the sale of two public golf properties in New Jersey and California and two private golf properties in Tennessee and Washington for total gross proceeds of approximately $20 million.
For the three months ended June 30, 2019, the Company reported a loss of $14 million, or ($0.21) per share, compared to a loss of $6 million, or ($0.09) share, in the corresponding period of the prior year. The difference is primarily related to the amount of decreased operating results associated with the sale of traditional golf properties.
The Board of Directors of the Company declared dividends on the Company’s preferred stock for the period beginning August 1, 2019 and ending October 31, 2019. The dividends are payable on October 31, 2019, to holders of record of preferred stock on October 1, 2019, in an amount equal to $0.609375, $0.503125 and $0.523438 per share on the 9.750% Series B, 8.050% Series C and 8.375% Series D preferred stock, respectively.

National Golf Company Locks in Capital to Further Growth & Expansion Plans
NEW YORK--(BUSINESS WIRE)--Drive Shack Inc. (“Drive Shack” or the “Company”) announced today the completion of the sales of 11 golf properties owned and operated by its American Golf subsidiaries. Generating proceeds of approximately $82.5 million, the courses sold include Canyon Oaks Country Club in Chico, CA; El Camino Country Club in Oceanside, CA; Monterey Country Club in Palm Desert, CA; Oakhurst Country Club in Clayton, CA; Oregon Golf Club in West Linn, OR; Palm Valley Country Club in Palm Desert, CA; Plantation Country Club in Garden City, ID; Seascape Golf Club in Aptos, CA; Sunset Hills Country Club in Thousand Oaks, CA; The Trophy Club of Apalachee in Dacula, GA; and Wood Ranch Golf Club in Simi Valley, CA. The net proceeds from the sales were used, together with cash on hand, to prepay $102 million in outstanding debt.
American Golf will remain the management company for each of the golf properties that were sold, except for Apalachee, Oakhurst and Seascape courses.

Ken May, who joins the Company as Chief Executive Officer and President, was most recently the Chief Executive Officer of Topgolf. (NYSE: DS), formally announced plans to open anew golf entertainment and recreation complex in Manhattan, after New York City Department of Parks and Recreation (“NYC Parks”) officials awarded the Company a site at Randall’s Island Park. Drive Shack will completely rebuild and replace the existing golf driving range with a year-round golf-centric recreation facility. The current Randall’s Island Park driving range is undergoing improvements and will reopen in April 2019 under Drive Shack’s subsidiary, American Golf. Operations will continue under American Golf’s supervision until breaking ground on the 3-story venue.
The development is expected to generate significant economic growth for the City including the creation of 350 permanent positions and over 150construction jobs. American Golf has worked with NYC Parks for over three decades, a partnership that Drive Shack will continue. A key focus will be community outreach, where alongside internal instructional programs, Drive Shack plans to work with school golf teams, Randall’s Island Park Alliance (RIPA) sponsored youth and development programs and other organizations, to utilize the Company’s enhanced golf technology and introduce a larger audience to golf while improving players’ skills. Redevelopment of former Texas Instruments campus breaks ground (9/24/18)
After more than two years of planning, construction has started on the redevelopment of the former Texas Instruments property in Stafford — a more than $500 million project that aims to bring the area a vibrant mix of shops, restaurants, bars and thousands of new apartments.
The development — dubbed the Grid — has a “billboard location” along the heavily traveled U.S. 69 corridor, developer Adam Schiller, said Monday.
“Everyone has to drive by this site to get to the Galleria, to see the Astros, the museums,” said Schiller, managing principal of StreetLevel Investments. “Now we’re going to give them a reason to stop, come in and spend their dollars.”
Long-term plans for the project between West Airport Boulevard and South Kirkwood Road call for 350,000 square feet of retail and restaurant space; 2,400 residential units; 500,000 square feet of office space; multiple hotel brands; a health club and luxury cinema.
Perhaps the most notable tenant to join the mix so far will be In-N-Out Burger, the California-based chain with a cult-like devotion.
Other retailers slated to join the project include Drive Shack, a golf entertainment venue; Whiskey Cake, a craft cocktail bar and restaurant; and Luma Grove, an outdoor dining concept. Pluckers Wing Bar, Outback Steakhouse, Chipotle and Verizon are also headed for the project. Openings will begin next year.
Aloft Hotels and Element by Westin will operate a co-branded hotel with 234 rooms, and apartment developer JLB Partners is under way on a 380-unit rental complex at The Grid.
A food hall and community gathering area called The Lawn, which will host live music, movie nights and art shows, are also planned. Gensler and TBG are involved in the design. CBRE has been tapped to lease the office space.
The components will be joined by a network of pocket parks, jogging and bike trails and activated public spaces. The developer said heritage oak trees on the site will be preserved.
Dallas-based StreetLevel, which is developing the project with Dallas’ Provident Realty Advisors, announced details Monday morning during a ground breaking ceremony at the 192-acre site, formerly a research and manufacturing facility.
The company said the new project will build upon the site’s legacy of innovation and will spark new economic growth.
Fort Bend County has been one of the fastest-growing large counties in the U.S. It has five of the region’s large master-planned communities and has been cited as the most ethnically diverse county in this area, according to the Fort Bend Economic Development Council.
“We’re accessible in ten minutes of an absurd amount of people,” Schiller said.
The next phase of the StreeLevel development will involve repurposing more than 750,000 square feet of mid-century modern buildings that were part of the original TI campus.
Jeff Wiley, president and CEO of the Fort Bend Economic Development Council, said The Grid will be transforming for Stafford.
“The former TI campus, which was the home of much innovation powering today’s technology, will now be transformed into a tech-savvy, mixed-use development,” Wiley said in a statement. “We have worked on the delivery of this project with the developer, city, county, water district and development authority for quite some time. The day has finally come to let others see the collective vision come to fruition.”
The project will receive a 70 percent county tax abatement for 15 years and the developers could be reimbursed for as much as $52 million worth of infrastructure improvements made to the site, including new roads, landscaping, water and sewer systems and public parking garages.
PlainsCapital Bank of Dallas is financing the project.

Drive Shack appears to be overvalued according to my relative valuation model. In this instance, I’ve used price-to-book ratio (PB) ratio given that there is not enough information to reliably forecast the stock’s cash flows, and its earnings doesn’t seem to reflect its true value. I find that Drive Shack’s ratio of 4.51x is above its peer average of 2.42x, which suggests the stock is overvalued compared to the Hospitality industry. If you like the stock, you may want to keep an eye out for a potential price decline in the future. Since Drive Shack’s share price is quite volatile, this could mean it can sink lower (or rise even further) in the future, giving us another chance to invest. This is based on its high beta, which is a good indicator for how much the stock moves relative to the rest of the market.

BUSINESS HIGHLIGHTS
Drive Shack – The Company opened its first venue in Orlando, Florida, in April 2018.
The Company has announced five additional venues to date, which are in various stages of development, and are expected to open throughout 2019.
Drive Shack continues to assess a national and global pipeline of locations and aims to open five to ten sites annually as the business ramps.
American Golf – As of March 31, 2018, the Company owned, leased or managed 74 golf properties across 12 states. These courses are located predominately in high-volume, top-tier cities across the U.S.
On a same-store basis, excluding managed courses, the traditional golf business ended the first quarter with approximately 39,000 Players Club members for public properties, an increase of approximately 4,000 members over the end of the first quarter of the prior year.
On the private side of the business, there were approximately 8,700 full golf members at the end of the first quarter representing an increase of 464 members from the end of the first quarter of the prior year. For the trailing twelve months, average annual dues per full golf private member increased by $302 since first quarter 2017, on a same-store basis, to $6,377.
FIRST QUARTER 2018 FINANCIAL RESULTS
GAAP Loss of $18 million, or $0.26 per share, compared to loss of $14 million, or $0.21 per share, in 1Q 2017.
Core Earnings of $(5) million, or $(0.08) per share, compared to $(0.4) million, or $(0.01) per share, in 1Q 2017.
Year-over-year decrease is primarily due to lower interest income because of the repayment of the resorts-related loan and sale of agency securities.
SECOND QUARTER 2018 PREFERRED STOCK DIVIDENDS
Drive Shack Inc.’s Board of Directors declared dividends on the Company's preferred stock for the period beginning May 1, 2018 and ending July 31, 2018. The dividends are payable on July 31, 2018 to holders of record of preferred stock on July 2, 2018. Marietta to sell land to Drive Shack for $9.5 million (2/15/18)

Drive Shack will open about a $25 million facility next year, employing 450 people.
The Marietta City Council voted 7-0 Feb. 14 to sell 17 acres at 849 Franklin Gateway to the golf entertainment company for $9.5 million. With this transaction, Marietta City Manager Bill Bruton said more than 2,400 jobs have come to the city’s Franklin Gateway area at I-75.
This location will be Drive Shack’s first in Georgia.
The year-round sports complex will include golf, games, a restaurant and rooftop dining in a three-story building.
