DPHIQ Quite a bit on the go at the moment. I am interested to see what GM's bankruptcy means. I wish I could work it out, but I am just going to have to see what comes my way as I can't fathom out the outcome.
My hunch is that DPHIQ is going to be drawn along on GM's coattails as the latter carries out its' restructuring under CH 11 protection.

GM Awaits Fate As Bondholder Votes Are Tallied

DETROIT (Dow Jones)-General Motors Corp. (GM) on Saturday readied for a bankruptcy filing amid signs that a majority of its largest creditors had backed a revised debt-equity exchange, a move that would potentially smooth its progress through court.
The company, the U.S. Treasury and an ad hoc committee representing large institutional creditors all declined comment after the expiration of a 5 p.m. EDT deadline for acceptance of the exchange. However, one member of the ad hoc committee said Saturday that the sweetened deal was expected to be approved by a majority of noteholders, though any number of GM's large retail creditor base remained opposed.
Creditor backing would remove a key impediment to GM's plans for a fast-track bankruptcy as details emerge ahead of an official announcement on Monday and a filing in New York's Southern District federal court.
GM's board was meeting ahead of an expected announcement on Monday that the auto maker will seek Chapter 11 protection, and GM Chief Executive Fritz Henderson scheduled a news conference Monday in New York.
A fresh union pact won employee backing Friday, while marathon efforts to stabilize its European unit through a partial sale to a consortium led by Canada's Magna International Inc. (MGA) were finalized early Saturday.
The auto maker, living on U.S. government loans, faces a Monday deadline imposed by the Obama administration to present a viable restructuring plan and access fresh federal aid. Bondholder dissent threatened efforts for a quick bankruptcy process that would allow GM to emerge with a sustainable balance sheet, removing much of the debt burden that has fueled losses alongside the slide in global auto sales.
Initially, the company said getting bondholders to agree to a debt swap was its best chance for avoiding Chapter 11. But the plan is designed to expedite a bankruptcy filling more than to avoid it. As part of the agreement, bondholders pledged not to oppose GM's reorganization in court. Bondholders had until Saturday evening to voice support for a new offer that would give them more than a 20% stake in GM - a 10% share of the restructured company and warrants for another 15%. It was up to the U.S. Treasury, which brokered the deal, to determine whether enough bondholders agreed for the offer to stand.
The government sweetened the offer last week after bondholders overwhelmingly rejected an earlier proposal that would have left them with 10% equity in the new GM. Analysts' estimates have bondholders coming out of the new deal with around 10 cents on the dollar, compared to as little as nothing under the old offer.
The ad hoc committee representing major bondholders agreed to support and encourage other big investors to back the deal. Under the plan, the Treasury would provide GM with $30 billion in loans to keep running through a bankruptcy, in addition to $20 billion already given to the company. GM won't have to repay the loans, instead, the government will turn them into a controlling stake in the company. The UAW would end up with at least a 17.5% stake in the new company after agreeing to concessions that will save GM about $10 billion in obligations to retiree health care as well as billions more in labor costs.
In exchange, GM agreed to use a soon-to-be-determined idled plant to build a small car in the U.S. GM and the Obama administration, encouraged by Chrysler LLC's progress in bankruptcy court over the last month, hope the company could emerge in as little as 30 days. GM, however, could still face challenges from the hundreds of dealers it is trying to shut down. The company also is still negotiating with Delphi Corp. (DPHIQ), its bankrupt former parts arm.

Delphi continues to engage in discussions with its DIP Lenders, GM, and the U.S. Treasury Auto Task Force in an effort to resolve the remaining elements of its chapter 11 cases.
The U.S. Bankruptcy Court for the Southern District of New York today ordered that the hearings on Delphi's Plan Modification Motion, the GM Arrangement Motion, and the Steering Option Exercise Motion and any supplements thereto, are adjourned until Tuesday, June 2, 2009 at 12:00 noon. The hearing was previously scheduled for Friday, May 29.
Delphi may file supplemental documents with respect to any or all of the Plan Modification Motion, the GM Arrangement Motion, and the Steering Option Exercise Motion and any pleadings relating to amendments or any other agreement pertaining to Delphi's accommodation agreement or debtor-in-possession (DIP) credit agreement with its DIP lenders no later than Saturday, May 30, 2009.

(RTTNews) - Friday, U.S. auto parts supplier Delphi Corp. (DPHIQ.PK: News ) announced it was negotiating with struggling automaker General Motors Corp. (GM: News ) and the United States Treasury to seek a resolution to its chapter 11 case prior to the expiration of the grace period on June 1, 2009.
Delphi, which was spun off from GM in 1999, filed for bankruptcy in 2005. In a SEC filing dated May 29, Delphi said it is seeking an extension of the June 1 deadline and waiver from its lenders.

Troy-based supplier Delphi Corp. continues talks with its lenders General Motors Corp. and the U.S. Treasury on a deal that would bring the supplier out of bankruptcy.

But the supplier issued a warning Friday evening that if a deal can't be reached by Monday, or if the company can't get an extension, that it could default on its loans.
The disclosure, made in a filing with the Securities and Exchange Commission, comes days before a hearing slated Tuesday in which the supplier must present the deal to a bankruptcy court.
It is expected that Delphi could file those changes over the weekend.
Those changes will likely include plans to move five of Delphi's plants back to its former parent, GM.
In a deal reached between GM and the UAW, ratified Friday, GM plans to take back five plants, including factories in Saginaw and Grand Rapids.
In a previous plan for Delphi's bankruptcy exit, four of those plants were expected to be part of the supplier's operation after it emerged from bankruptcy.
Meanwhile GM, Delphi's largest customer, is to file for bankruptcy protection Monday.
Delphi filed for Chapter 11 in October 2005 and has had trouble securing the financing it needs to exit bankruptcy.

Delphi may sell assets to emerge from Chap 11-NYT
May 29 (Reuters) - Auto parts supplier Delphi Corp (DPHIQ.PK) may soon emerge from bankruptcy with the Obama administration's autos industry taskforce pushing for a sale of its assets, possibly to another parts supplier or an investment firm, the New York Times said, citing people briefed on the matter.
Delphi, which has operated in bankruptcy since 2005, can also see some of its assets getting re-acquired by General Motors (GM.N), the people told the paper. Delphi was originally spun off from GM.
The paper said the people also cautioned that talks were continuing and a deal might not be reached. But one of them said that an agreement might be struck over the weekend.
On Thursday a bankruptcy court judge also permitted Delphi to delay a crucial hearing on its restructuring plan until Tuesday next week, a day after GM is expected to file for bankruptcy, the paper said.
The hearing was originally scheduled for Friday.
