PDC not a gig fan of mod'ing...
MWM can we get some Mods on this thread?
Perhaps you Mod and Grizz and I assist?
Does PDC want to mod it?
Think it will look better. :)
Good stuff.
As far as buying, I think it will be interesting.
With the current spread, I'll probably try to snag some if anything comes my way around .01 or so. (hope it does but don't think it will).
Big spreads throwing me in the air: don't know where I can get 'em
Let's get ready to rumble...
I doubt the insiders were selling.
We wouldn't have seen such a hike.
Moreover, the volume would've been much greater.
See the insider holdings.
AT is at it too. They put a no buy in for sssu today. It seems anytime a stock has a run or sell off they use these tactics.
I haven't resolved the issue personally if they do this to protect the shareholder or themselves?
If a person has to go thru the broker and lose control over the bid or ask it could mean trouble both ways.
Its either a tactic they use to slow the trading down or make the buyer or seller think twice about the transaction. Things can change fast in 10seconds.
It could very well mean that there is something really wrong with the activity?
Yeah...I dont know..Im still thinking about that. I am wondering if we see unusually high volume in the am...perhaps 3 P will be buying up whatever shares are still out there trading on the pinksheets. I dont know...obviously still speculating. I only have 35k shares so Im going in for 15k more first thing in the morning. Id like to have an even 50. Im also supposed to be getting a call from 3 P tomorrow...
...Im not sure if I mentioned it, but Scottrade has tons of otc/pink securities that they put buy restrictions on all the time...and I had them specifically call down to their trading desk to find out anything, and word came back up...no problem, no restrictions.
Thats all I got tonight.
GL
griz, just reading about this stuff on the surface sounds terrific. I'm curious about the problems encountered financially. You would think they would be on top of their game. Not knowing the companies history, did they create all this or buy into it?
Think its worth a buy-in considering todays run or would you wait to see how tomorrow pans out?
Wish I could contribute but I'm just now learning of the company. The make up of it sounds interesting. Doesn't always lead to profit or shareholder value but interesting.
I discovered on this year that I thought would be superhot, great Ceo and great product. No pumping by the company but kept shareholders informed and fell by the wayside.
Enough DD for tonight...GL.
Also...they werent delisted from the TSX Venture because they were deeply in the red...they were delisted because they didnt pay their annual sustaining fees...
...this also jives with what I was told by Lindsay...that the Chongs were no longer interested in being a public company.
Here is a few reasons why they like the acquisition...and it seems to make sense to me...
Data Fortress provides a suite of services such as high-speed networking, data warehousing, data security, metropolitan area networks, Internet connectivity, remote data storage, streaming servers, co-location and managed services to a range of clients. Data Fortress owns a redundant 3.2-kilometer fiber optic ring in the financial district of downtown Vancouver which passes 280 high-density buildings with over 14,000 businesses in its footprint. With the acquisition, 3P Networks will have its own downtown fiber optic data loop which will provide a significant competitive advantage and creates immediate ancillary business opportunities for the Company and position 3P Networks to become a market leader in providing Voice, Data, Video and other Network Services.
The Data Fortress Group provides a suite of services such as;
1. Co-location
2. Managed Services
3. Video Streaming (through its wholly owned subsidiary IPFlix Inc.)
4. Web and Database Services
5. Data and Network Security
6. Internet connectivity (Bandwidth)
7. Video Streaming and IPTV Services
8. Metropolitan Area Networks (MAN)
Dr. John Tydeman, Chairman of 3P Network said, "we are extremely pleased with the acquisition of a controlling interest in the Data Fortress Group and we look forward to working with Michael Chong and his team to accelerate the growth of the companies business plan. Our immediate plan is to incorporate DFG's IPFlix IPTV technology into our triple play (Voice, Video and Data) for Multi Unit Dwellings (MDU's)."

I have just been reading your post and grizzum you hit the nail on the head.
All of you have really done some excellent DD in a relative short period of time. Aggressive investigative work. You are all hired!
If this company wasn't profitable before and went thru a delisting. Isn't profitable now and has no cash. What would change to make it profitable?
Why would they want it? It could have a negative impact on the purchasing company.
With the buyout occurring the insiders were selling I gather?
That link didnt work...

BULLETIN TYPE: Sustaining Fees-Delist
BULLETIN DATE: June 22, 2006
TSX Venture Tier 2 Companies
Effective at the close of business June 22, 2006, and in accordance with Exchange Policy 2.9, the following companies' securities will be delisted from TSX Venture Exchange, for failure to pay their Annual Sustaining Fees. Prior to delisting, these companies' securities were subject to a suspension from trading.
I wonder if they just didnt take into account shares that were very thinly traded on the pinksheets? It appears that Lindsay was correct in that trading was halted for all shares trading on the TSX Venture.
Hmm...delisted...yep they were delisted from the TSX Venture for failing to pay their annual sustaining fees...but i cant find where trading was halted for shares on the pinksheets?
and it doesnt make a whole lot of difference to me if they run deeply in the red....It appears to me that 3 P Networks is the co. that may reap the big ROI on DFSG's expensive infrustucture.
http://infoventure.tsx.com/TSXVenture/TSXVentureHttpController?GetPage=NoticesContents&PO_ID=134....
My pleasure....and I may test the theory that they won't be selling anymore shares here tomorrow...lol
Delisted in June 2006 and runs deeply in the red:

That's what I'm thinking too.
I know I won't be selling any.
lol.
Great DD Grizzums! Seems like they won't be selling anymore DFGRF tomorrow being that they are now aware of this.
This is great stuff! Really interesting. Not exactly sure what it all means yet though. Seems like the sales of the shares of DFGRF will be drying up since they seem to be alerted to the fact that it happened today and it wasn't supposed to.
Only 4k shares traded today by them...I wouldnt read too much into that. I can tell you that after speaking with Lindsay they (management) is very pleased with this purchase.

Grizzums sent me this:
------------
Okay...doing more thinking about this.
Trying to gage Lindsays perception of me....and why he would be willing to offer to buy my shares if Scottrade wouldnt take the trade back??? I may have come across a tad on the "uneasy" side as to what was going on? Hmm..Ill get back to that.
Lindsay said that they 3 P Networks bought out Data Fortress because A. they had assets (fiber optic cable running throught the heart of downtown Vancouver + other things) and B. the Chongs (CEO; Michael Chong) just didnt want to be a "public" co. any longer. They (DFSG) are not merging with 3P but rather will be a wholly own subsiderary (I believe that is what he said) of 3 P. The employess and everyone will continue to stay on board with DFSG. And they will continue to be in business. The pr stated that 3 P made this acquisiiotn with both cash and shares of 3 P.
http://www.marketwire.com/mw/release...ease_id=173460
Here is their (DFSG) latest SEC filing Form 6k
http://www.pinksheets.com/quote/prin...C&symbol=DFGRF
Its as of Nov 04 ....looks like 58 mil and change o/s with the two top chongs owning close to 40% of that.
Now, Lindsay seemed surprised when I mentioned that I bought shares today. He proceeded to ask me..."how many?" and told me that that was illegal and the mm's shouldnt have been able trade shares. I wonder how much cash and shares of 3 P the chongs and other shareholdres will recieve if the trading of those shares was supposed to have been stopped??? What are these shares were buying "really worth"? Again going back to what the chongs and others must have been compensated... I mean for 3 P to gain controlling interest in the co. they had to have paid out a price (whether in shares or cash to ALL DFSG shareholders if they themselves were under the impression that trading of all those shares was now going to be halted...??? Correct? Are you following me....? Remember, Lindsay was kind of dumbfounded when I told him that I was able to buy shares today.
And then like I said, he said he'd "probably" just buy my shares from me if Scottrade wouldnt recind the trade. What he didnt know was that I didnt want Scottrade to rescind the trade...I just wanted to make sure the shares I bought are still "in play" and real stock certs and not American Depository Receipts (ADR's)....and Lindsay said they were in fact stock certs and not ADR's.
I told him that I may go ahead and pull my certs then...."if I have to"....and he said "yeah, I guess you should, then those Market Makers would have to come up with the certs...but he wanted to check with their transfer agent and he also thought he should contact their attorneys to find out whats going on.
I must say....this is all kind of making me think that perhaps I should buy a few more tomorrow...lol
Also, before Lindsay knew that I was able to buy shares today he was mentioning how big this deal was for 3 P.....he was mentioning the credentials of 3 P management, that they will be filing all the neccessary paperwork to get llisted on the OTCBB ASAP and that they will be fully reporting in the meantime...also that they will be cash flow positive very quickly with this acquisition by being able to use this fiber optic line already in plave for 3 P's voice data network svcs etc...they are not cash flow positive at this point. But he did say that they do plan on trying to get listed on the NYSE and he began to talkmabout the fact that some of the management here has done this in their past business history...
then we got sidetracked on my buying of my shares....I have not been able to look deeply into the managements background. Just more food for thought.
Anyway - I am expecting a phone call from Lindsay tomorrow. Feel free to add your thoughts in here...Im kinda just thinking aloud as I type.
Will talk again tomorrow.
Guess their shareholders didn't like the news....it fell almost 20%.
Sounds like they don't want us able to acquire shares while they're trying to acquire the whole darn company.
I think it would have been MMs moreso than brokers.
Makes me wonder if the IR is trying to scare ppl though or hasn't done all their homework in halting the stock.
Maybe brokers wouldn't let you trade it...but it has been traded before for sure.

Quote history only shows for today. What's the story here? Seems like there was a problem w/ brokers selling some shares that were'nt supposed to be?
This is not the first day of trading but there is something going on here, TPNW just purchased controlling interest in the company, Doing more digging as we speak...
I don't know about it being the 1st day.
So this is the first day this stock has traded as DFGRF and the shares sold were not supposed to have been?
Notice we only did 300K volume on this today, Pat had a little over 100K, I had 50K, you had 40K? and I wonder what Grizz bought... We were respomsible for most of the volume...
Rumor...

Mike -
At least I think its Mike...right?
Anyway - I just sent a pm just like this one to Dr. Sean.
I have spoken with Lindsey (IR) for 3P Networks. It sounds like it is possible that MM's were not supposed to be trading shares for this security on the pink exchange.
Lindsey is being extremely cooperative and is contacting both their T/A and their attorneys to get to the bottom of this. According to Lindsey, shares were supposed to be halted on this security. He will be contacting me within 24 hours to let me know what he finds out. He told me to prepare to request my cert if the Mm's were trading these shares illegally. He also assured me that he, himself, if need be, would buy my shares back from me depending on the problem. He did say that the shares on the American side were not ADR's but were actual stock certs so I shouldnt have to worry about that.
I will let you know exactly what I find out when I get a call back from him. Probably tomorrow.
I also spoke with Scottrade and they told me they called their trading desk and they have no restrictions put on this security.
I must say, I have spoken with several IR folks and other management individuals in companies on the pinksheets and many have been sketchy. That is NOT the feeling I got at all however from talking with Lindsey from 3 P or the feeling i got from a gal at Data Fortress Systems. That in itself makes me feel more comfortable. You could also always try and liquidate your shares on the market tomorrow and see if they sell...if you are worried??? Thats up to you... I just wanted to give you all the info I recieved. Im also going to send a copy of this pm to Mike (MWM).
Good Luck and ill get back to you tomorrow.
Steve
