The Case Against DMTA, Part 1-The Setup
The non-recourse note receivable for the issuance of 72 million shares was unusual. The amount was large compared to the previous 174 million outstanding. More intriguing was the lack of a maturity date or a payment schedule as well as any interest accrual. The shares were issued at the bargain rate of a penny on a day when the stock closed at four cents. The business purpose of the share issue was not disclosed nor was the identity of the note issuer. The Company partially disclosed the share issue in the third quarter financial statements that were released on November 14, 2007 with the following footnote explanation, “On September 6, 2007, the Company issued 72,000,000 in exchange for notes receivable in the aggregate amount of $720,000. The note is non interest bearing.”
A press release campaign announcing the intent of an undisclosed Russian buyer to purchase the company for $120 million began on September 21, 2007 and was well underway before the investors had the opportunity to review the footnote disclosure on November 14th. On the day of the share note disclosure, the stock closed at 9.5 cents.

H24, I haven't heard of any efforts that were successful in getting a lawsuit going. Even if you've already done so, I would encourage you to file a report with the SEC and/or the DOJ. The climate seems to have changed regarding scammer activity and the various agencies may be more responsive than in the past.
There was obvious criminal activity here which I will outline in a later post. The shareholders lost over 97% of the $13.7 million that they have put into this company starting in the third quarter of 2007.

Yes, there are public links showing where Dan Ryan's company was instrumental in promoting DMTA. Also, there are widely circulated rumors on iHub, as any of the present & former mods on the PHMB board can attest, that the pair were working together on that deal.
Additionally, there are rumors (perhaps it's more than rumor) linking Dino to mobster Tony Papa.

I believe that DMTA is where Dino Jr. got his start as a manipulator/scammer. Who knows, it could be that the latest DMTA R/S & A/S increase was an effort to return near 100% ownership to the family without the intention of future dilution.
I doubt it, they had effective control without going to the trouble but we'll see.
with Dino's condo rentals and other stocks he's involved in why would he scam investors in his dads company?
There appears to be an actual operating company albeit one that is losing money. It doesn't matter if the company ever makes a profit. With Dino around, the public investors will never see a nickel of it.
I guess one has to be careful the next PR (if there is one) if the company is informing shareholders of great progress or just scamming shareholders just to dump shares.
Nothing prevents them from increasing the AS. The most relevant factor from an investor perspective is that Dino Paolucci Jr is a scammer.

In my opinion, the 15 million restricted shares awarded for compensation was a method for squeezing down the pro rata ownership of the public shareholders to less than 1%.

DMTA may be a reporting company but there are numerous inconsistencies in the financial statements and in the ownership of shares reported by control persons. Also, historic press releases have been quite fantastic and may be properly characterized as misleading. It should be noted that suspected scammer, Dino Paolucci Jr, is associated with this company. The company has recently undergone a reverse split followed by an increase in the authorized shares which diluted public ownership of the company from around 50% to well under 1% of the outstanding shares.

Yes being linked to an well known international group of fraudsters is important. I am glad you reposted it as my post of it was deemed offtopic.
Winnick and Pearl who are part of DOM are infamous scammers in the penny stock world and it is very pertinent to know when these sort of folks are around.

YES . they say anyone from the 70"s era can buy stock cheap and then the stock will roar to 6 or 7 bux in a jiffy , then Lesko ( buyer lesko)
will put out a proxy and you can vote on it ( whether you want it in nickels or dimes) bent by some hydraulic machine that has been moved to Russia
