Crystallex International Corporation -
(TSX:KRY)(OTCQB:CRYXF) ("Crystallex" or the "Company") is pleased to announce that a wholly-owned subsidiary (the "Issuer") proposes to complete a best efforts private placement offering (the "Offering") of up to 120,000 units (the "Units") at a price of US$1,000 per Unit for aggregate proceeds of up to US$120 million. Each Unit will consist of one face value US$1,000 principal amount senior secured note (the "Notes") bearing simple interest at a rate per annum to be determined payable on maturity or redemption and one contingent value right (the "CVRs"). The initial maturity date of the Notes will be five years following the date of issue, subject to extension in certain circumstances. The obligations under the Notes and CVRs will be secured by the Issuer and guaranteed by the Company. Macquarie Capital (USA) Inc., GMP Securities L.P. and Byron Capital Markets Ltd. are acting as co-lead agents for the Offering.
The CVRs will be a contractual right to receive one or more payments, each of which is contingent upon receipt of funds (a "CVR Payment Event") by Crystallex pursuant to either an award or settlement (in each case, an "Award or Settlement") in respect to the arbitration between Crystallex and the government of Venezuela relating to the Las Cristinas gold project in Venezuela (the "Arbitration"). Each CVR will represent a right to receive a pro rata interest in a cash payment (a "CVR Payment") equal to a percentage (to be determined) of the applicable Award or Settlement, after deducting certain costs and expenses including applicable taxes, costs relating to the Arbitration and an amount equal to the principal amount of the Notes plus accrued interest. If a CVR Payment Event occurs prior to the date that is five years following the date of issue of the Units, the Notes will be cash collateralized and accrued interest will then be due and payable to the holders of the Notes to the extent of the available cash. Immediately following the cash collateralization of the Notes and the payment of all accrued interest thereon, the interest rate per annum on the Notes will be reduced to equal the yield earned on the cash collateral. On payment in full of all required CVR Payments, the Notes will be redeemed at a redemption price equal to the principal amount of the Notes plus accrued and unpaid interest.
The net aggregate proceeds of the Offering will principally be used (i) to repay in full the US$100 million principal amount outstanding with respect to Crystallex's 9.375% senior unsecured notes due December 23, 2011 and any accrued and unpaid interest thereon; and (ii) for certain general and corporate purposes of the Company and the Issuer.
The completion of the Offering is subject to, among other things, the receipt of all regulatory approvals and consents as are necessary or appropriate in the circumstances prior to the closing of the Offering and the entering into of a formal agency agreement among Crystallex, the Issuer and the agents. Closing of the Offering is expected to occur on or about October 28, 2011, or such later date as agreed among the parties.

-the technical breakout. the volume is HUGE for the last few days relative to the last YEAR this stock has traded.
-recently hit 52 week low, and appears to have bounced nicely off of it.
-RSI is far from overbought
-MACD starting a bullish crossover uptrend
-market cap only 72 million
-silver prices are at multi-year highs
-lawsuit against VZ seems like a win either way
what i DONT like:
-the fact that it's a lawsuit against the venezuelan government. who really thinks they'll cooperate, or pay over 3 billion dollars? they were bold enough to just CANCEL kry's contract. i feel like their sentiment will be, "MAKE me pay. come over here and MAKE me." i mean really, what will be the consequence ultimately if they don't pay?
-their financials. from what i've read, the company is flat broke, and actually in a bit of debt.
-that's about it.
Yes, and under the Las Cristinas Project they own the rights to the MOC (Mine Operating Contract). They had it taken away and are going to arbitration. They are seeking 3.8 billion in damages. Venezuela has a history of going to arbitration and have lost I believe all of them. Time frame for arbitration typically last 2-4 years, but most have been settled before this time frame. Kry has a strong case.

KRY - pre-market buy at .16. A whopping 100 shares. In at .139 and hoping for some kind of bounce. Without any positive updates a very risky gamble though.

TORONTO, ONTARIO--(Marketwire - Feb. 6, 2011) - Crystallex International Corporation (TSX: KRY)(NYSE Amex:KRY) announced today that it has received a letter from the Corporacion Venezolana de Guayana ("CVG") that states that the Company's Mine Operating Contract ("MOC") for the Las Cristinas Project in Bolivar State, Venezuela, has been "unilaterally terminated" by the CVG. The letter also enclosed a copy of a resolution passed by the CVG on February 3, 2011 which states that the MOC is unilaterally terminated. The resolution cites, as the basis for the termination of the MOC, Crystallex's lack of activity to progress the Las Cristinas Project for more than one year and "... for reasons of opportunity and convenience".
Crystallex has fully complied with all its obligations under the MOC and has advanced Las Cristinas to a "shovel ready" state while awaiting the issuance of the Authorization to Affect Natural Resources (the "Permit") from the Ministry of Environment and Natural Resources ("MinAmb"). In June, 2007, the CVG confirmed that the approval of the Crystallex Las Cristinas Environmental Impact Study ("EIS"), the posting of the construction guarantee bond and the payment of the environmental disturbance taxes represented the final and conclusive step in the procedure for the issuance of the Permit required to construct the Las Cristinas Project. Notwithstanding Crystallex's fulfillment of the conditions to receive the Permit, MinAmb denied the request for the Permit in April 2008. Despite the Company's compliance with the MOC requirements and the CVG's confirmation in August 2010 that the MOC was in full force and effect, to date the Permit to allow project construction to commence has not been issued.
Crystallex is reviewing its position in light of this correspondence and is considering all steps necessary to protect its investment on behalf of all its stakeholders including the filing of the International Arbitration claim outlined in a Notification of Dispute served by the Company on the Venezuelan Government in November 2008.

KRY broke through support at $0.425 and there is now an increased risk that the price will continue to fall. People will continue to watch this stock, despite the recent negative price action. The sell-off was accompanied with low volume so if this improves, these losses could be retraced relatively easily and quickly. People would need to see a break of $0.45 on strong volume before people recommend a trade.
KRY is a stock people have watched for a while, waiting for the price to break above its current trading channel. In the last six sessions, the price has been unable to break above resistance at $0.50. However the longer the price tests this boundary, the more likely it is to break above it. Volume remains relatively low, which is probably why people have not seen a lot of price movement lately. A break of $0.50, which is also KRY’s 50-day moving average, would create a very strong bullish signal.

It is my feeling that gold is headed on this move to $1650 with its normal drama.
Let’s think about what this means to gold producers.
With gold valued at $1650 per ounce:
- 500,000 ounces = $825,000,000 less the cost of mining.
- 1,000,000 ounces = 1,650,000,000 less the cost of mining.
- 2,000,000 ounces = 3,300,000,000 less the cost of mining.
Costs:
- Underground average costs are approximately $500-$600 (assuming no derivatives or derivatives covered as international and Canadian GAAP requires derivative losses be expensed to the specific property).
- Open cut average costs are approximately $300 (again, assuming no derivatives or derivatives covered).
- On surface average costs are approximately $22-$75 (again, assuming no derivatives or derivatives covered).
KRY stock made some major gains in the last few weeks but fell under some significant selling pressure. The stock hit a high of $0.77, which created some very strong profit-taking. However the stock is holding support around $0.45 so if gold prices move significantly higher, people could see it develop another strong uptrend.
Yes agree and Venezuela has serious projects with China!
Raising that amount of money, in this market, is huge validation IMO!
It is going to take a lot of polish to get the tarnish off of this pig but the metal will shine through in the end "NOW" IMO.
KRY is not going to be a short term trade.
