In addition, CornerWorld may divest its other wholly-owned subsidiaries, Enversa Companies, LLC and CornerWorld, Inc., on or prior to the Closing Date.
no I was out already at that time
Did you get a divy back in Dec/Jan? Looks like they spun something out right? And looks like they might spin something out again... Nothing better than getting free stock and maybe a 1 day trading stock.
For every 1 share of CWRL shareholders will receive 1 unrestricted, freely tradeable share of Woodland Holdings Corporation, a wholly-owned subsidiary of CWRL; adjust by $0.07
I havent had a good spin off in a long time. Had some good ones before.

No way they have just a few. Cant run something this big and not have something big.
Its a international company as of Dec 2015. This may be why they are going public. Going to gets some big funds to expand and expand probably into South America and all the Spanish Speaking countries and islands. Already in Mexico now...
On December 7, 2015, the network debuted its new four-studio production facility in Mexico City with the Spanish version of SportsCenter. Jorge Eduardo Sánchez and Carolina Padrón anchored the first SportsCenter from the new studios which also featured well-known Mexican journalist José Ramón Fernández interviewing Mexican football managers Tomás Boy and Miguel Herrera. On January 4, 2016, the network moved all their shows produced in Mexico to the new facilities, including Fútbol Picante, Los Capitanes and Cronómetro.

Most of the 10 people in Linkedin are higher managers & executives. Sometimes you can have approx 30 people under 1 manager or supervisor.
Ill dig more as well and am interested to see what Copa ESPN brings in as well. Looks like a pretty large event in all if their cities.
I do as well the terms seem easy for Desportes Media to complete. This is a very shareholder friendly merger from what im seeing.
I will try to dig some more on it too just to see where the figures are coming from. You hear ESPN Deportes all the time on Radio and on TV. The stations have to house more than the smaller figures that we see now.imo
Interesting. That could be it. But they are already calculating in per the one site. But its all falling into place and I bet we keep adding additional info as we go on.
I think they do the deal ahead of schedule.
Hmmm...interesting in the 8k
Schedule 4.1(b): Corporations and Entities Controlled by Deportes
Heres some rough estimate numbers.

ESPN’s value is derived from the massive cash flow the company generates, which is expected to reach $4.5 billion this year, up 39% from five years ago. For comparisons sake, CBS CBS +0.09% Corp., the highest rated broadcast network, had operating income of $1.6 billion last year.
ESPN’s advantage over its network and cable brethren lies in the affiliate fee and ad revenue model that generates huge sums of cash. ESPN’s average monthly affiliate fee was $5.54 in 2013, according to SNL Kagan. The next highest national cable channel was TNT at $1.33, followed by Disney Channel at $1.15 and $1.13 for the NFL Network. ESPN2 is not far behind at $0.70 with ESPNews, ESPN Classic, ESPNU and ESPN Deportes each around $0.20 a month says SNL Kagan.

Yeah seems pretty friendly to me bro. This is top notch find, cant say enough..
yes I do mean we get 1/3 of the co after merge
Did you mean we get 1/3 if the deal does go through?
I think the Cali LLC has at least $1-2.5 mil rev and only 5-9 of the 150-200 employees and those numbers could be different.
So if we say thats prob 2 mil in rev for 7 employees average give or take.
So revenue could be as much as 25x that for the whole company.
So 25x 2 = guesstimate a $50 mil company
13.7 mil OS with a market cap of 50 million = Around $4.00 a share on a low market cap estimate. If they trade 2x or 3x $8-$12.00
Ok this is just a early stage 5 min read up. We will see shortly prob through DD what is in all of this.
this is a CWRL shareholder friendly RM. old holders get 1/3 and if the merger deal doesn't go through, CWRL holder will get 10% of Deportes from 8K
However, CornerWorld will only receive the 10% break-up fee if CornerWorld terminates the Merger Agreement as a result of Deportes’ failure to execute any one of the Conditions to Close after May 31, 2016.
So the OS is going to be 13.7 mil post RM? I dont think its a stretch by any means to say this is more than a 15 mil dollar co... So there is a buck there.
If we get some info to shed any light on their assets or revenue this will rocket. Like what if they are 40 mil or 50 or higher???
I'm in for some. This is a huge deal. ESPN Deportes(Deportes Media, LLC) going public via RM... Dont see this sort of thing every day. I wonder what their revenue is?
Nice, lucky who ever got 20 at .10
