CPSS trading right at valuation at this point, so this is probably bottom for now. The fact that they have not responded publicly to the buyout offer is interesting. Watching again for signs of acceptance of offer. But even so thinking about jumping in again as this is bottom anyway IMO.
For the record, I bailed soon after their response as well. Took a very small starter to see, then got out...made $63 profit woohoo. Maybe the longs will get a nice surprise today and the deal will go through. I suppose an announcement after hours is forthcoming either way. Take care out there.
After doing digging and seeing how much options the CEO and executives have, I have given up and bailed.
I feel it's scummy to have that much options relative to the outstanding shares.
Company's CEO says the offer is unsolicited, and he has never spoken to the guy. The Board will consider and respond by 10/30
Also, it is obvious someone is accumulating, Fake ASKS all day long since last Thursday. If the Auto company is buying in open market, at $135 million buyout the avg. PPS buyout price then goes up > $6.18 IMO.
I was thinking opposite, that they will respond prior to the shareholder meeting. It makes more sense to me to do it that way. But who knows. Clearly I was wrong about the short data as it seems like there is no rush to cover. But, only 2 weeks until this plays out one way or another. Bottom line is that they have an offer 30%+ higher than the current price and are seen as very undervalued at this price. I still contend the final price will be in the $7.50 or above range.
So management should care.
Of course, I might be wrong.
How often do executives have options to acquire 40% of the outstanding shares?
Looked up ownership and seems management has shares about 15 million shares after exercising options.
Of course 8.8 million in options seems a bit much.
If there is 22.7 million shares before that means each is worth $5.95 with the $135 million bid.
If we add the 8.8 million in options to the 22.7 million outstanding, there is 31.5 million outstanding.
That means the $135 million bid is only worth $4.28 a share.
This is troubling.
Seems a bit ridiculous that they have options to buy so much more.
I guess the shares are trading above the price if we fully dilute the shares out?
Seems company will wait and respond after shareholder meeting on October 22.
Could be management owns no shares and are more worried about giving themselves a package.

Honestly, if they originally announced $5ish offer, it would be more reasonable based on where it was trading (a premium of 50%). I could then see the final offer being increased to $6ish
At least, I think that's a better strategy if they actually wanted to buy the assets.
Once this gets above $5 it will jump to $6 quickly, seems like someone desperately trying to keep it below $5 while they accumulate. 30% of the float traded today.
If so, still great news as then they will be buying in open market up to the $6.18 price. But, From nature of PR My guess is that they have been talking and verbally all is a go. But, I would bet CPSS does get a better price (+15% more IMO).
My guess is, they have been talking for sometime. CPSS could not get their price, so they went hostile.

Once this gets above $4.75 it will sink in that this is legit., the chase will begin up to about $6 IMO. Then, in a day or two we may hear of a re-negotiated price by CPSS closer to $7.

Pretty steep discount, but could be they are trying to clear out some holders.

I saw news. checked it out. It is legit as far as I can tell. took a position today. Usually these take some time to marinate in people's minds. As soon as it starts to run though, people will chase up to $6. Just a matter of time IMO. And, they will likely try to negotiate a higher price. The 1st offer is rarely the final offer.

The news release sounds like a legit acquisition, but trading like it's not.
Perhaps market makers are just fishing for shares.
Based on the $6.50 cash price, I would expect $5.50 and higher.
Trading at nearly a 30% discount seems like the market doesn't believe or market makers fishing.
Basicaly, they are adding around $1.50 to BV annualy.
In percentage to current PPS (that means if stock moves up only based on its y/y growth not reflecting its undervalued pps) that means we can expect 32% increase of PPS in 2017.
As the stock is undervalued and will be sooner or later noticed, I believe in 50% growth till the end of 2017. That equals to PPS of $7.395...
And that will mean: The PPS will be still under its book value. P/E will be under 8 !!!
So even with 50% growth Consumer Portfolio Services, Inc will stay quite attractive company to be acquired, in comparison of how expensive public companies currently are on the market...
Earnings Q42016 data:
They have increased on y/y basis shareholders equity by 16% from 161,159,000 to 186,218,000. The same time they have decreased on y/y basis the number of diluted O/S from 30,948,000 to 28,386,000.
That means BV per share should be 5.21 at Dec 31, 2015 and 6.56 at Dec 31, 2016.
Earnings after tax per share 0.263
Current PPS : 4.93
Current annual P/E: 4.93/1.01= 4.88
Conclusion: very undervalued
I have no idea how to calculate this value from last conference call "good news is our book value as of today is now $7.54 a share that is versus $6 a year ago, give or take."

got it, they calculate it from number of basic O/S, not diluted. In this metrics the BV is calculated at the end of Q4/2016 as $7.85
Highlights form latest conference call:
1)Revenues for our third quarter were a 15% increase over the third quarter last year. For the year-to-date 17% increase over the first nine months of 2015. Revenues are driven by our portfolio growth and our consolidated portfolio did increase 19% compared to a year ago.
2)Earnings per share of $0.26 for the quarter EPS - for the full year so far nine months $0.75
3) The competition - it is tough environment where you have a lot of small companies that sort of entered the market to take advantage of it a few years back. They are all struggling and even more importantly some of the very large companies in our industry are struggling. And so between that we sort of sit in the middle, Some guys have gone public and everybody wants to know what is going to happen there. So they sort of bypass us because we are already public, everything is going fine, and we actually make more money than lots of other folks.
4)This is probably the first time in 25 year history of the company where we are actually in a real good firm spot to sort of wait and see how the rest of it shapes up. So what is interesting and new it is sort of not a bad place to be.
5) We continue on our stock repurchase. We bought 421,000 shares this quarter and it is down a little from the 850,000 we bought the previous quarter. But we have now bought over 3 million shares, we will continue to buy it as often as we can.
6) good news is our book value as of today is now $7.54 a share that is versus $6 a year ago, give or take.
7)I think recession will show up, I don’t know if it is tomorrow but again we are very well prepared for it.
Note: current PPS only 5.16 (Eps cca 1.00, Book value 7.46)

New Investor here: Evening all, I found this company running a Yahoo! Stock screener and I am impressed with the great fundamentals and growth over the last few years. I have not taken a positon yet but am very keen. I just wanted to know if there are any concerns or upcoming catalysts that I should be aware of before making an entry? Also, as I have not completed my DD fully yet, what is the consensus regarding sustainablility of future growth and pps?
