what is the date the company is expected to liquidate the stock, does anyone know?
CDSS is Liquidating, winding up the company, and going out of business. Read the 12/21 PR.
They are liquidating all of their assets, paying all their bills, paying the balance to the shareholders, if any, and then will go defunct. Might be able to flip it sometime for a small gain, but this company is going out of busines, period. It's as clear as a bell in their PR.
"Winding up" is a legal term. You will note that their last PR references "Winding up" and "liquidation." Here's Investopedia's definitions of those terms:
Winding Up
A process that entails selling all the assets of a business entity, paying off creditors, distributing any remaining assets to the principals, and then dissolving the business.
Essentially, "winding up" is just another term for liquidation.

Liquidation
1. When a business or firm is terminated or bankrupt, its assets are sold and the proceeds pay creditors. Any leftovers are distributed to shareholders.
2. Any transaction that offsets or closes out a long or short position.
Creditors liquidate assets to try and get as much of the money owed to them as possible. They have first priority to whatever is sold off. After creditors are paid, the shareholders get whatever is left with preferred shareholders having preference over common shareholders.

Pretty hard to imagine bounces of any size with this stock. I haven't really researched it but you'd have to know what the debts are that have to be paid to know what will be left to distribute in the winding up of the company in the final distribution. I'd be VERY CAUTIOUS playing this stock.

I didnt sell because i was down so much, i thought it was pointless to save a couple hundred dollars.
I tried looking for PR's for the reason for the drastic fall.

According to how I'm reading the SEC filing the shareholders will get .57 cents a share. This is an easy 10% plus gain from here. Agreement?

Citadel provides leading solutions in security policy compliance and vulnerability remediation. The acquisition will add to McAfee's suite of products that helps enterprises neutralize security vulnerabilities and reduce risk, giving McAfee a broader capability for security policy compliance enforcement and vulnerability remediation.

look at the chart. Formed a 50/200 cross near the 25-26th of april... usually this is an indicator of a break out.

NEW YORK, Mar 10, 2005 (PRIMEZONE via COMTEX) -- Murray, Frank & Sailer LLP has filed a class action lawsuit on behalf of shareholders who purchased or otherwise acquired the securities of Citadel Security Software, Inc. ("Citadel" or the "Company") (CDSS) between February 12, 2004 through December 16, 2004, inclusive (the "Class Period").
The complaint alleges Citadel, Steven B. Solomon, and Richard Connelly violated the Securities Exchange Act of 1934. Citadel is a computer security and privacy software company. According to the complaint, the Company misrepresented and failed to disclose material adverse facts known to defendants or recklessly disregarded by them: these facts include, (1) slowing customer demand in the Company's commercial business; (2) failure of potential contracts to materialize because of poor execution by the Company's management; (3) lagging Company growth as a result of the above-mentioned facts; and (4) that defendants' statements regarding the Company lacked any reasonable basis when made. The complaint further alleges that during the Class Period, defendants sold 754,500 shares for more than $3 million.

Looks to be like a company worth buying and holding this year. Forecasting revenues of 25 million this year and some major contracts soon (they indicated they thought the contracts would be out in 4th QTR, so maybe soon?) I'm going to watch it today and tomorrow trying to make a decision on whether/when to buy. Good luck
