Ceradyne (CRDN) announced that its German-based subsidiary, ESK Ceramics, GmbH & Co., has acquired a minority interest in Chemtrix, based in the Netherlands, for an undisclosed amount. During 2012, the transaction will have an immaterial impact on Ceradyne's fully diluted earnings per share.

Wedbush is out with its report today on Ceradyne (NASDAQ: CRDN), downgrading CRDN from Outperform to Neutral.
In a note to clients, Wedbush writes, "We are downgrading shares of Ceradyne to NEUTRAL from OUTPERFORM and lowering our price target to $42 from $54 following our recent meeting with management. Our downgrade is based on (i) our increased concern over lower demand and margin pressure in recent higher growth markets, (ii) a likely permanent reduction in body armor production volume as the completion of several legacy orders draws near, and (iii) the uncertainty associated with the contribution of new growth markets, including oil and gas."

Professional investor sticks with what he knows

PORTFOLIO: Astea International Inc., WPCS International Inc., Optelecom-NKF Inc., Ceradyne Inc., Excel Maritime Carriers Ltd., Span-America Medical Systems Inc. and lots of cash. Mr. St. Martin's portfolio is very fluid and may be different from when he described it as of March 31.

INVESTMENT RESULTS
Mr. St. Martin, who resides in Vancouver, has a virtual portfolio on Marketocracy.com that has long been in the top 100 of more than 50,000 portfolios tracked on the U.S. website. Although growth has tapered off in the past year, the portfolio has an annualized return of 32.2 per cent since inception in May of 2001, compared with 2.6 per cent in the S&P 500 over the same period.
HOW HE STARTED
"I started dabbling in stocks in the 1990s, when I started to have some extra income from my job," Mr. St. Martin says. "However, I never took it seriously until after the crash of March, 2000. That event led me to a much deeper investigation of the market. I wanted to see if I could find any rhyme or reason to the seemingly wild gyrations of the market."
HOW HE INVESTS
"My search took me to William O'Neil [the founder of Investor's Business Daily] and his CAN SLIM system. From there, I developed my own style," he adds. The new approach proved to be enough of a winner to help him land a position as chief research analyst with Vancouver-based Asset Logics U.S. Long-Short Equity Fund (until February of this year).
He screens the earnings reports of public U.S. companies daily, looking for strong revenue and earnings growth, increasing margins, robust balance sheets, and modest valuations when compared to peers. For companies meeting his criteria, he looks at their press releases and filings to see if growth is sustainable.
That leaves a smaller number of prospects, all of which go on to a watch list. He'll pounce if he sees a spike in trading volume and an upside price move - especially if valuation is still reasonable.
The decision to buy or sell is also informed by the current state of the market. "I don't try to predict changes in the market trend, but I want to understand where it is right now so that I don't fight the trend," Mr. St. Martin said.
BEST MOVE
"I do not really have a list of best moves per se, since my success has come from a large number of very modest winners."
WORST MOVE
" "Being on margin through March and April of 2000!" The experience did provide the impetus for the investment performance that followed.
ADVICE
The most important thing is to stick with what you know. Mr. St. Martin believes there are ways to find an edge that can provide steady returns, but once "you find it, stick with it." Don't go running off in too many different directions.

Ceradyne gets $41.1M Army order for ceramic inserts

On Tuesday, Ceradyne Inc. received a $41.1 million order for ceramic body armor inserts from the U.S. Army's Aberdeen Proving Ground in Maryland.
The Enhanced Side Ballistic Inserts will be delivered starting in June and running through September.
"We are pleased with this recent side plate delivery order which continues to provide future shipment visibility. Based on non-binding discussions with the Army, we believe there will be further delivery orders in the second quarter," David P. Reed, Ceradyne's president of North American operations, said in a statement.

NEW YORK (AP) -- A director at Ceradyne Inc., which makes ceramic parts and products for defense applications, exercised options for 3,900 shares of common stock, according to a Securities and Exchange Commission filing Thursday.
In a Form 4 filed with the SEC, Milton L. Lohr reported he exercised options for the shares Tuesday for $3.22 apiece and then sold the same number of them the same day for $31.02 to $31.12 apiece.
Insiders file Form 4s with the SEC to report transactions in their companies' shares. Open market purchases and sales must be reported within two business days of the transaction.

Item 5.05 Amendments to the Registrant's Code of Ethics, or Waiver of a Provision of the Code of Ethics. On March 18, 2008, the Board of Directors of Ceradyne, Inc. (the "Company") approved an amendment and restatement of the Company's Code of Business Conduct and Ethics (the "Code"). The amended Code became effective on March 18, 2008. Among other things, the amended Code:
• Provides additional detail with respect to the obligations and responsibilities of the Company's employees under the Code, including, among other things, conflicts of interests, insider trading in securities, and the accuracy and integrity of books and records of the Company;
