Also Very concerning to me for all the Jefferson brands & great Ocean Voyages..
Hope the law suits don't effect the good work Trey has accomplished over the years and partnerships with KAD
Fun, 31mm shares traded. Sounds like about half your portfolio.
I'm also wondering where's Trey in all of this. Jefferson's is his brain child.
I Doubt it ,Unless the other Higher Bidder is a (OTC PINK) Non-Reporting company and off shore Foreign shelter

I would say, yes, another bidder might well pay $10mm more. Heck its just 4.5 percent.
The bigger question is whether management has been coopted already and wont consider another bid. What kind of stock compensation are they being given by Pernod
The question is would a 2nd bidder gladly pony up $10 million plus a higher bid?
I have the same question which is why I'm still holding half of my shares.
Regarding Pernod Ricard:
I read this on Facebook from a Jefferson's follower - I will say this. The people at Pernot Ricard are wonderful people. In a different life I sat in many sales meetings these people love their brands and foster great relationships. They also were not shy about having premium brands being tasted at these meetings to let us reps taste their products. This is great news that more people can enjoy Jefferson.
Thank you FUNMAN...I didn't come here for a long time. But when I was in deep doubt I came here and read the posts from you and $oldier Harde, that cools me off:).
Just curious what Pernod Ricard will do to the ROX? This company has business with China which is a huge market for alcohol consumption.
Yes, I read that. The question is would a 2nd bidder gladly pony up $10 million plus a higher bid?
As a long time consumer of many of their products I was waiting for them to turn the corner on profitability and seeing at a lot of overhead resistance to be chewed through going forward, took 20000 share bite on July 11th. @$0.61. Didn't think twice about selling today for a double, because it exceeded my loss/profit collar parameter. 50 years of investing has taught me that you have to have discipline, up and down even if you might leave some dough on the table.

just for fun and just sayin'
I was thinking/wondering about that last night.
First off, congrats to all holders. We all feel it's been a long journey. Am glad to move on and have more "Fun".
The CEO of Ricard was on Bloomberg about 4:10 am C.T.this morning talking about their remarkable growth the past yr. with a brief mention of the Castle Brand purchase. ROX will be in good hands.
I too thought C.B. would sell for more. Until the fat lady sings, you never know. Good luck to all with your investments.
Agree completely
I wonder what happens with Steve and KAD? kyartisandistillery - Meet Steve... founder of Kentucky Artisan Distillery and creator of Whiskey Row Bourbon. For all of the ROX naysayers, I couldn't stop buying in the 50's.
Everyone who reads this board knew I thought it was a bargain based on fundamentals.
That's also why I agree with you. The price is too low. But with insiders holding about 42% of the O/S, it's virtually impossible to stop the deal to search for another buyer.
Considering how long they have been pursuing a sale, I agree with SOME, there isn't another buyer, and that's why we are stuck with the $1.27 price.
I sold some. Happy to have some FUN cash for the next penny.
Have a standing order to sell more at $1.27.
Presently intending to hold 60% - 75% until the deal is done just in case someone steps forward with a competitive offer.
Of course the buyer would accept the long term debt. The interest rate is attractive, and the loss carry forwards will be extremely beneficial to a profitable company.
With some aged inventory being more than 4 years old, and all of it valued at cost, the "multiple" at wholesale should be very attractive.
I think they sold at a low future book value. So just in case a competitive offer comes forward, I will keep skin in the game.
But I also think today is the last good day to get out before the ink dries, unless another offer comes in.
I just hate that how they manipulated the pps this year to force ppl give up their shares. I'd have sell my shares if I don't have faith. I also don't think the buyout gives ROX the fair price...
I am holding. I have higher expectation for ROX.
Yeah i Agree...be bought out for a fair price....this is highway robbery.
Insider Investor presentations have been touting the value to an acquiring company for 3 years. Anyone who read them knew all along their goal was to sell the company.
My only beef is, now that they finally were going to be sustainably profitable, they pulled the plug for such a low PPS.
ROX has been very good to me, but I expected much more.
Their periodic presentations clearly appeared to be aimed at selling the company, at least to my eye.
Your shares and mine will be bought for cash. I saw no option to swap shares. The ROX symbol will disappear.
Usuallly, those are just ambulance chasers (hate to be demeaning to ambulance chasers; had a cousin who was one) looking to greenmail the company. The lawyers get almost all the cash which might be received "for their expenses." Shareholders rarely get anything.
Your welcome Jld

5) Distribution Deals:
A) Castle Brands to Supply Approximately 4,500 Walmart Stores with Goslings Stormy Ginger Beer - Feb 28, 2017
NEW YORK, Feb. 28, 2017 /PRNewswire/ Castle Brands Inc. (NYSE MKT: ROX), a developer and international marketer of premium and super-premium brands, today announced an agreement to supply Goslings Stormy Ginger Beer and Goslings Stormy Diet Ginger Beer to all U.S. Walmart stores. Consumers can expect to find Goslings Stormy Ginger Beer in Walmart stores in March 2017. In addition to its uses as a stand-alone soft drink and as a mixer, Goslings Stormy Ginger Beer and Goslings Black Seal Rum combine to make the trademarked Dark n' Stormy ® Cocktail.
John Glover, Chief Operating Officer of Castle Brands said, "Supplying Walmart with both the Regular and Diet Goslings Stormy Ginger Beer adds to the brand's impressive growth and strengthens our position in the U.S. market. We are pleased that Walmart has implemented a full store roll-out. We look forward to working with Walmart to promote the continued success of Goslings Stormy Ginger Beer."
Malcolm Gosling, President of Goslings-Castle Partners Inc., a global export venture between Castle Brands and the Goslings said, "The agreement with Walmart, the world's largest retailer, to supply approximately 4,500 stores with Goslings Stormy Ginger Beer, which we believe is the largest selling U.S. premium ginger beer, is an indication of the strength and growing value of the Goslings brand."
B) Unannounced Distribution Deal: Goslings Ginger Beer can be found in 270 ShopRite Supermarkets in New Jersey, New York, Connecticut, Delaware, Maryland, and Pennsylvania

B) The first GAAP black Quarter was Fiscal Q4 2016 ending 03/31/2016
The second GAAP black Q was Fiscal Q3 2017 ending 12/31/2016
The third GAAP black Q was Fiscal Q4 2017 ending 3/31/2017 (that marks the first time ever that ROX has posted consecutive GAAP black quarters)
C) The net loss attributable to common shareholders was the smallest ever in fiscal 2017
G) Revenues have more than doubled in 5 years:
Fiscal 2012 = $35,494,615 (for the year ending on March 31, 2012)
Fiscal 2017 = $77,269,131 (for the year ending on March 31, 2017)
Fiscal 2018 Q1 ending 2017-06-30 = $20,852,287
H) Inventories are increasing:
March 31, 2012 inventory = $10.733 million
March 31, 2017 inventory = $29.801 million
June 30, 2017 inventory = $30,758 million
I) Reason for increasing inventories:
Trey Zoellar's marketing efforts and Jeffersons's great tasting 11 unique bourbon extensions are directly responsible for Jefferson's growing reputation for fine quality products worthy of higher price points.
The shortfall of its aged and blended bourbons of it's 8 unique extensions has resulted in some distributors nationwide needing to supply some stores with just one case at a time, until they could be restocked themselves.
The more whiskey and bourbon Castle Brands can distill and age in it's own distillery, KAD, and warehouses (and at sea), for future sales and consumption years down the road,
means they have more control over product consistency, assurance of availability, and it will lower the cost-of-goods on future income statements while increasing profit margins.
Each year going forward Castle Brands will be better able to satisfy consumer demand through more retail outlets, which can be supplied by more domestic and international distributors.
About Jefferson's Ocean Inventory - At any given moment in time there are 180 barrels of 8 year old bourbon being "finished" on ships at sea.
Watch Trey Zoellar interviewed by Fast Company:
https://www.fastcompany.com/videos/list/DCmFDcAw/video/kC3r8eB0/this-team-is-saving-sharks-and-aging-bourbon-on-the-same-ship
There are 3 - 4 new Jefferson's Ocean Voyage Extentions being brought out every year. Ocean is currently up to Voyage 12 (2017-09-14)
J) During the 2017 fiscal year, the Company purchased approximately 3,600 barrels of aged bourbon and laid down approximately 6,400 barrels of new fill.
K) Castle Brands increases ownership to 80.1% of Gosling-Castle Partners

In the introduction to Jefferson's Bourbon: Note between pages 8 & 9 is the picture of our extensions. Be aware the picture doesn't include the Presidential or Rye extensions. It also doesn't contain the "Wood Experimental" package of 5-200 MLs bottles which is still on store shelves. Hopefully ROX is aging some bourbon to reintroduce the very high priced 21 year old Presidential. ROX also previously announced the purchase of RYE stock. Let's hope ROX reintroduces the RYE extension.
Page 11 is very important because it shows the really big name companies and their Small Batch Bourbons with only 4 selling more than Jefferson's. Moreover ROX jumped ahead of Jack Daniels Single Barrel.

12) Distributors
Castle Brands Inc (ROX) appears to have 2 new distributors as well as their other distributors 2 of which merged recently and may answer why last quarter was a bit flatter than we anticipated.
At the corporate presentation dated 18 July 2016 our distributors were listed as
1. Southern Wine and Spirits.
2. Glazers.
3. United Liquors.
Also in July while that occurred Southern Wine and Spirits and Glazers completed their merger and became Southern Glazer's Wine and Spirits.
Southern Glazer’s is the largest North American wine and spirits distribution company, distributing more than 150 million cases of wine and spirits annually, and employing more than 20,000 team members with operations in 44 states plus the District of Columbia, the Caribbean, and Canada.
Our new distributors according to the corporate presentation dated 7 Sept 2016 are
1. Southern Glazers Wine and Spirits.
2. United Liquors.
3. RNDC-USA. (New)
4. Breakthru Bev. (New)
Here's more about RNDC-USA. National Wine and Spirits (NWS) has selected RNDC-USA as their strategic partner and that makes RNDC-USA the 2nd largest wholesaler in the U.S. only to Southern Glazers.

This doesn't even count the new distributor in Australia for Jeffersons Bourbon extremely small batch, or our UK distributor.
