I would say, yes, another bidder might well pay $10mm more. Heck its just 4.5 percent.
The bigger question is whether management has been coopted already and wont consider another bid. What kind of stock compensation are they being given by Pernod
The question is would a 2nd bidder gladly pony up $10 million plus a higher bid?
I have the same question which is why I'm still holding half of my shares.
Regarding Pernod Ricard:
I read this on Facebook from a Jefferson's follower - I will say this. The people at Pernot Ricard are wonderful people. In a different life I sat in many sales meetings these people love their brands and foster great relationships. They also were not shy about having premium brands being tasted at these meetings to let us reps taste their products. This is great news that more people can enjoy Jefferson.

As a long time consumer of many of their products I was waiting for them to turn the corner on profitability and seeing at a lot of overhead resistance to be chewed through going forward, took 20000 share bite on July 11th. @$0.61. Didn't think twice about selling today for a double, because it exceeded my loss/profit collar parameter. 50 years of investing has taught me that you have to have discipline, up and down even if you might leave some dough on the table.

For all of the ROX naysayers, I couldn't stop buying in the 50's.
Everyone who reads this board knew I thought it was a bargain based on fundamentals.
That's also why I agree with you. The price is too low. But with insiders holding about 42% of the O/S, it's virtually impossible to stop the deal to search for another buyer.
Considering how long they have been pursuing a sale, I agree with SOME, there isn't another buyer, and that's why we are stuck with the $1.27 price.
I sold some. Happy to have some FUN cash for the next penny.
Have a standing order to sell more at $1.27.
Presently intending to hold 60% - 75% until the deal is done just in case someone steps forward with a competitive offer.
Of course the buyer would accept the long term debt. The interest rate is attractive, and the loss carry forwards will be extremely beneficial to a profitable company.
With some aged inventory being more than 4 years old, and all of it valued at cost, the "multiple" at wholesale should be very attractive.
I think they sold at a low future book value. So just in case a competitive offer comes forward, I will keep skin in the game.
But I also think today is the last good day to get out before the ink dries, unless another offer comes in.
I just hate that how they manipulated the pps this year to force ppl give up their shares. I'd have sell my shares if I don't have faith. I also don't think the buyout gives ROX the fair price...

Insider Investor presentations have been touting the value to an acquiring company for 3 years. Anyone who read them knew all along their goal was to sell the company.
My only beef is, now that they finally were going to be sustainably profitable, they pulled the plug for such a low PPS.
ROX has been very good to me, but I expected much more.
Their periodic presentations clearly appeared to be aimed at selling the company, at least to my eye.
