I had more than 100 shares also, and ditto the reorg "transition" symbol. In fact, I had a quite a bit more than 100 of IPOR--but once the reverse was announced, there was no point in holding more than 101...that is, if rules and regs are to be followed.

I think you misunderstood...
I had more than 100 shares to begin with...and for the longest time it was IPORXZ and just yesterday it changed to BDCG.
If thats the case, I purchased one share, why'd I get 3?

weird, then...Choicetrade is Penson, too, and I'm still stuck with 3 shares.
lol....you forget that it was a 29:1 R/S....If you purchased 100 shares or more before the split you get special treatment. If you just purchased 87 shares, you dont get special treatment. lmao...
As for PPS...Bonds.com's biggest competitor is OptionsXpress, and it trades at $24/share. Bonds.com projects to be the main leader in the industry within about 3 years time. So long term, you could potentially get $24/share or more.

Bull, I just checked EDGAR, and there's no new 8K, other than one for February where 2 officers of Bonds.com have provided loans totalling up to $500K to use for working capital.......
You sure you got the right company on a 8K for today, and the letter is associated with Bonds.com/BDCG?

What's going on with the roundup? I know that it looked like we weren't going to get it, but what do the following entries mean?

my question still is how do you know which flavor it is when all I can view is the html/text that says nothing.
your link is the same one I gave, just says REGDEX, trying to learn is all.
If your broker is Zecco or your clearing is by Penson, that is the way the account will look until you get the shares you expect.
At least that is what I see in my account, and so far things have turned out OK.

I bought shares when it was still IPOR...I still have them in my account, BUT the symbol is IPORXZ. I'm wondering why the symbol hasn't changed in my portfolio even though the ticker has..
The more I look at this stock, the more it makes sense. Remember the $4.35mil private placement press release? The recent Reg D form filed on 1/23/08 is for that private placement. So, in a nutshell, everything is cool.
The letter the company mailed to all shareholders this past week, stated that after the merger they plan to issue 6.2676504 shares for every share of Bonds.com Inc. for an aggregate 57,542,704 shares of common stock.

Rule 506 is more specific in what the issuer can and cannot do regarding the sale of securities. However, Bonds.com is already publicly traded, so we can already deduce that they aren't just trying to ripoff their shareholder for the money. They are trying to raise money in order to avoid going further and further into debt. Also according to Rule 506 they are required to report to their shareholders. Don't forget they are already publicly traded, and they haven't issued Form 15, otherwise I would say throw in the towel. They're just trying to raise money.
Thanks for the explanation. What I meant more specifically was, how do you know it is the 506 vs the 504? All I can see is REGDEX, which to me means more shares, regardless of thier intention, more shares coming off the recent reverse split (reverse merge sounds better), can't be good so I sold. Probably prematurely by your definiton. I will keep watching for a re-entry. Confused as to how one can tell if this is good or bad.
I mean Reg D is a bit tricky. But the SEC has really started to crackdown on companies that use this regulation fraudulently...especially since SOX 2002. I think Bonds.com has really played their cards right regarding Reg D. The rule you have to out for is Rule 504 not 506. Check out Feldman and Dresner's book Reverse Mergers: Taking A Company Public Without An IPO. It has some good information on R/M's and specifically about Reg D offerings.

Rule 506 is good news. "Safe harbor rule." MSFT, Dell and other great companies have done this in the past in order to "weather the volatility storm." It's a way of raising capital rather than increasing company debt. This is good news!
