RewardStream Announces $2,000,000 Non-Brokered Financing
VANCOUVER, British Columbia, Nov. 27, 2017 (GLOBE NEWSWIRE) -- RewardStream Solutions Inc. (“RewardStream” or the “Company”) (TSXV:REW) and (Frankfurt:JL4L), (WKN Number A2APX1) announces that it has arranged a non-brokered private placement for up to 10 million post consolidated units at a price of 20 cents post consolidated per unit to raise total proceeds of $2 million. Each unit will comprise one common share of the issuer and one common share purchase warrant of the issuer. Each warrant will be exercisable into a common share of the company at an exercise price of 25 cents with a one year expiry.
The company will also have an overallotment option to place up to an additional 100 per cent of the financing.
Finders' fees or commissions may be payable by the company in connection with this private placement. The proceeds of this private placement are for the company's general working capital purposes.
Rewardstream also announced that it has agreed to use shares to settle amounts owing to a director and its senior management team for deferred salaries and bonuses. The price to settle these debts will be the post-consolidation price of $0.20 as announced above in its financing. The amount owing to senior management for deferred salaries and bonuses is $80,542.15.

In connection with the engagement, Virtus has been awarded a consulting contract that includes a monthly fee of $6,000 and a grant of incentive stock options, which will vest in equal instalments over 12 months, to acquire 200,000 common shares of the Company, exercisable at a price of $0.13 per share for a period of three years from date of grant. The Options shall be subject to the terms of the Company’s stock option plan and the policies of the TSX Venture Exchange.
The Company has also granted to Juan Vegarra, a director of the Company, incentive stock options to purchase up to 340,000 common shares of the Company at $0.13 per share, exercisable for a period of three years. These options vest immediately.

RewardStream Announces Closing of Private Placement
VANCOUVER, BRITISH COLUMBIA--(Marketwired - Mar 23, 2017) - RewardStream Solutions Inc. ("RewardStream") (TSX VENTURE:REW)(FRANKFURT:JL4L)(WKN Number A2APX1) announces that it has closed a non-brokered private placement (the "Private Placement") and has raised a total of $795,600 by the issuance of 5,304,001 units (the "Units") at a price of $0.15 per Unit.
Each Unit consists of one common share and one-half of one share purchase warrant (the "Warrant"). Each Warrant entitles the holder to purchase one additional common share at a price of $0.25 per share until March 23, 2019.
Securities issued in connection with the Private Placement will be subject to a hold period expiring July 24, 2017.
In connection with the Private Placement, RewardStream paid eligible finders a cash commission of $7,200, and issued 24,000 non-transferable finders warrants (a "Finders Warrant"). Each Finders Warrant entitles the holder to acquire one common share at an exercise price of $0.15 per share until March 23, 2019.
The net proceeds of the Private Placement will be used for general working capital and corporate purposes.
The Private Placement is subject to final TSX-V acceptance.

RewardStream Adds Former Microsoft Executive Juan Vegarra to its Board of Directors
Experienced executive adds channel sales, technology scaling and public market expertise to RewardStream
Vancouver BC – March 2, 2017 – RewardStream Solutions Inc., (“RewardStream” or the “Company”), (TSX-V: REW and Frankfurt: JL4L, WKN Number A2APX1) a world leader in automated referral marketing solutions has announced that experienced public market and technology executive, Juan Vegarra, has joined the RewardStream Board of Directors.
Vegarra’s career in technology began in the late 1980s in information technology with the US House of Representatives. Vegarra transitioned into a senior technology evangelist role at Microsoft followed by a successful tenure as the Worldwide Director of Channel Programs for Microsoft Solution Provider Partners. In his roles with Microsoft, Vegarra travelled to over 54 countries, and significantly expanded product revenues and reach in the Americas, Africa, India, Middle East and Europe.
Since 1999 Vegarra has managed Vegarra Investments LLC, where he has lead investments in internet, software and cloud computing companies, while also serving as an active advisor and Board member. Vegarra was also the founder, CEO and Chairman of the Board of Vena Resources, a TSX listed mining company. During his tenure at Vena Resources, Vegarra raised over $54 million and signed over $15 million in joint venture deals, resulting in a market capitalization of over $160 million. Vegarra has also been an active investor, Board member and advisor to several TSX-Venture listed companies.
