On August 31, 2010 and September 15, 2010, Axcess International Inc. (“AXCESS” or the “Company”) failed to pay its employees due to a lack of operating capital. Axcess intends to pay all of its employees for the period worked. All of the Company’s employees have continued to work. This has allowed the Company to continue to ship its products and maintain customer support. The Company is attempting to close on the latest round of fund commitments, however, no assurance can be given that the Company will close on this round of financing and that the Company’s employees will continue to work and that the Company will be able to maintain its operations unless this capital is received.

Corporate and Industry Developments
Axcess' systems for business and government use its patented MicroWirelessTM technology to wirelessly enable business ID badges, access control cards and other credentials to provide automatic local area real-time business activity monitoring and control solutions. Manual access control and business ID systems, which are constrained in their value to the front door, are easily upgraded to Axcess' solutions inside the enterprise. These include high speed access control, internal security monitoring and intrusion detection, emergency evacuation workforce accounting, automatic asset protection and visitor tracking for security and compliance reporting. Systems are also used for contractor time and attendance data collection, safety monitoring and compliance reporting, and workforce time and motion data collection for business process improvement and business intelligence initiatives.
The Company introduced a new DotTM Wireless ID product at the International Security Conference (ISC-West) trade show in Las Vegas in March. Various Axcess DotTM solutions were demonstrated in kiosks located in the HID Global and Tyco- ADT corporate trade show booths highlighting the new product and introducing it to sales personnel, independent security system dealers, system integrators and distributors as well as end users. The product is being positioned as a natural evolutionary step for access cards and business IDs to provide added value in the enterprise. It is expected that Axcess' reference accounts in oil/gas, petrochem, construction, utilities, transportation, DoD, and government will provide support for new sales.
During the quarter, Axcess finalized a contract valued at approximately $100, 000 to provide a worker safety monitoring solution on an oil platform, the Company's second order on that type of facility. Axcess has numerous proven-in installations in the oil and gas industry. Follow-on sales for systems already installed occurred in the areas of mining personnel safety, IT asset tracking and loss prevention, and government weapons automated inventory and loss prevention.
The Company believes the recent oil refinery, oil platform, and mining disasters will bring a new awareness to the Company's workforce safety solutions. The DotTM Wireless ID with an embedded motion sensor now provides personnel telemetry data which is constantly monitored to sense a workplace injury situation. Additional features in support of safety and security are being readied to further the Company's competitive advantage in these areas.
Axcess' core technology area of MicroWirelessTM communications has now been proven to represent the technological sweet spot where autonomous wireless identification and data transfer are best enabled in very small low cost battery-powered devices. Regardless of their hardware platform or form factor, DotTM IDs operate in their own wireless frequency and are designed specifically for the unique need, independent from interference and unobtrusive to backbone networks. For these uses, MicroWireless eclipses other wireless technologies such as cell phones, EPC-RFID, Ultra-Wideband (UWB), Zig-Bee, Wi-Fi and Bluetooth which are not suited to the automated monitoring of personnel and assets in the enterprise because of unacceptable cost, size, reliability, infrastructure and power consumption constraints.

Three Months Ended March 31, 2010 Financial Results
Revenue for the three months of 2010 was $145,289 compared to $1,082,682 for the same period in 2009. The decrease in revenue is a result of the Caribbean Port Security Initiative in the first half of 2009 that has not been repeated in 2010. Add-on sales that are considered by the Company to represent a form of recurring revenue were 55% of total sales (excluding the Caribbean Port Security Initiative) in 2010 and 45% for 2009.
Gross margin was 41% or $59,240 for 2010 compared to 31% or $336,708 for 2009, reflecting an improved sales mix and timing of the increased scope of the system installation for the Caribbean Port Security Initiative.
Research and development expenses were $343,677 for the three months ended March 31, 2010 and $309,359 for the three months ended March 31, 2009. The majority of the increase relates to the non-cash stock compensation expense from an option grant that was completed at the end of the 2009 offset by a reduction in prototype development.
Selling, marketing, general & administrative (S, M, G & A) expenses were $732, 620 for the three months ended March 31, 2010, as compared to $719 012 in 2009. The majority of the increase relates to the non-cash stock compensation expense from an option grant that was completed at the end of the 2009 and a slight increase in legal, investor relations and advertising expenses.
Other expense for the three months ended March 31, 2010 totaled $96,418, as compared to $63,551 for 2009. Interest expense was $10,943 lower during the three months ended March 31, 2010, compared to the three months ended March 31, 2009, reflecting lower expense associated with warrants that were issued with the convertible notes. The gain on vendor settlements was also decreased by $43, 810.
Net loss was $1,118,732 for the three months ended March 31, 2010, compared to $759,878 for the three months ended March 31, 2009. The increase is mainly related to a decrease in gross margin contribution and non-cash stock compensation expense from an option grant that was completed at the end of the 2009.
Recurring preferred stock dividend requirements were $0 for three months ended March 31, 2010 and $47,466 for three months ended March 31, 2009. The decrease is a result of 2003B Series preferred stock being converted to common shares leaving no dividend paying preferred shares outstanding as of December 31, 2009.
Net loss applicable to common stock for the three months ended March 31, 2010 was $1,118,732, or $0.03 per share, compared to a loss of $807,344, or $0.03 per share for same period in 2009. The majority of the increase in loss in the current year period from the prior year is primarily attributable to the increase in non-cash stock compensation expense from option grant that was completed at the end of the 2009 and decreased gross profit contribution from the Caribbean Port Security Initiative.

Wireless ID System Performs Physical Intrusion Detection/Authentication in Real Time
DALLAS--(BUSINESS WIRE)-- Axcess International Inc. (OTCBB: AXSI), a leader in wireless IDs, today announced the first of its kind physical security solution for automatically determining in real time if a person is carrying a proper ID and is authorized to be in a given place. This announcement makes it possible for Axcess' security systems to provide complete, constant coverage of a facility day and night. Until now, physical security systems have provided a physical barrier to intrusion and/or a sensor for detection but have been unable to automatically determine a person's security authorization throughout a facility. This internal security capability means ID badges can be electronically monitored in real time to alert if a visitor, intruder or employee is improperly in any part of a facility at any time of day. By replacing manual ID access control cards with Axcess' ID badges, called Dot MicroWireless CredentialsTM, a portfolio of new applications is made available including: automatic access control, asset loss prevention, visitor tracking, emergency evacuation accounting and now intrusion detection. It will be the Company's second oil platform implementation and the first to include a new safety feature for automatically monitoring workers for injuries on the job. Corporate and Industry Developments
Axcess' systems for business and government use its patented MicroWirelessTM technology to wirelessly enable business credentials for automatic local area real-time business activity monitoring and control solutions. Manual access control and business ID systems, which are constrained in their value to the front door, can now be upgraded to access solutions inside the enterprise. These include high speed access control, internal security tracking, emergency evacuation management, automatic asset protection and visitor tracking for security and compliance reporting. Systems are also used for contractor time and attendance data collection, safety tracking and compliance reporting, and workforce time and motion data collection for business process improvement and business intelligence initiatives.
The Port contract won and implemented in 2009 has been credited for its role in successfully securing the facility and the 34 heads of state participating in the Fifth Summit of the Americas 2009 conference in Trinidad. It followed a previous similar implementation at Barbados Port Inc., the primary port for Barbados. The solutions provided included visitor and vehicle tracking, emergency evacuation accounting, internal zonal security, wireless WMD sensing, various security scanners and other equipment designed to enhance security solutions and resources. The final value of the contract was $3.65MM and was the primary factor in achieving record revenues for Year End 2009.
Axcess announced it had successfully increased worker safety and saved the government time and money by wirelessly automating the process of weighing and identifying loads of radioactive and hazardous materials on transport trucks and automatically generating reports for Washington Closure Hanford. The work is being done at the U.S. Department of Energy's Hanford Site, a 586-square-mile decommissioned nuclear production complex along the Columbia River in southeastern Washington State.
To leverage its success in Wireless Credential applications the Company introduced the DotTM Wireless Credential product into the security distribution sales channel as a bundled system so existing proximity access control systems in businesses can be easily expanded into advanced workforce management solutions for improving security, safety, compliance reporting and efficiency. Twelve Months of 2009 Financial Results
Revenue for the twelve months of 2009 was $4,797,711, an increase of 219% from 2008. The increase in revenue is a result of the Caribbean Port Security Initiative in the first half of 2009. Add-on sales that are considered by the Company to represent a form of recurring revenue were 40% of total sales (excluding the Caribbean Port Security Initiative) in 2009 and 25% for 2008.
Gross margin was 61% or $2,931,626 for 2009 compared to 47% or $708,919 for 2008, reflecting an improved sales mix and including increased scope of the system installation for the Caribbean Port Security Initiative.
Research & development (R&D) expenses for the twelve months of 2009 totaled $1,077,208, compared to $2,229,590 in 2008. The decrease in R&D is due to the timing of the development of the next generation RFID product and reduction in salary expense, reflecting a lower headcount.
Selling, marketing, general & administrative (S, M, G & A) expenses for the twelve months of 2009 totaled $2,752,756, as compared to $2,699,964 in 2008. The expenses were mainly flat year over year. Axcess did increase selling expense as a result of higher sales and increased legal fees but were able to offset the majority of that with lower salary expense due to reduced headcount and lower advertising expense.
Other expense for 2009 totaled $224,033, as compared to $527,764 for 2008. The majority of the decrease in expense relates to lower interest expense as a result of the warrants issued in connection with convertible notes and an increase of the gain on vendor settlements recorded.
Net loss for the twelve months of 2009 was $1,143,369 as compared to $4,774,941 in the prior year. The decrease in the net loss is mainly related to the decrease in expenses as the Company developed the Dot, lower salary expense from reduced headcount and increased gross profit contribution.
Recurring preferred stock dividend requirements for 2009 was $95,263, as compared to $245,307 for 2008. The decrease in recurring dividends is the result of the 2003B preferred shares converting to common during 2009. Axcess also recorded a one-time dividend of $558,686 for the 2008 preferred stock issued in the first quarter of 2008, $187,501 for the 2008B preferred stock issued in the second half of 2008.
Net loss applicable to common stock for 2009 was $1,238,632, or $0.04 per share, compared to a loss of $5,766,435, or $0.19 per share for 2008. The difference in loss in the current year period from the prior year is primarily attributable to the preferred stock dividend requirements, a decrease in research and development relating to the Dot Wireless Credential and increased gross profit contribution from the Caribbean Port Security Initiative.

Corporate and Industry Developments
Axcess' systems for business and government use specialized MicroWireless technology to wirelessly enable "things" for real-time business activity monitoring, automation and control solutions. Axcess transforms common manual identification products into wireless devices capable of automated identification, tracking and sensing. Third Quarter and First Nine Months of 2009 Financial Results
Revenue was $213,164 for the three months ended September 30, 2009 compared to $511,190 for the three months ended September 30, 2008. Revenue for the Nine months of 2009 was $4,452,681 compared to $1,175 022 for the same period in 2008. The increase in sales is a result of the Trinidad Contract awarded in January 2009. Add-on sales that are considered by the Company to represent a form of recurring revenue was 73% of total sales in the third quarter 2009 and 41% for the nine months of 2009.
Gross margin was 37% or $79,423 in the third quarter 2009 as compared to 51% or $260,292 in the 2008 period, and 62% or $2,775,037 in the nine months of 2009 as compared to 48% or $559,528 in the nine months of 2008. The year to date increase in gross margin was due to a change in product mix as a result of the Trinidad Contract awarded in January 2009.
Research & Development (R&D) expenses for the third quarter totaled $257 137, compared to $451,274 in the prior year period and $805,736 for the nine months of 2009, compared to $1,858,962 for the nine months of 2008. The decrease in R&D is due to the timing of the development of the next generation RFID product which we continue to expense as it is incurred.
Selling, Marketing, General and Administrative (S, M, G & A) expenses for the third quarter totaled $522,149, as compared to $658,558 in the prior year period and $2,183,723 for the nine months of 2009, as compared to $2,048,108 for the nine months of 2008. The majority of the increase relates to an increased selling expense relating to the Trinidad contract.
Other expenses for the third quarter of 2009 totaled $53,776, as compared to $ 100,296 for the prior year period in 2008 and $173,594 for the nine months of 2009 compared to $392,537 for the nine months of 2008. The majority of the decrease relates to the decreased interest expense recorded in connection with the issuance of warrants to the convertible notes issued during 2008.

Recurring preferred stock dividend requirements for the third quarter of 2009 was $0 and $39,883 for 2008 and $95,263 for the nine months of 2009 and $188,430 for the nine months of 2008. Axcess also recorded a one-time dividend of $558, 686 and $171,984 for the preferred stocks issued during the nine months of 2008.
Net loss applicable to common stock for the 2009 third quarter was $759 348, or $0.02 per share, compared to a loss of $1,164,682 or $0.04 per share, for the third quarter of 2008 and $498,710 or $0.02 per share for the nine months of 2009 compared to $4,669,120 or $0.16 per share for the same period in 2008.

During the quarter, Axcess successfully implemented its patented Micro-Wireless system into the Microsoft BizTalk Server platform. First Quarter 2009 Financial Results
Revenue was $1,082,682 for the three months ended March 31, 2009 compared to $176,486 for the same quarter in 2008. The majority of the increase relates to the Trinidad contract that was sold in 2009.
Gross margin was 31% or $336,708 in the first quarter 2009 as compared to 40% or $70,759, in the same quarter in 2008. The 2009 margin percentage was adversely affected by the Trinidad transaction. However, we continue to believe our margins will be stable in the 40%-50% range.
Research & development (R&D) expenses for the first quarter totaled $309,359, compared to $871,590 in the year-ago period. The decrease in R&D is due to the timing of the development of the next generation RFID product that was launched in the fourth quarter of 2007.
Selling, marketing, general & administrative (SMG&A) expenses for the first quarter totaled $719,012, as compared to $713,485 in the prior year period. We did have a significant increase in selling expenses in connection with the Trinidad transaction; however, we were able to offset them with lower headcount in the selling and marketing area and lower marketing initiatives.
Other expense for the first quarter of 2009 totaled $63,551, as compared to $116,423 for the same period in 2008. The majority of the change was relating to an increase in the gain on vendor settlements during 2009.
Net loss for the first quarter of 2009 was $759,878, as compared to $1,635,031 in the prior year's first quarter. The decrease in the net loss is a result of the decrease in research and development for the next generation RFID platform and the impact of the Trinidad contract.
Recurring preferred stock dividend requirements for the first quarter of 2009 was $47,466, compared to $76,955 for the same period in 2008. The majority of the decrease is due to the conversion of several of the preferred shareholders converting their shares to common stock.
Net loss applicable to common stock for the first quarter of 2009 was $807,344, or $0.03 per share, compared to a loss of $1,711,986, or $0.06 per share, for the first quarter of 2008. The difference in loss in the current year period from the prior year is primarily attributable to the decrease in R&D and the impact of the Barbados Contract.
