NEWS HIGHLIGHTS
New consortium will seek to define connectivity requirements to ensure the interoperability of billions of devices projected to come online by 20201 – from PCs, smartphones and tablets to home and industrial appliances and new wearable form factors.
The Open Interconnect Consortium intends to deliver a specification, an open source implementation, and a certification program for wirelessly connecting devices.
The first open source code will target the specific requirements for smart home and office solutions, with more use case scenarios to follow.
Technology industry leaders Atmel Corporation, Broadcom Corporation, Dell, Intel Corporation, Samsung Electronics Co., Ltd., and Wind River, are joining forces to establish a new industry consortium focused on improving interoperability and defining the connectivity requirements for the billions of devices that will make up the Internet of Things (IoT). The Open Interconnect Consortium (OIC) is focused on defining a common communications framework based on industry standard technologies to wirelessly connect and intelligently manage the flow of information among personal computing and emerging IoT devices, regardless of form factor, operating system or service provider.
Member companies will contribute software and engineering resources to the development of a protocol specification, open source implementation, and a certification program, all with a view of accelerating the development of the IoT. The OIC specification will encompass a range of connectivity solutions, utilizing existing and emerging wireless standards and will be designed to be compatible with a variety of operating systems.
Leaders from a broad range of industry vertical segments – from smart home and office solutions to automotive and more – will participate in the program. This will help ensure that OIC specifications and open source implementations will help companies design products that intelligently, reliably and securely manage and exchange information under changing conditions, power and bandwidth, and even without an Internet connection.
The first OIC open source code will target the specific requirements of smart home and office solutions. For example, the specifications could make it simple to remotely control and receive notifications from smart home appliances or enterprise devices using securely provisioned smartphones, tablets or PCs. Possible consumer solutions include the ability to remotely control household systems to save money and conserve energy. In the enterprise, employees and visiting suppliers might securely collaborate while interacting with screens and other devices in a meeting room. Specifications for additional IoT opportunities including automotive, healthcare and industrial are expected to follow.
“Open source is about collaboration and about choice. The Open Interconnect Consortium is yet another proof point how open source helps to fuel innovation,” said Jim Zemlin, executive director of The Linux Foundation. “We look forward to the OIC’s contribution in fostering an open environment to support the billions of connected devices coming online.”

Samsung (SSNLF), Intel (INTC) and Dell have teamed up to create a standard by which household gadgets communicate with each other, called the Open
Interconnect Consortium. The partnership also includes chipmakers Broadcom (BRCM) and Atmel (ATML).
The new consortium will rival the AllSeen Alliance, a similar framework supported by Qualcomm (QCOM), LG (LGEIY), Microsoft (MSFT) and other companies.

Atmel buying Wi-Fi/Bluetooth chipmaker for $140M
Atmel is acquiring Newport Media, a maker of TV broadcast and Wi-Fi/Bluetooth chips, for $140M in cash + up to $30M in performance earn-outs over the next 2 years.
With NMI having posted 2013 sales of $43M, Atmel is paying 3.3x-4x trailing sales. The deal will be financed with a mixture of cash on hand and credit facility borrowings, and is expected to become accretive in 2H15.
Atmel declares Newport's low-power Wi-Fi and Bluetooth ICs complement Atmel's microcontrollers, and suggests they're well-suited for embedded/wearables applications (i.e. the proverbial Internet of Things) requiring small form factors and low power draw.
Broadcom, CSR, and Qualcomm's Atheros unit are among the key players in the Wi-Fi/Bluetooth IC market. Microchip recently bought Taiwanese Bluetooth chipmaker ISSC; Apple bought low-power Bluetooth chipmaker Passif Semi last year.

Atmel (ATML) Stock Hits One-Year High

NEW YORK (TheStreet) -- Atmel (ATML_) hit a 52-week high of $9.33 on Tuesday, one day after the company announced Atmel SMART, its new brand of microcontrollers.
Atmel also announced it had grown its SMART portfolio with new SmartConnect SAM W23 modules, which allow Wi-Fi connectivity, high performance and low power technology for Internet of Things (IoT) applications.
The stock rose more than 3.5% to its new one-year high. More than 9.1 million shares changed hands, compared to its average volume of 4,557,170.
Separately, TheStreet Ratings team rates ATMEL CORP as a "hold" with a ratings score of C. TheStreet Ratings Team has this to say about their recommendation:
"We rate ATMEL CORP (ATML) a HOLD. The primary factors that have impacted our rating are mixed - some indicating strength, some showing weaknesses, with little evidence to justify the expectation of either a positive or negative performance for this stock relative to most other stocks. The company's strengths can be seen in multiple areas, such as its compelling growth in net income, revenue growth and good cash flow from operations. However, as a counter to these strengths, we find that the stock has experienced relatively poor performance when compared with the S&P 500 during the past year."
Highlights from the analysis by TheStreet Ratings Team goes as follows:
The net income growth from the same quarter one year ago has significantly exceeded that of the S&P 500 and the Semiconductors & Semiconductor Equipment industry. The net income increased by 104.5% when compared to the same quarter one year prior, rising from -$47.67 million to $2.17 million.
Despite its growing revenue, the company underperformed as compared with the industry average of 3.2%. Since the same quarter one year prior, revenues slightly increased by 2.5%. Growth in the company's revenue appears to have helped boost the earnings per share.
ATMEL CORP reported significant earnings per share improvement in the most recent quarter compared to the same quarter a year ago. This company has reported somewhat volatile earnings recently. But, we feel it is poised for EPS growth in the coming year. During the past fiscal year, ATMEL CORP swung to a loss, reporting -$0.05 versus $0.07 in the prior year. This year, the market expects an improvement in earnings ($0.45 versus -$0.05).
Compared to where it was 12 months ago, the stock is up, but it has so far lagged the appreciation in the S&P 500. We feel that the combination of its price rise over the last year and its current price-to-earnings ratio relative to its industry tend to reduce its upside potential.
Current return on equity exceeded its ROE from the same quarter one year prior. This is a clear sign of strength within the company. Compared to other companies in the Semiconductors & Semiconductor Equipment industry and the overall market, ATMEL CORP's return on equity significantly trails that of both the industry average and the S&P 500.

In a report published Wednesday, Imperial Capital analyst Ashok Kumar initiated coverage on Atmel (NASDAQ: ATML) with an Outperform rating and $10.00 price target.
Kumar remarked that Atmel business model has turned the corner following two years of revenue declines and stabilizing margins.
The analyst wrote, “Atmel has realized gross margin expansion from the roll-off of its foundry agreements and operational efficiencies with the benefits continuing to accrue through 2014. Other encouraging metrics that we highlight from 1Q14 results include a favorable outlook for growth in core microcontroller (MCU) and touch as well as improvements in inventory levels.”
Although the company maintains confidence that shares will benefit from smartphone and tablets in 2014, Imperial's checks indicate “that Cyprus has displaced Atmel for the touch screen controller in the upcoming Samsung Galaxy S5 Mini.”
After supplying the chips for the S4 Mini, Kumar is optimistic on the company's touch opportunities in smartphones, automotive and Win8 large touchscreens. The analyst believes the MaxTouch business may contribute to healthy financial results.
Shares of Atmel closed at $8.20 on Wednesday.

Why Intel Should Buy Atmel

Summary
Given Atmel's lead in areas like touch and the company having expanded its family of low-power ARM Cortex M0+ micro controllers, it will be tough to bet against them.
Atmel has the technology to keep re-inventing the capabilities of touch.
Atmel is a strong bet to reach $10 at some point this year. And I wouldn't be surprised if Intel offers a $12-dollar bid to close this deal.
With downbeat results coming out from several prominent chip names, investors weren't sure of what to expect from Atmel (ATML). While the broader chip group are still rebounding from an environment riddled with low average-selling-prices (ASP) and high-end device saturation, unlike, say, Broadcom (BRCM), Atmel has always been shielded from those headwinds. With the company's rapid ascent into an industry leader in touch controllers and sensors, investors looking for long-term value in chips should consider this company. And following a stronger-than-expected first quarter, Atmel won't remain cheap for long.
Wednesday, the company reported first-quarter revenue of $337.4 million, which was 2% higher year over year and beating Street estimates by more than 3%. In the year-ago quarter, Atmel posted revenue of $329 million. The increase in revenues was driven by improved performance in microcontroller business and new product introductions, including SmartConnect, which integrates Atmel's ultra-low power microcontrollers and wireless connectivity solutions. This device is expected to further the company's push into the Internet of Things.
The company is also benefiting from strong growth in various geographies, including Asia, which represented 53% of total revenue. The EMEA region (Europe, Middle East and Africa) added 30% of revenues, while the Americas accounted for the remaining 17%.
From an operational perspective, Atmel reported non-GAAP net income (excluding one-time items) of $29.1 million or 7 cents per share. Recall, analysts were projecting adjusted earnings of 6 cents per share. Last year, Atmel earned $13.6 million or 3 cents per share. Essentially, the company was able to more-than double its earnings from last year, which can only be achieved by the combination of lower operating expenses and strong revenues.
This combination helped Atmel achieve a Non-GAAP gross margin of 44.0%, which was 30 basis points higher sequentially and it topped last year's mark by an impressive 3.5%. The company ended the quarter with roughly $46 billion in cash from operations, far-exceeding the $12 million in cash used in operations for the first quarter of 2013.
The company reported a combined cash balance (cash and cash equivalents plus short-term investments) of $255.5 million. While that number reflects a $23.6 million decline sequentially, this is because Atmel used that money to repurchase $55 million worth of its common stock during the first quarter. Following the strong performance, CEO Steve Laub said:
"Our microcontroller business performed better than seasonal and continues to benefit from the investments in new product introductions including devices related to the Internet of Things which are driving increasing revenue as the number of microcontrollers connected to the Internet grows extensively. We are confident that our ongoing operational initiatives will significantly enhance our profitability throughout the remainder of the year."
These are certainly encouraging words. And given, the chronically low ASP environment, I don't believe Atmel's management, particularly Steve Laub, has gotten the credit they/he deserves for consistently growing the company's profits. And it seems the company's decision to go after higher-margin businesses, given its superior technology, has begun to pay off. Now Atmel is in a race with Intel (INTC) to see who can dominate the Internet of Things, which has become the new buzzword.
But given Atmel's lead in areas like touch and the company having expanded its family of low-power ARM Cortex M0+ micro controllers, it will be tough to bet against them. These products offer strong features like innovative event system and support for capacitive touch button, slider and wheel user interfaces, and so on. Although "touch" is no longer a novelty, Atmel has the technology to keep re-inventing the capabilities of touch.
And from my vantage point, this makes Atmel a strong acquisition candidate for Intel. Atmel's growth opportunities are too hard for Intel to ignore. For that matter, investors should take notice. With the stock trading at around $7.80 per share, Atmel is a strong bet to reach $10 at some point this year. And I wouldn't be surprised if Intel offers a $12-dollar bid to close this deal
