Open Energy Corporation (OTCBB:OEGY), a developer of clean energy solutions and innovative energy management applications and products, today announced it has closed the final portion of its previously announced $4.7 million financing with The Quercus Trust, one of the leading cleantech venture funds in North America.
Quercus invested a total of $4.7 million in Open Energy in this financing, consisting of $4.2 million in cash, and $500,000 of forgiveness of accrued interest and restructuring fees relative to other obligations to Quercus. In exchange, Open Energy issued to Quercus warrants to purchase a total of 235,000,000 shares of common stock, at a price of $0.02 per warrant, with an exercise price of $0.067 per share.
Open Energy also announced that the previously-disclosed management and board changes became effective with the closing of the remainder of the Quercus investment. Following the closing of the financing, the Board of Directors consists of five members, three of whom were appointed by Quercus, and two of whom were existing members of the board. David Field, the current president and chief operating officer, is leading the board as Chairman and will assume the role of chief executive officer effective November 1, 2008.

SOLANA BEACH, Calif., Sep 25, 2008 (BUSINESS WIRE) -- Open Energy Corporation (OEGY), a renewable energy company focused on delivering building integrated photovoltaic solutions, today announced that it has completed its largest solar electric installation for the new California Academy of Sciences in Golden Gate Park, San Francisco, California. Designed especially for the Academy by Open Energy and manufactured by Suntech Power Holdings Co., Ltd. (STP), one of the world's leading manufacturers of photovoltaic (PV) cells and modules, the project features 720 4 x 6 foot glass panels embedded with photovoltaic cells. The panels will be arranged in a solar canopy around the Academy's 197,000 square foot roof and will be one of the largest photovoltaic glass canopies in the United States The solar installation will be a key factor in the Academy's attempt to achieve LEED Platinum certification (Leadership in Energy and Environmental Design) from the U. S. Green Building Council. The museum was designed by Pritzker Prize-winning architect Renzo Piano, and is scheduled to open on September 27, 2008.
"The California Academy of Sciences will be one of the greenest museums ever constructed, and our goal is to achieve LEED Platinum certification," said Ari Harding, the Building Management Systems specialist at the Academy. "The Open Energy solar panels are important in helping us reach that goal, since energy efficiency is one of the criteria on which the building will be judged."
The solar energy panels will complement the design of the Academy, forming a decorative rim around the building's 197,000 square foot living roof, which is home to 1.7 million native plants. The Starphire(R) Ultra Clear Glass for the project was provided by PPG Industries. The solar cells will generate 213,000 kilowatt-hours of energy per year, providing up to 10 percent of the Academy's electricity need and preventing the release of 405,000 pounds of greenhouse gas emissions into the air. The system is already in the operational phase and has provided approximately 850 kilowatt-hours of energy per day for the last month.

Ther have been no negative changes. The end of May the stock was at .30. Then a filing to sell 4.2 million shares from the SRS stockholders. With them selling and the current market conditions it has put downward pressure on the stock and also created panic selling. It's not just this stock. There are a lot of start up solar stocks near 52 week lows.
You were correct as far as their new product. They are developing a solar asphalt shingle which is due out this summer. As long as they introduce it by october 1st Eagle will increase their commitment from the April to December 82,500 tiles by another 11,000 tiles. They will also be introducing brown colored tiles with colored solar cells.
There are a lot of good things going on with this company right now but they have been quiet. Maybe they are waiting to put out press releases untill the shares in the filing are sold off. In the meantime i'm adding to my position. Rating :

this is only my opinion and it's usually not my opinion very long because I CHANGE MY MIND FREQUENTLY
Howdy! I just took a smallish initial position here today.
I spent a couple of hours looking thru the filings and this stock looks to be about 10% undervalued at the current price. That's based on the assumption that the estimated share structure numbers are mostly accurate.
It also appears that they just paid off some relatively low-quality debt, that could be converted directly into shares, and then exchanged it for some higher-quality debt that is based on warrants exercisable at 50 cents. It seems to me that this move further stabilizes the share structure. It also creates a potential overhead resistance level at 50 cents. However, it also means that, over the longer term the PPS is going to move to 50 cents. And whomever took on this debt position, apparently, also would agree with that premise. Otherwise why would they accept warrants so far out-of-the money?
Of course, the big question is: When is it going to 50 cents?
Obviously they have some more work to accomplish in order to move forward. But it looks like they have a descent handle on their debt situation. That's a big plus. And the filing makes it clear that they are still doing the R'n & D'n up their in Grass Valley. And I know from direct experience how expensive that is. So it is not likely to happen real soon. That make this a longer-term play from my viewpoint. And right now seems to be a good time to get in, which I did.
Overall, this company is well positioned to take advantage of the current energy crisis, which is going to last for years. This is just a wild-ass-guess on my part, but I'm seeing a $2 share price in 5 years or less.

right, but 3M of warrants in place of interest paid does seem to covey the same sentiment as an additional purchase, though obviously not nearly the same magnitude as it would if it was a straight up 3M share purchase. what do you think?
All he did was get some more warrants as payment in kind for interest that was otherwise payable to him on the debt he holds - no new investment on his part, unless you count accepting warrants instead of cash interest as an investment.
