Biogen to Pay Applied Genetic $124 Million to Develop Eye-Disease Treatments

Biogen Inc. will pay Applied Genetic Technologies Corp. $124 million for license and commercialization rights to several of its gene-based therapies for eye diseases.

The $124 million includes a $30 million equity investment at a price of $20.63 a share. Biogen also has the option to license discovery programs for three additional indications.

AGTC is eligible to receive milestone payments totaling more than $1 billion. This includes up to $472.5 million for the two lead programs and most of the rest coming from payments for the potential discovery programs.

The two lead programs covered in the agreement are a clinical candidate for a disease called X-linked Retinoschisis and a pre-clinical treatment for X-Linked Retinitis Pigmentosa. These are diseases of the retina that can cause blindness in men.

AGTC Chief Executive Sue Washer said the collaboration would "support the development of new therapies that may allow for transformative treatments for these rare inherited eye diseases."

Massachusetts-based Biogen has been in search of new products to drive sales growth following the successful 2013 launch of its multiple-sclerosis therapy Tecfidera. In its latest quarter, slowing growth of Tecfidera led to lower-than-expected profit and revenue growth.

Shares of Biogen have increased about 19% this year through Wednesday's close.

The deal is expected to close in the third quarter.

Pending the FDA's acceptance of the IND application, the Company plans to initiate a clinical study evaluating the safety and efficacy of AGTC's proprietary gene therapy for treating XLRS during the second quarter of 2015 and expects to have initial data during the second half of 2015.

XLRS is an inherited retinal disease caused by mutations in the RS1 gene, which encodes the retinoschisin protein. XLRS is characterized by abnormal splitting of the layers of the retina, resulting in poor visual acuity in young boys, which can worsen as the patients age. There are currently no approved treatments for XLRS.

I agree completely but as you can know this company has shown the signs. as far a not being overly concerned with the public aspect of things. Updateing pinksheets, uplisting ect. And the divis seem t have been nice but it looks like most of that money went right back to insiders. most likely the sellers are those who picked up shares in the .60 range and have been holding for months.

a few days of buying and it should clear out fairly quick.

worst case you wait for the buyout which I imagine will be nice. win win either way IMO.

pennypusher1 -- I only wish that I owned more now... The stock has never been liquid and I have only been successful picking up volume a few days each year at best... The dividends were great however... 9 cents per share in 2007...

This is the second big takeover of an extremely illiquid but high quality Pink Sheets company in the last year... EDIN (Educational Insights) was another... So difficult to find others which are legitimate...

I added 2.5K shares this morning at 1.00 and another 2.5K shares at 1.25... Caught the market maker asleep...

The Bid/Ask has moved up from 0.80/1.00 this morning to 1.25/1.60 at the moment...

The question which several individuals has asked is the Shares Outstanding... The actual key question should be the Fully Diluted Shares Outstanding including any management stock options and convertible preferred shares (although I do not think there are any of those outstanding)...

Unfortunately I do not have the answer although I am making an educated guess the acquisition price will be well north of 1.25...

AGTC - American Gilsonite Company To Be Acquired

American Gilsonite Company (Pink Sheets:AGTC)(“AGC”), a leading provider of high-quality Gilsonite and Gilsonite products and services through it and its predecessors since 1888, today announced a definitive agreement pursuant to which AGC will be acquired by American Gilsonite Holding Company. American Gilsonite Holding Company, which was formed for the purposes of the acquisition transaction, is a privately held, portfolio company of Palladium Equity Partners III, L.P. (“Palladium”). Aiming4 -- I understand completely... AGTC is nevertheless one of my favorite stocks and I wish there was liquidity for me to load the boat... But alas there is not...

IMO you need to notice during the few days of the year when there is a seller... And try to buy at those times rather than from a market maker who has no inventory...

I own 30,000 shares and received $2,750 in cash dividends in 2007... A wonderful investment...

Ron -- Thanks for your response (as well as your recommendations). I think AGTC is the overall single best company I have ever found on the Pink Sheets.

IMO, a buyout is possible from a larger mining company. I would guess the price would be in the area of $2.00/share based on earnings and cash flow. Remember however that with management owning at least 85% of the Company, any takeover would have to be friendly. I think management would just as well take out the dividends each year (low taxes on dividends) rather than take a cashout capital gain all at once and pay a larger percentage to the IRS in taxes (my interpretation of the situation only).

Given that management has no intention of uplisting now or in the future, I do not anticipate the Company will be willing to pay the annual expense of an independent audit (which would directly and equally reduce cash dividends). In addition, given that management told me the Company does not actually want to be "discovered", I do not anticipate management will list the financial statements on either the Company website or the Pink Sheets database.

However, I will say that I have found AGTC's General Counsel Ted Stevens to be very polite, professional and willing to answer my detailed questions (and once in a while to actually send me financial statements in response to a specific request).

THANK YOU for recommending LKSC and BONL, I will take a look at those stocks later this week and let you know what I think (if you are interested).
