txtg underwent 2 splits... a 20:1 FS on 9/15/05 and a 1:100 on 8/1/06... my original 100 shares are now only 20 shares... removing the restriction would cost me at least 100 bucks, so selling it for at 1 buck for a total of 20 bucks would not make sense for me.
i started the txtg board, but no one ever responded... you can look at that board for info that i left in a post.. .let me know if you find out anything
txtg are $1.00, does this mean that my Midas shares are worth $1.00 each ? I've have boiler rooms offering to buy my Angelciti shares for rediculous amounts of cash.. if I send them redicuclous $$$$'s to remove the restriction first. It's another scam. Has anyone ever sold a txtg sharee for $1.00 ?
i sold angelciti in 2005 for a loss... midas became textechnologies (txtg)... i still have the restriction and haven't done anything with it
Anyone know aht is going on with these shares ? I've had them for years, but they are restricted. Also received loads of MIDAS shares. MIDAS have dissapeared, AngelCiti seem non existant, web-site down et al.
thanks... i figured it would cost more money than the stock is worth to lift the restriction, so i'm just letting it sit in the account for now
I had the restriction lifted by contacting my broker (E*Trade) and asking them how to do it. They said you have to pay a one-time $150.00 processing fee. Then fill out an "Owner's Intent to Sell" form and a Form 144 for each account in which you have restricted shares to sell. It takes about 10 days for everything to clear, and then you can sell.
Actually, I finally received a reply after 2 tries from David Price, an attorney for TexTechnologies. It said :
"Basically you will need a "144 letter" to have the transfer agent remove the restrictive legend. As General Counsel to Textech, I can provide that service to you, however I will need to see a copy of the actual certificate. You can just e-mail me a j-peg or fax it if you prefer. Send me a copy of what you have & we will start to work on this."
I decided not to do anything since this will probably cost money, and getting a certificate from my broker, TD Ameritrade, would cost money too. It would cost more than what I could sell the stock for.
I called my broker and they say they have no information on it.
Midas Entertainment changed their name to TexTechnologies. These piece of s@#$ shares are restricted in my Ameritrade account. Emailed TexTech a few times but no reply. Anyone ever have the restriction lifted?

Does anyone here live within driving distance of Davie, FL? I would like to have someone drive by MDSE's office at 12555 Orange Drive, Suite 110, Davie, FL just to see if they really have an office there (if they ever did). I looked up the address online, and found the realtor that represents it. It is a nice little brick office buiding. But I'll bet Midas does not really lease Suite 110. At least they're never there long enough to answer the phone or read their mail.
Arrggggg! MDSE down 41.67% (to .14) today on volume of 500 shares! We'd better get used to the fact that these shares are actually worthless. What a scam.
Mine are still restricted as well.
Here's the last response I got from MDSE, in January 2005:
Dear Mr. Dupre:
The shares in Midas carry a one year restriction. On September 22, 2005 you may request a legal opinion from our company counsel. You then submit the legal opinion and the share certificate to your broker who will be able to fill out Rule 144 paperwork for you and sell the shares on the open market.
Sincerely,
Gabriela

Subject: Restricted shares of common stock
Hello Gabriela,
My name is Paul Dupre. I own shares of MDAS which were given to me by Angelciti Entertainment as restricted shares.
When are these shares going to be "unrestricted" (eligible for sale)? Just a ballpark date would be fine.
When the shares become unrestricted, will my broker be notified?
Thanks,
Paul
"Has anyone seen the restriction lifted on their MDSE shares?"
No, and I have been unable to contact MDSE since last May. I have called, left messages, sent emails, sent a snail-mail letter, etc. All unanswered. They have not answered their phone since May 2005. This company has disappeared like a fart in the wind, and has taken our money with them. Same with AGCI.
I guess we'll have to take legal action and get the SEC involved if we ever hope to find out what happened to Midas Entertainment.
I suspect that someone is sitting on a beach somewhere chuckling to himself about what a bunch of suckers we are.
WATCHING AS WELL:) should bounce up from .11
moves on air!
Hey Snow...
what's up? Did you end up selling PHBT or holding? Drop me a line.
Sorry,
I just reread this post.
shag,
could I ask how many shares that you may sell?
Also i'm trying to figure out just what is happening!
This is what I received when I sent a very angree e-mail to AngelCiti.
We too are always concerned about our share price here at the company for the sake of our investors. The recent dividend by AngelCiti of our shares in Midas, reduced the company’s overall asset base, but led to direct share ownership by our investors, so despite the drop we feel it is a financial benefit to our investors.
Sincerely,
Grace

Yeah Sno, but the lower I sell it the better off I'll be tax wise. It will never go up enough for me to break even, not in my lifetime anyway as I'm a senior, senior citizen.
don't sell down here shag,,,,, it's going to bounce
Could be but like I said, it would have to go up to $5.40
for me to break even. I suspect I'm not the only on in that fix either. Such is life.
I haven't read any more on that T & C deal. Have you? That could make a lot of difference in the future.
I'm thinking seriously about dumping pretty quick for tax purposes.
shag,
it looks like things are about to improve as AGCI is way oversold imo.

I made a mistake on that Sno. It was a 100 to 1 reverse split.
I had bought 20,000 shs of AGCI at.054, for a total cost of about $1080.00 and the next thing I know, I had 200 shares that had cost me $5.40 per share. So now I still have the 200 shs that are worth roughly $28.00. I think AGCI closed today at 14 cents. I'm not sure when that happened as after that, I knew I was out. I didn't pay any attention to it after that until the MDAS spin off came about. Needless to say, I don't have to much faith in either of them. The folks that bought AGCI in the 50 cent or less range will probably make out O.K.. I hope so.
I'm not complaining, stuff happens.GLTYA.
what?
reverse split?
when?
I hadn't seen it, Thanks. I really don't have that many shares, 240 I think. Had 20,000 at one time but you know how those reverse splits work. They are the hazards of penny stocks. I guess we should see some action tomorrow ( Maybe)
I notice it dropped 3 cents today.
Sure isn't much action on this board anymore????
I could be wrong, but I remember being told the first set of MDAS dividend of 2005 was restricted for a year. ?? Whenever they do become unrestricted, MDSE will be trading below .01. I'm still hanging on the hope of AGCI buying out Carib Gaming. The last PR regarding the acquisition said it would be finalized by Nov 15. Only about one week away.
Nothing here. It dropped to $.20 around 10:00 but jumped to $.35 now. When we see the price drop to penny's or less, we will know the restriction is lifted IMHO. I was under the impression that it was to be lifted the end of last week.Any bodies guess I reckon.
Has anyone seen the restriction lifted on their MDSE shares?
Sorta glad I was tapped out before yesterday or I might have loaded up. It will go back up though.
wow shag, I never thought I would see this!
I would join you on todays buys but I'm tapped out. I only have a little over a "K" tied up in AGCI. I pretty heavy into BOCX and BSM, so the keeper of the purse strings says NO MAS. After 48 years, she's surely the Boss.GLTY on your buys btb today.
I agree shag,, i'm trying to pick up more by eod too.
I think by march or even earlier we should be trading in the 1.50 or even 2.00 range,,,hopefully MDSE as well.
Remember this is also profiled by greenbaron so we should get a pop any time now imo.
Sno, It looks like AGCI might be picking up.I notice on the Level 2, "depth level" where one person bought 10,000 shs and 2 others 7500. They might be wanting to get in before close today. I think thats the cutoff for the other reverse split ??
Well, my MDSE shares have been multiplied by 20. Feels good to have 20 time as many shares, but I'm still not able to sell these shares. When will the "restricted status" been lifted ?
Several mails to the company still remain unanswered.
yes,,i read it today but i didn't even notice it on tuesday.
looks ok though,,,,jmho

AngelCiti Reports a 28.5 Percent Jump in Third Quarter Results
October 18, 2005 07:00:21 (ET)
PEMBROKE PINES, Fla., Oct 18, 2005 (PRIMEZONE via COMTEX) -- AngelCiti Entertainment, Inc. (AGCI, Trade), an online casino software company, announced today that it had a gross net win of $270,841 and an overall handle of $6,994,216 for the third quarter of 2005 as compared to a gross win of $210,654 and an overall handle of $5,189,873 for the 2nd quarter of 2005.
"We're pleased to again be showing a positive trend from our core operations and fully expect to continue to carry that trend into the fourth quarter," remarked George Gutierrez. "The tide of the meteoric rise of online poker seems to have subsided, resulting in players returning to their old forms of online entertainment, such as online casinos. That, combined with re-focused marketing efforts and new games provided by our software seems to be garnering additional customers and play to our platform."
The Industry
Revenues from online gambling are expected to soar from $12 billion this year to $24.5 billion in 2010, according to Christiansen Capital Advisors, a Maine-based consulting firm. A recent article in the Toronto Globe and Mail estimates that in the past five years, online gambling has grown threefold, into a $12 billion-a-year business, and InformaMedia Group, which tracks electronic gambling, predicts that online gaming revenue will even reach $14.5 billion by next year.
shag,,did you see news on the 18th?
I never did,, I have actually filed AGCI to the back burner for now but would like to pick some more up once the chart straitens out "again"
No problem on the "Div's" as they were free anyway but I was just wondering what was going on. Only trouble with AGCI is that I'm stuck with a bunch of shares that cost $5.40. Things will have to improve "Much", for me to break even. That's life though with "pennys".
thing is,, panic selling will hurt you rather than help.
when they restructure you will see the company and pps rise as well as your divs,,,, not to worry imo shag
not sure shag except to say that MDSE is a tradable stock and whatever is causing it to drop is probably anything.
Ya gotta remember that it is only the div shares "from" AGCI that are restricted.
That being said, I believe that with the growth of both these companys resrticted shares or not,,, in a year or so with the popularity of these gaming stocks you will see a huge rise in pps in both companys.
These div's I must admit do have me a little baffled and will require a bit more study.
I'm hanging on to my AGCI shares long but as for the div's I don't really see any downside risk.
300 more shares just went for $.35 ??????
I tried to sell some but no dice??????? Who is selling/buying
or am I just to much of a newbee to know whats going on?
