I love buying these positions after a Divi cut. The share price always seems over react to the downside offering excellent value. In at 5.75.
Not sure there is not more downside, but dont care. Time will fix it.
I sold my SXE shares because I didn't like its debt, even though it has possibilities. But why take the chance. It could go to zero.
On the other hand, AMID is a strong company, and even looks like a turn around opportunity. Paying down its debt, acquiring new assets that complement its core business.
I did not sell any of my AMID shares. The price has been climbing since it was decimated after cutting its dividend.
With its core business steadily improving, long term it go up multiples from here, and there is a good chance that it could increase its dividend over time.
Talking about its dividend. It still has an excellent dividend, and I will be using the dividend money to buy more shares, which will increase my number of shares, which will increase my dividends, which will increase...
Oh, my. Just think about it. Over time the number of shares could really grow. And if the dividend is increased, the yearly money you would be getting could be a life saver.
This is a RARE SITUATION. A stock that has an excellent chance of going up hundreds of percent, and by reinvesting the dividends you would be continuously increasing your number of shares.Over time … it would be something.
American Midstream And Southcross Energy Divorce: The Fallout

Southcross Energy has terminated the merger agreement with American Midstream.
I viewed the initial positive move upwards of SXE after this hit the news wire, as an illogical one. The market realized this, SXE being down yesterday is a reflection of a company with very limited options and a bitter GP with players who got played. With that said, I think this is probably better for American Midstream than many might give it credit for. The company has an awful track record on deal integration (see JP Energy), and despite prior management pontification on how great the combined entity would be, I think they are better off moving away from this deal and trying to fix the assets that they do have.
Today, American Midstream has one of the highest implied distributable cash flow (“DCF”) yields of any midstream firm that I follow. It deserves it. I’d challenge any investor to go back and look at nearly any other MLP that cut the distribution and went to a self-funding model. Substantially all of these presented the bad news to investors alongside a multi-year plan - NuStar Energy (NS) and Plains All American (PAA) did a great job of this. They held conference calls and communicated as best they could. While this type of news is never received well, setting a game plan helped minimize the fallout. Now come back to American Midstream. The silence out of management and the Investor Relations team is deafening. I’ve tried contacting them several times over the past few days with no response. I'm very reticent to buy any company that just will not take the time to address its investor base.
One of the many investing ideologies I subscribe to is that tops and bottoms are a process, not an event. I’d challenge any investor to count all the opportunities that they missed by being patient, and then count all the times that they bought too soon. I don’t know very many market participants that would say the first count outnumbered the second. A little patience is in order here to allow the market to digest all of this news and wait for a turn in sentiment. American Midstream is not rallying back 100% tomorrow, next month, next quarter, or next year. Management needs to prove they are competent operators that can nip and tuck their existing portfolio base (non-core asset sales, add-on project opportunities on existing infrastructure) before the market will begin to give them more credit. In my opinion, there will be an opportunity to buy American Midstream at a great price when future outlook looks much less cloudy.

Fell to $5.70 in the opening trades, but now is moving upward. 13 minutes after the opening it is up to $6.16, and so far, still climbing.
AMID is still a strong company. People are wary of it because, for years, management has promised more that it has delivered. But it has now done what it said it was going to do: sell off its weak parts and use the money, including the money it is going to be saving by decreasing its dividend, to pay off debt and acquire better assets.
The people that were in it for it's dividend have sold. All that are left are the people that believe in the company.
Plus it will save on the cost that would have accrued in buying SXE, although it will have to pay $17MM.
Long term it may end up stronger. This could be its low point. Will need to watch and see what happens.
The pre-market price has now climbed to yesterdays closing price of $6.60 and the stock looks strong.
Southcross Energy Partners nixes merger deal with American Midstream

Southcross Energy Partners (NYSE:SXE) says it has terminated the planned merger with American Midstream Partners (NYSE:AMID), citing AMID’s failure to achieve conditions required under the agreement.
SXE parent Southcross Holdings also has ended the planned contribution agreement with AMID as a result of a funding failure by AMID and says it is entitled to receive a $17M termination fee.
Pre-market AMID fell to $6.40, but since then has climbed to $6.55. It closed yesterday at $6.60

Oil was in the $100 range from 2010 to 2014. During that time AMID rose and reached $30 in July 2014.
Then the bottom fell out of oil. And it continued to fall until just a few months before 2016. People weren't sure that that was the bottom, and commentators stayed negative for awhile.
February of 2016 was the bottom of the bearishness, and February 2016 is when AMID bottomed out at $5.
It climbed up to near $20, but then people became concerned about its debt, and also that it had some underperforming assets that were going to pull it down. The stock drifted down to the $10 range, and then steadied.
It was selling its underperforming parts, and using the money to pay down debt. It tried to acquire SXE, which would be a strong addition, increasing it money flow, but the original dead line to pay for it passed months ago. However, legally they had to acquire it, because of the contract both companies had signed.
They cut their dividend, and the money they save, will allow them to buy SXE. It is not a guarantee that they will buy SXE, but both companies are for the deal, and it would be a legal headache not to do it. So I think it will take place.
The market doesn't seem to think so. SXE's price is way down, and if the deal doesn't go through, it will go way down, because SXE has massive debt problems.
However, if it does go through; oil prices have turned around, and are strong. AMID 'IS' selling its underperforming assets, which will end up making the company a stronger company, plus it will give AMID needed cash.
Then, just like the previous time, when AMID bottomed out at $5 and then started a strong up move on strong oil pricing, AMID could start an up move here. It's dividend has been cut 75% to $0.4124/yr, which at a stock price of $6.60 = a dividend of 6.25%, which is not bad.
AMID's price of $6.60 X.16 = $1.06 (what it would pay for SXE)
SXE closed at $0.79, a 26% discount.
SXE's bid/ask for Monday is way above that at $0.83/$0.87
AMID's Monday bid/ask is $6.55/$7.95, so it looks like it is going to be in the $7 range.
Like you say, people must realize that the selling was way over done.
Long term, this could be a great entry price, especially if AMID raises its dividend in the future.
Just remember, that if AMID doesn't acquire SXE, its price could fall to zero.
Bought 10K shares of SXE just before the close on Friday. I'm expecting a significant pop on Monday, if Mr. Market stops having a Bad Math Day and figures out the price mismatch.

Anybody that is familiar with AMID, knows what a strong company it is. It is selling off underperforming segments and using the money to acquire high performance assets, plus pay down debts.
Some writers have been saying that it needed to cut its dividend in order to better its cash flow. It is trying to acquire SXE, but hasn't been able to come up with the money. Now it will. AMID will probably also want to use the higher cash flow it is getting, now that it cut its dividend by 75%, to finish acquiring the other companies and assets that it was looking at, plus will also want to bring down its debt load.
After that, it can always raise its dividend, and a high dividend has always been one of its major goals.
Now for the Discount.
AMID is going to acquire SXE by paying .16 of the price of AMID at the time of the acquisition.
For instance, if it was acquiring SXE today at AMID's price of $6.755, it would pay $6.755 X .16 = $1.0808 for each share of SXE.
But SXE is at $0.8182 even though AMID would be paying $1.0808 for it. That means that you would have bought it for $0.2626 less that what AMID would be paying for it.
So you could get SXE @ a 32% discount.
Once, trading in AMID settles down, I will be buying SXE.
AMID's price has fallen, NOT BECAUSE THERE IS ANYTHING WRONG WITH THE COMPANY, JUST THE OPPOSITE, PEOPLE ARE SELLING IT BECAUSE IT IS A STRONGER COMPANY, or rather, BECAUSE THEY WERE IN IT ONLY FOR ITS DIVIDEND.
I'm in it because of its great potential. And it still has a dividend, plus it may raise that dividend some time in the future.

HOUSTON, Jan. 26, 2018 /PRNewswire/ -- American Midstream Partners, LP (NYSE: AMID) ("AMID") today announced that the Board of Directors of its general partner declared a quarterly cash distribution of $0.4125 per common unit, or $1.65 per unit annually. The fourth quarter 2017 distribution represents the twenty-sixth consecutive quarterly distribution since the Partnership's initial public offering in 2011.
The distribution will be paid February 14, 2018 to unitholders of record as of the close of business on February 7, 2018.

American Midstream Partners (NYSE:AMID) -9.8% AH after announcing a public offering of 7.5M common units, with an underwriters option to purchase up to an additional 1.125M units.
AMID says it plans to use the proceeds to fund part of the purchase of a stake in a company that will indirectly own a portion of the Delta House floating production system and related pipeline infrastructure.
American Midstream Partners (AMID +0.3%) is upgraded to Neutral from Sell with a $13 price target, up from $10, at UBS after the 25% dropdown of ArcLight's 51.7% interest in the Delta House floating production system, which AMID expects will prompt an increase in annual distribution per unit growth to 5% post-closing.
American Midstream Partners (NYSE:AMID) says ArcLight Capital Partners, which controls AMID's general partner, will drop down 25% of its 51.7% controlling interest in Delta House for $162M.

American Midstream Partners L.P. (NYSE: AMID) is down a gigantic 33% in the November to December period so far. It was formed to own, operate, develop and acquire a diversified portfolio of midstream energy assets. The partnership provides midstream services in the Texas, North Dakota, the Gulf Coast and Southeast regions of the United States. With a higher distribution rate, a positive mergers and acquisition environment and possible additional drop-downs from the general partner, the company has positives galore.
American Midstream investors are paid a 9.72% distribution, and we remind readers that MLP distributions can contain return of principal. The Merrill Lynch price target is $31, the same as the Thomson/First Call consensus price target. Shares closed Wednesday at $19.10.

Seems like with the price down and the yield above 10% there may be a future issue with dividend payment which would drop the stock. I'm long but wondering...

The Company is engaged in the business of gathering, treating, processing and transporting natural gas through its ownership and operation of nine gathering systems, three processing facilities, two interstate pipelines and six intrastate pipelines.
