Dude they are an alternative filer, which means their financials are not audited, that’s why they have to have an attorney opinion letter. SEC filers file audited financials and don’t need an attorney letter. Alternative or fully reporting both can file material events with the SEC.

This is a sec filing regardless of what you say. This merger was blundered, but a Rs now or months later would be the same results folks hating. The didn't pump for profits or dilute into the shell here and frankly does not need to RS. Hopefully they cancel the Rs here but who knows.
