Well, Hudson will use those shares in FNB PHARMACEUTICALS as cash to fund whatever he wants to fund. It's the same as he will use the shares in CWIR and that's why he increased the shares to 8 billion from 2 billion. He will use them whenever for whatever. Things like the 'Private Placement'...or maybe something for the 'affiliates'. No one really knows for sure.

Now he has done the same for FNB pHARMACEUTICALS: Here's what the filing says:

(4) Conversion, Redemption, or Preemptive Rights. The holders of Series A Preferred
Stock shall have the right to convert their shares of Series A Preferred Stock to Series
A Common Stock or Series B Common Stock under the terms that shall be fixed,
from time, by the board of directors, and shall have redemption rights under the
terms that shall be fixed, from time,
by the board of directors.

(5.) Consideration for Shares. The shares of the Series A Preferred Stock authorized by
this Article shall be issued for such consideration as shall be fixed, from time to time,
by the board of directors.


FNB PHARMACEUTICALS: marijuana Cash Cow for PRIVATE PLACEMENT and AFFILIATES???? This could be very exciting. Right now all that we have is a 'filing'. But, this would be a very interesting topic for some good solid DD for those that like to try and establish some facts. Here's what I see 'at a quick glance' so far for the SHARE STRUCTURE & $$$$:

"The aggregate number of shares which the corporation shall have
authority to issue is eight hundred million (800,000,000) shares, consisting of three classes..."Series A Common Stock", "Series B Common Stock, and "Series A Preferred Stock" SO....

500 MILLION Common (.01)

NOW, HERE'S WHERE IT GETS EXCITING:

250,000,000 (.50/share) B Common= 125 MILLION $$$

50,000,000 (1.00/share) A Preferred = 50 MILLION $$$$

THAT COULD EQUAL OVER $175 MILLION IN COLD HARD CASH You do the
math.

Now, just ADD IN THE 20-30 MILLION FROM SOME 'EXTRA' shares here and there on the 'affiliates' and we are RICH! That's over 200 MILLION IN COLD HARD CASH at current share prices. And some are saying "no dilution". That's just silly.
