ORDER GRANTING DEBTOR’S MOTION FOR AUTHORITY
TO SELL PROPERTY OF THE ESTATE
The matter before the Court is the Debtor’s Motion for Authority to Sell Property of the
Estate and Joint Stipulation Resolving Objections to Debtor’s Motion for Authority to Sell
Property of the Estate (the “Stipulation”). The Debtor’s Motion and Stipulation are collectively,
referred to as the “Motion.” The Court, finding proper notice having been given and being
advised in the premises, and all objections filed were jointly resolved by the Stipulation, hereby
ORDERS that the Motion is GRANTED. The Debtor is authorized to sell the Patriot
Companies, as defined in and pursuant to the Purchase and Sale Agreement attached to the
Stipulation as Exhibit 2, provided however,
IT IS FURTHER ORDERED that nothing in such Purchase and Sale Agreement or this
Order shall be construed to release or in any way affect the duties and obligations of Patriot
Energy Resources LLC, Rawhide Resources, LLC or any of their respective successors or
assigns under the Purchase and Sale Agreement dated January 27, 2010 (as modified and
amended originally between Devon Energy Production Company, L.P. and Justice Oil and Gas
LLC) or the Performance Agreement effective March 31, 2010 between Rawhide Resources,
LLC and Devon Energy Production Company, L.P.
