No, he can't. At least nothing I can think of. As I said, he could sell Reg D stock, I believe. I don't think there'd be integration issues with the Reg A offering, as long as the Reg A offering had been completed.

BUT buyers of the Reg D filing couldn't resell EVER, so I don't think there'd be buyers.

My main question is that the O/S was updated to 12B... Does that reflect that 11B of those Reg As have been sold? That also doesn't explain the current float at only 4.6B..

I don't understand that either. The only explanation I can think of would be that the Reg A stock technically has to be registered in the states in which it's to be sold: Florida and California. I suppose the difference between the o/s and float could mean that the some Reg A stock had been sold, but not registered yet, and so was still restricted.

Though for reasons I explained in my article, it seems some toxic financiers want to believe Reg A stock isn't subject to state securities regulations. That is not true. Preemption of state securities regulations and qualifications is a provision of Reg A-Plus, but Reg A=Plus isn't yet effective.
