Conclusive Also In Accordance of Below SEC S-1 :

1. The 19 Mn Put Shares as Security for the Loan of $ 1,2 Mn
for Final Payment of New 5-Acre Plant, are Locked-Up for 16
Months, cannot been sold before and after the 16 Months
Period, can only that much of Stocks been sold as to cover
the Loan of $ 1,2 Mn plus any Interests and Fees in
accordance of TRTC’s Financing Agreement
with Hanover Holding !

2. The above means, that after the 16 Months Locked-Up
Period we can expect a much higher Stock- Price where
only 500 to 600 K of Common Shares need to be
Sold at OTC Markets ! Derek Is Really Smart.
This very small Stock Amount will then be the resulting
Dilution if like to call it that way and the present SEC
only Pro- Forma Registered Stock- Count of 241,6 Mn
mainly existing Options only, by about 18,4 Mn would
get resulting Reduced to Totally only 223,2 Mn and
again by Amended SEC S-1 confirmed !

3. The New 5-Acre Plant is Fully Paid By The Loan !!
