The company will still need to convince the marketplace that the stock is worth $5.00 in order to sell the offering to investors at that price. One of two things will happen (or maybe both): the trading price on the Pinks will drift up to meet the price in the S-1 if and when it goes effective, and/or the S-1 price will be reduced to a point where the company thinks it can sell the shares.
