NOTE II - Material Contract

"The company in July 2011 entered into a material consulting contract for the purpose of growing its business and bringing value to its shareholders. The contract calls for consideration of $20,000 per month convertible into the Company's Series B Preferred Stock. This contract will begin again in the fourth quarter of 2012."
