Of these shares, 10,479,548 shares are outstanding shares of common stock held by the selling stockholders identified in this prospectus and 4,639,061 shares are shares of common stock issuable upon exercise of warrants held by the selling stockholders identified in this prospectus. We are not selling any common stock under this prospectus and will not receive any of the proceeds from the sale of shares by the selling stockholders. We will, however, receive the net proceeds of any warrants exercised for cash.
