John P. Rochon

Mr. Rochon, as Chairman and founder, has aggressively led Richmont in its development as an investment holding firm and in the assembly of an impressive portfolio of operating companies. He brings a thorough understanding of corporate strategies stemming from his direct experience in finance, marketing, production, and operations management.

Mr. Rochon is credited as the chief architect of Mary Kay's successful 1985 management-led leveraged buyout. Mr. Rochon received his B.S. and M.B.A. degrees from the University of Toronto. He is currently a director of several domestic and international corporations.

Nick G. Bouras
President & CEO, Richmont Corporation

Mr. Bouras, President and CEO of Richmont, is a member of the office of the Chairman of Mary Kay holding Corporation, and a founding partner of Richmont. Prior to Richmont, Mr. Bouras served as vice president, investments for Mary Kay Cosmetics where he managed the company's equity investments, directing financial research related to those investments. He was previously assistant treasurer and tax manager at Mary Kay Mr. Bouras was a senior tax accountant with Ernst and Whinney and with Touche Ross and Company.

Mr. Bouras brings the special combined perspectives of CPA, attorney, and MBA to Richmont's clients. He received he B.A., M.B.A., and Juris doctor degrees from St. Louis university. He is a member of the American and Missouri Bar Associations, and the Missouri, Texas and American Societies of CPAs.

Richard C. Bartlett
Chairman, The Richmont Group of Operating Companies
Vice Chairman, Mary Kay Holding Corporation

Mr. Bartlett has 40 years experience in direct marketing management. Joining Mary Kay in 1973, he served as President and COO from 1987 to 1992, then became vice chairman. He is now chairman of The Richmont Group of Operating Companies. He is Chairman ex-officio of the Direct Selling Association (DSA), Direct Selling Education Foundation (DSEF) and The Nature Conservancy of Texas.

He is a member of the World Economic Forum, The Conference Board, and the National Center for Policy Analysis. Mr. Bartlett has earned several awards, including International Television Association's 1992 Chief Executive of the Year, Academy of Fame. He has authored three books, including a standard industry reference, The Direct Option. Mr. Bartlett received his B.S. degree from the University of Florida.


Timothy M. Byrd

Since 1990, Mr. Byrd has acted in the dual role of CFO of Mary Kay Holding Corporation and CFO of the Richmont Corporation. Before 1990, Mr. Byrd held positions as director of accounting, controller, vice president and CFO of Mary Kay Inc. Mr. Byrd developed accounting systems and strategies to support the firm's LBO activities. He is a member of the office of the chairman of Mary Kay Holding Corporation. Mr. Byrd received his B.S. degree from the University of Texas at Dallas and received his CPA certification in 1980.

Patrick E. Howard
CEO, Richmont Group
CEO, Nu-kote International, Inc.

Mr. Howard is CEO of the Richmont Group of Operating Companies, and is a member of the Office of the Chairman of Mary Kay Holding Corporation. Within the Richmont Group He oversees apparel companies, food companies, a sports equipment company, and a Far East trading operation. Prior to Richmont, Mr. Howard was Executive Vice President, Manufacturing Group of Mary Kay. First joining the company in 1977 as a manufacturing Systems development Manager, Mr. Howard also worked in a number of positions in material Management and Production Operations. Prior to joining Mary Kay, Mr. Howard was a management consultant with Arthur Young & Company. Mr. Howard has an M.S. in Computer Science and a B.S. in Mathematics. He is a member of APICA, the Direct Selling Association (DSA), and the Cosmetic, Toiletry and Fragrance Association (CTFA).

R. Bradley Glendening
General Counsel, Richmont
General Counsel and Secretary, Mary Kay Holding Corporation

Mr. Glendening is a member of the Office of the Chairman of Mary Kay Holding corporation, and has served as an officer and board member of numerous domestic and international corporations of Mary Kay Inc. and Richmont. He first joined the Company in 1980.

Since 1993, Mr. Glendening has served as Regional Director and Executive Committee member of the World Federation of Direct Selling Associations. In this capacity, He represents the interests of the direct selling industry in the United States, Canada, Central America and the Caribbean. He is the founding chairman of the Ethics and Self-regulation Committee of the United States direct Selling Association, and is a member of the Association's International Council, Lawyer's Council and Government Relations Committee. From 1992 through 1994, He was chairman of the International Council and represented the United States within the World Federation of Direct Selling Associations.

Mr. Glendening is a co-trustee of the Mary Kay Foundation and the Mary Kay Ash Charitable Foundation. He is also a a member of the board of directors of the Baylor University Medical Center Foundation in Dallas, and previously served as a director of the Susan G. Komen Foundation.

Mr. Glendening received his bachelor of arts degree in political science from Tulane University in 1971 and was a Special Honors Candidate at the University of Rhodesia in 1973, pursuant to a Rotary International Fellowship. He received his Juris Doctor degree from Capital University in 1977.
